STANDARD AGREEMENT FOR PROFESSIONAL SERVICES
This AGREEMENT is between the City of Fort Worth,, a Texas, h e-rule municipality (the
"CITY"), and Halff Associates, Inc., authorized to do business in Texas, an independent
contractor ("Consultant"), for a PROJECT generally described as Stormwa,ter Development
Review Records, Management
Article I
,Scope of Services
(1) Consultant hereby agrees to perform as an independent contractor the services set
forth in the Scope of Services attached hereto as Attachment "'A". 'These services
shall be performed in connection with Sitormwater Development Review Records
Management.
(2), Additional services, if any, will be requested in writing by,the City. City shall not pay
for any work performed by Consultant or its subconsultants, subcontractors and/or
suppliers that has not been ordered in writing. It is specifically agreeld that
Consultant shall not be compensated: for any alleged, additional work resulting from
oral orders of any person.
Artl"cle 11
Compensalflon,
Consultant shall be compensated in accordance with the Fee Schedule shown in
Attachment ",Bl". Payment shall be considered, full, compensation for all labor, materials,
supplies, and equipment necessary to complete the services described in Attachment "A".
However the total fee paid by the City shall not exceed a total of $40,000 unless the City
and the Consultant mutually agree upon a fee amount for additional services, and amend
this Agreement accordingly.
The, Consultant shall provide monthly invoices to the City. Payment for services rendered
shall be due within thirty (310): days of the; uncontested performance, of the particular
services so ordered, and receipt by City of Consultant's invoice for payment of same.
Acceptance by Consultant of said payment shall operate as and shall release the City from
rn all claims or liabilities under this Agreement for anything related to, done, or furnished in

connection with the services, for which payment is made, including any act or om,iission of

Term
Unless terminated pursuant to the terms herein, this Agreement shell be for a term of three
years, beginning upon the date: of its execution, or until the completion of the subject matter
contemplated herein, whichever occurs first.
Article IV
Independent, Contractor
Consultant shall operate hereunder as an independent contractor, and not as an officer,
agent, servant, or empiloyee of the City. Consultant shall have exclusive control of and the
exclusive right to control the details of its work to be performed hereunder and all persons
performing same, and shall be solely" responsible for the acts and omissions of its officers,
agents, employees, contractors and subcontractors. The doctrine, of respondent superior
shell not apply as between City and Consultant,, its officers,, agents,, employees, contractors,
and subcontractors,, and nothing herein shall be construed joint
ued as creating a partnership or
venture between, City and' Consultant.
Article V
Professi I onal Competence and Indemnification
(1) Work performed by Consultant shall comply in all aspects with all applicable local,
state and federal laws, and with all applicable rules and regulations promulgated by
the local, state and national boards, bureaus and agelnicies. Approval by the City
shall not constitute or be deemed to be a release of the responsibility and liability of
Consultant or its officers, agents, employees, contractors and subcontractors for the
accuracy and competency of its services performed hereunder.
(2) In accordance with Texas Local Government Code Section, 271.,904, the Consultant
shall indemnify, hold harmless,, and defend the City against liability for any damage
caused by or resulting from an act of negligence, intentional tort, Intellectual
property infringement, or failure to play a subcontractor or supplier committed by the
Consultant or Consultant's agent, consultant under contract, or another entity over
which the Consultant's exercises control.

(1) Consultant shall not commence work under this, Agreement until it has obtained all
insurance required under this, Article and the City has approved such insurance, nor
shall Consultant allow any subcontractor to commence work on its subcontract until
all similar "insurance of the subcontractor has been so obtained and approval, given
by the City;' provided, however, Consultant may elect to add any subcoinsultant as
an additional insured under its liability pol!icies.

(2) Additional Insurance Requirements
a., Except for employer's liabi�lity insurance, coverage under Consiultant's, worker's
compensation, insurance policy,, the City, its officers, employees, and servants shall a 10l

Certificates of insurance shall be delivered to the Transportation and Public Works
Department, Attention: Wade Goodman, Senior Engineer Technician, 1000
Throckmorton Street,, Fort Worth, Texas 76102, prior to commencement of work.
c. Any failure on part of the City to request required insurance documentation shall
not constitute a waiver of the insurance requirements specified herein.
d. Each insurance policy shall be endorsed to provide the City a mi,nilmum thirty days
notice of cancellation, non-renewal, and/or material change in policy terms or
coverage. A ten, days notice shall, be acceptable in the event of non-�pla,yme�nt of
premium.
e. Insurers must be authorized to do business in n the State of Texas and have a
current A.M. Best rating of A: V11 or equivalent measure of financial strength and
solvency.,

f-, Other than worker's compensation insurance, in lieu of traditional 'insurance, City
may consider alternative coverage or risk treatment measures through insurance
pools or risk retention groups. The City must approve in writing any alternative
coverage.
g. Workers' compensation insurance policy) covering employees employed: on the
Project shall be endorsed with a waiver of subrogation providing rights of recovery
in favor of the City.
h. City shall not be responsible for the direct payment of insuirance prernium costs
for Consultant's insurance.
i Consultant's insurance policies shall each be endorsed to pro ide that such
insurance is primary, protection and any self-funded or commercial coverage
maintained by City shall not be called upon to contribute to loss recovery.
j. In the course of the Agreement, Consultant shall report, in a timely manner, to
City's officially designated contract administrator any known loss occurrence which
could give rise to a liability claim or laws,u�it, or which could result in a property loss.
k. Consultant's liability shall not be limited to the specified amounts, of insurance
required herein.
1. Upon the request of City, Consultant shall provide complete copies of all
insurance policies. required by these Agreement documents.
Article V11
Transfer or Assignment
City and Consultant each bind themselves, and their lawful successors and assigns, to this
Agreement. Consultant, its lawful: successors and assigns, shall not assign, sublet, or-transfer
any interest in this Agreement without prior written consent of the City.
Article V1111
Termi"nat'llmon of Contract
(1) City may terminate this, Agreement for its convenience on 30 days' written, notice.
Either the City or the Consultant for cause may terminate this Agreement if either
Party fails substantially to perform through no fault of the other and does, not
commence correction of such nonperformance with 5 days of written notice and
diligently complete the correction thereaft+ r
(2), If City chooses to terminate this Agreement under Article 8, upon receipt of notice of
termination, Consultant shall discontinue services rendered up, to the date of such

termination and City shall compensate Consultant based upon, calculations, in Article
2 of this Agreement and Exhibit "B" attached hereto and incorporated herein.
(3�) All reports,, whether partial or complete, prepared under this Agreement, including,
any original drawings, or documents, whether furnished by the City, its officers,
agents, employees, consultants, or contractors, or prepared, by Consultant, shall be
or become the property of the City, and shall be, furnished to, the City prior to or at
the time such services are completed, or upon termination or p,i exration of this
Agreement.
Article I,X
Right to Audit
(1) Consultant agrees that the City shall, until the expiration of three (3) years after final
payment under this Agreement, have access to and the right to examine any d,irectly
pertinent books, documents, papers and records of Consultant involving transactions,
relating to this Agreement. Consultant agrees that the City shall have access during
normal working hours to all necessary facilities and shall be provided adequate and
appropriate, workspace in order to conduct audits in compliance with the provisions of
this section., City shall give Consultant reasonable advance notice of intended audits.
(2) Consultant further agrees to include in all its subcontracts hereunder, a provision to
the effect that the subcontracting consultant agrees that the City shall) until the
expiration of three (3) years after final payment under the subcontract, have access
to and the right to examine any directly pertinent books, documents, papers, and
records of such sub consultant involving transactions to the subcontract, and
further, that City shall have access during normal working hours, to all sub-
consultant facilities,, and shall be provided adequate and appropriate work space in
order to conduct audits in compliance with the provisions of this article. City shall
give Consultant and any sub-consultant reasoinabile advance notice of intended
audit.
(3) Consultant and sub-consultants agree to photocopy such documents as may be
requested by the City., The City agrees to reimburse Consultant, for the cost of copies

Article X
Minority Business and Small Business Enterprise (MBE)(SBE) Participation
In, accordance with the City's Business, Diversity Enterprise Ordinance No. 20020-12-2011,

small business enterprises in City contracts. Consultant ackno ledges the MBE and SBE

,participation. Any misrepresentation of, facts (other than a negligent misrepresentation)
and r the commission of fraud by the, Consultant may result in the termination of this
Agreement and debarment from participating in City contracts for a period of time of not less,
than three (3) years.
Article XII
Observe and Comply
Consultant shall at all times observe and comply with all federal,, state, and local laws and
regulations, and with all City ordinances and regulations which in any way affect this
Agreement and the work hereunder, and shall observe and comply with all orders, laws
ordinances and regulations which may exist or may be enacted later by governing bodies
having jurisdiction or authority for such enactment. No plea of misunderstanding or, ignorance
gnorance
thereof shall be considered. Consultant agrees to, defend, indemnify and hold harmless City
and; all of its officers, agents and employees from and against all claims or liability arising out
of the violation of any such order,I law, ordinance, or regulation, whether it be by itself or its
employees.
Article XII
Venue and Jurisdiction
If any action, whether real or asserted, at law or in equity, arises on the basis of any
provision of this Agreement, venue for such action shall lie in state courts located in
Tarrant County, 'Texas or the United States District Court for,the Northern District of Texas
— Fort Worth Division. 'This, Agreement shall, be construed in accordance with the laws of
the State of Texas.
Article X111
Contract Construction
The Parties acknowledge that each party and, if it so chooses, its counsel have reviewed
and revised this Agreement and that the normal rule of construction to the effect that any
ambiguities are to be resolved against the dirafting, party must not be employed in the
interpretation of this Agreement or any amendments or exhibits hereto.
Article XIS"
Severabifity
The provisions of this Agreement are severable, and if any word, phrase, clause,I
sentence, paragraph, section or other part of this Agreement or the application thereof to

any person or circumstance sh ally ever be held by any court of competent jurisdiction to be
Invalid or unconstitutional for any reason, the remainder, of this Agreement and the

Agreement to other persons or circumstances shall not be affected thereby and this
Agreement shall be construed as if such invalid or unconstitutional portion had never been
contained therein.

The scope set forth herein defines the work to be performed by the ENGINEER in
completing the project. Both the CITY and ENGINEER have attempted to clearly define the
work to be performed and address the needs of the Project. Under this scope, "ENGINEER"
is expanded to include any sub-consultant, including surveyor, employed or contracted, by
the ENGINEER.
OBJECTIVE
ENGINEER will develop, a records management system and database for the CITY's
stormwa,ter development review tracking process and provide access to the database
through a web based dashboard and interface.
WORK TO BE PERFORMED
ENGINEER, will develop a records management system and database for the CITY's
stoirmilwater development review tracking process. This database will be based on the
example Master—iSWIVI—Project—List ('Master) Microsoft Excel:, spreadsheet that was
provided to ENGINEER. The database will be designed to allow multiple users to view and
edit the data simu ltaneolu�sly and track key metrics like review times, total submittals, and
total approvals by user!defined -time periods.
ENGINEER will conduct a database deign meeting with the CITY at the beginning of the
project. Diur:ing this, meeting, ENGINEER will present a preliminary design based on the
review of the example M,icrosoft Excel spreadsheets that have been provided. Along,, with
the preliminary design,, mock-ups of the database web forms interface will also be
presented. ENGINEER will work with the CITY to refine, both, the, database design and
interface. Based on the CITY's comments, ENGINEER will finalize both the design and
interface and then present them to the CITY for acceptance prior to moving forward with the
database development and programming phase.
Based on the initial review of the spreadsheets that have been provided to ENGINEER, the
following tables have been identified as part of the preliminary database design. The
example, Master spreadsheet will be broken down into several tables to reduce dupilicate
data entry. The tables listed below containing permit, plat, and project iniformati,on, will be
linked together using, unique database identifiers, but the user will be presented with the
CITY Master Number as the key for linking the various, tables. The segregation of the
existing data into the various tables will also support tracking the identified metrics, that the
CITY has provided to ENGINEER. All the, columns, in the example spreadsheets will be
mapped to one of the following tables:
1. Stormwater, Development Review Information —this table will contain all the
descriptive information about the project itself, related case numbers and permits,
date it was received, res,poins,iblie reviewer, and the applicant.
2. Applicant Information —this table will, contain descriptive information about the
Owner.

3. Engineer Information —this table will contain descriptive information about the
engineer who developed the stormwater d,eve:lopment plan. CFW' staff,Fill be able to
click on the engineer's email address to automatically open a new untitled email.
Email funct'ona,lity will require the engineer"s email address data f'i'eld to be
populated and MS Outlook will need to be the default email application of the cu,irrent
user.
4. Comment/Response—this table will track the dates associated with when the CITY
submits comments to the applicant and when the applicant responds,to the CITY's
comments,.
51. Stormwater Facility Maintenance Agreement—this table will contain information
about the maintenance agreements, if applicable.
6. Variances—this table will contain information about the variances granted, if
appl,icable.
7. Grading Perm�it—this table will contain grading permit information and dates, if
applicable, based on the example Grading Permit Review spreadsheet provided by
the CITY.
8. iSWM1 Plan —this table will contain iSWM plan information,,: if applicable, based on
the example Grading Permit Review spreadsheet provided by the CITY.
9. Building, Permit—this tab!le, will contain building permit information, if applicable,
based on the example, Grading Permit Review spreadsheet provided by the CITY,.
11 0. Plat Review—this table will contain information about plats, if applicable, based on
the example Plat Review spreadsheet provided by the CITY.
11. IPRC Review—this table will contain information related to IPRC reviews, if
applicable. An example, of this review will need to, be provideld to ENGINEER.
12. City Holidays,—this table will contain the list of dates that the CITY is closed,. These
dates will be excluded from the time calculations associated with the stormwater
development review metrics.
Breaking the example Storm water Development Review spreadsheet into multiple tables, will
allow the user to treat existing applicant and engineer information as lookup tabiles. For
example, if an engineer has previously submitted a stormwater development plan and their
information is in the database, the reviewer will be able to start typing the engineer's name
and previous entries will automatically populate. If the applicant or engineer's information is
not already in the database their will be an option to create a new entry. Each table will
have a, search page associated, with it to assist the CITY with finding specific i:nfoirmation�.,
The stormwater development review database will also have an associated dashboard that
will display key mietrics, related to the stormwater development review procesis. The metrics
shown on the dashboard will automatically update as the s,toirmwater development review
data baseis, modified. A calendar control tool will be provided, so,that the user can change
the date range associated with the metrics. The following metrics, have been identified by
the CITY:
1. Storm�water Developments under active review
2. Total Stormiwa,ter Developments under review
3. Average time for all reviews
4. Number of reviews, taking greater than 10 working days
5. Number of submissions during a specified time period (default to current month),

7. Number of reviews that received comments for a specified time period (default to

Metrics that measure time associated with reviews will use business days, weekends
and City holidays will be excluded.
In addition to being able to enter and store storm water development review information, the
following functionalitles will be provided to the end user-,
1., Searching —each table view will have a search function. This will be presented to,
the end user as a single search box that will search, across all fields shown in the
table view. As the user starts typilng, the listed records will be refined based on the
value in the search, box.
2. Sorting —each table view,will support sorting for each column displayed in the view.
3. Editor tracking —access to the database will be con-trolled by individual logins. When
changes to the database are made, entries for who made the change and when the
change was made will be tracked for the last edit change.,
4. A,d-hoc Queries—An Ad-hoc query tool will be provided that will allow the user to
create custom database queries. The query tool will be able to access all the,
database tables. The user will be able to export the query results to Microsoft Excel
to support additional field calculations and table formatting. Queries created by the
user can be saved and reused.
5. Database reporting —the functionality to generate two (2) standard reports,will be
provided, to the user. The CITY will provide ENGINEER templates,showing the
infoirmr a,tioln to be contained in the reports. When the user generates the report they
will have the ability to save the report to either p1dif or Excel file formats.
6. Master Nurnber assignment— ENGINEER will review the existing master numbers
for unique values prior to the initial data import. ENGINEER will report any
duplicate values,, if they exist, to the CITY for correction prior to the import. When
new database entries, are created, the database will automatically generate the
master number using the format SWM-Year-XXXX, example SAM-2o 3-1 234. The
number in the third part of the master number will start at 0001 and automatically
increment with each successive new record creation. Master number's that are
started but not completed, or the record it is associated with is deleted, will not be
automatically reused. The database will provide the ability for the user to override
the automatically generated number. If the user overrides the master number, error
checks will be run to ensure that this number does not already exist.

7. Database roles —the security module for user l,oglins, will include user roles,. Three (3)
user roles will be included with the security module; Admin, Editor, and Viewer.
Viewers will be able to login and view the dashboard, see the tables, and runs the
reports and queries. Editors will have the same capabilities and the Viewers and will
also have the ability to edit all the database tables. Admins, will have the same
capabilities as the Editors and will also have the ability to administer the security
module to control user account creation,, activation, and deletion as well as the
assignment of the database roles,to the user.
8. Look-up table maintenance—the ablillity to add values, to look-up tables,will be
provided through a table maintenance section. Examples of look-up tables include
Status, Record Type, and Project Manager. During the database design, all look-up
tables will be defined and pre-populated with the currently used,values.
9., Printing the web forms will be designed to support screen printing. Print functions
that reformat the page into a specific report layout willl not be supported.
10. Training and support— ENGII N,E,ER will provide ten (110) hours of on-site training.
The training can be broken into multiple sessions as the various functions of the
database interface are rolled out. ENGINEER, will also provide technical support via
conference call for questions related to the database interface after all the database
functions have been rolled out and the on-site trainiings have been completed.
The stoirmwater development review records management will be developed and hosted on
EN II EER's server system until the, CIITT is ready to take; ownership. ENGINEER will
provide hosting services until December 31, 2016. Access,to the database and the
dashboard will be provided through web forms using standard internet browsers., Supported
web browsers will, include Internet Explorer versions 9 or greater, Chrome, and Firefox
running on Windows XP and 7 desktops. ENGINEER will provide a web based security
interface that will allow the CITY to create accounts and control which accounts have view
and edit privileges. The,development environment for the custom functionality will use
Microsoft Visual Studio 2012 and the database will, be stored in Microsoft SQL Server 2012.
When the CITY takes ownership of the database, ENGINEER has a distribution license for
the Ad-Hoc query tool. If'the CITY decidels to modify the functionality of the Ad-Hoc queries,
they will need to acquire a development license of this tool.

COMPENSATION
iv. Budgets. ENGINEER will make reasonable efforts to complete the work
within the budget and will keep the City i:nfoirmed of progress toward that
end so that the bud at or work elffoirt can be adjusted if found necessary.

ENGINEER is not obligated to incur costs beyond the indicated blud'gelts,
as may be adjusted, nor is the City obligated to payENGINEER beyond
these limits.
If ENGINEER projects, in the course of providing the necessary services,
that the PROJECT' cost presented In Article 2 of this Agreement will be
exceeded, whether by change in scope of the project,, increased costs or
other coin di ition s,, the ENGINEER shall immediately report such fact to the
City and, if so instructed by the City, shall suspend all work hereunder.
When any baud yet has been increased, ENGINEER's excess costs
expend;eld prior to such increase will be allowable to the same, extent as if
such costs had been incurred after the approved increase.
B. The ENGINEER shall be plaid monthly payments as described in Section 11 -
Method of Payment.
11. Method of Payment
A. The ENGINEER shall be paid by the City based upon an invoice created on the
basis of statements prepared from the books, and records of account of the
ENGINEER, based on the actual hours and costs expended by the ENGINEER
in n performing the work.
B. Each invoice shall be verified as to its accuracy and compliflance with the terms of
this Agreement, by an officer of the ENGINEER.
C. ENGINEER shall' prepare and submit invoices in the format and including content
as presented in Exhibit B-1.
D. Payment of invoices will be subject to certification by the City that such work has
been performed.
