HomeMy WebLinkAboutContract 62509-R1A2CSC No. 62509-R1A2 FIRST RENEW AL AND SECOND AMENDMENT TO FORT WORTH CITY SECRET ARY CONTRACT NO. 62509 This First Renewal and Second Amendment to Fort Worth City Secretary Contract No. 62509 ("Agreement") is entered into by and between ENVIROSERV, INC. ("Vendor"), a Texas limited liability company acting by and through its duly authorized representative, and City of Fort Worth ("City"), a Texas home-rule municipal corporation acting by and through its duly authorized Assistant City Manager, each individually referred as a "Party" and collectively as the "Parties." WHEREAS, on December 20, 2024, the Parties entered into City Secretary Contract No. 62509 to provide emergency response services for environmental hazards (the "Agreement"); WHEREAS, on January 14, 2025, the Parties amended the Agreement to replace the cost schedule (Exhibit B); and WHEREAS, it is the collective desire of the Parties to renew the agreement for the first renewal option (the "First Renewal Term") and amend the Agreement to replace the cost schedule (Exhibit B) with an updated Exhibit B; and WHEREAS, the total not-to-exceed amount shall not increase. NOW, THEREFORE, City and Vendor do hereby agree to the following: I. RENEWAL OF AGREEMENT The Agreement, as previously amended, is hereby renewed for a renewal term (the "First Renewal Term") commencing on December 20, 2025, and ending on December 19, 2026, unless terminated earlier in accordance with the Agreement. II. AMENDMENT TO AGREEMENT The Agreement is amended to be and read as follows: Exhibit B, which is attached hereto and incorporated herein, is made a part of this Agreement for all purposes, replacing the previous Exhibit B. ALL OTHER TERMS SHALL REMAIN THE SAME All other provisions of Agreement, as previously amended, which are not expressly amended herein shall remain in full force and effect. IV. ELECTRONIC SIGNATURE This Second Renewal and Second Amendment may be executed in multiple counterparts, each of which shall be an original and all of which shall constitute one and the same instrument. A facsimile copy or computer image, such as a PDF or tiff image, or a signature, shall be treated as and shall have the same effect as anoriginal.
