MAINTENANCE AGREEMENT
24th October THIS AGREEMENT, made and entered into this __ day of _____ _
2025, by and between AutoZone Parts, Inc., a Nevada corporation, hereinafter referred to
as "Landowner", and the City of Fort Worth hereinafter referred to as ·'City".
WITNESSETH
WHEREAS, the Landowner is the owner of certain real property described as
being 0.114 acres of land out of Block 2, Bridgewood Village, an addition to the City of
Fort Worth, Tarrant County, Texas by plat recorded in Volume 388-167, Page 38, Plat
Records of Tarrant County, Texas and by deed recorded in Document No. D225052311,
Official Public Records, Tarrant County Texas, hereinafter called the "Property";
WHEREAS, the Landowner is proceeding to build on and develop the Property
according to the Site Plan/Subdivision Plan known as AutoZone Fort Worth TX2849
hereinafter called the 'Plan", which is expressly made a part hereof, as approved or to be
approved by the City and the Landowner provides for management of storm water within
the confines of the Property; and;
WHEREAS, the City and the Landowner, and their successors and assigns, agree
that the health, safety and welfare of the residents of the City of Fort Worth, Texas require
that on-site Stormwater Management Facilities be constructed and maintained on a portion
of the Property; and
WHEREAS, the City requires that on-site Stormwater Management Facilities
( 'Facility") as shown on the Plan be constructed and adequately maintained by the
Landowner, its successors and assigns, the location and dimensions of which is shown and

more partieularly described by �t�etes and bounds in the attached Exhi€�it "A" {''Faeility
Property"); and
NO'4'V, T�--�ER�F'ORE, in coe�sideration of tE}e foreaoing p�•emises, tlle mutual
covenants contained hereiiT, and tk�e folla�ving terms and conditions, the parties hereko
abree as foElows:
1. The Landowner, its succcssors and assigias, sha[1 adec{�Eately construct and
maintain the a»-site Storf�����ater Managzmet�t Facility ("Facility"} at no
expense to tlie City of Fart Wortl� i« accordance witla tl�e desi�tZ specifications
for the Facility, atiached as �;xl�ibit �`B", anc� the curr�nt standards then in force
and efrect in the City of Fort Worth and witl� the Operations and Mainte»ance
�'lan attached to fhi5 A�reement as Exhibit '`C". The Stormwater Faci[itv
includes all pipes, channe�s or other conveyances built tn con��ey Stormwater
lo tlle facility, as ��ell as all structures, improvements, and vegeiatian providec[
Eo control the quantity ae�c! qualit�� af the Stormwater. Adequate maiilte«ance is
he�-ein defned as good ��-arking cot�d�tion so that these facilities are pei•forming
their desEg« functio�is. The Stor�n��ater Str��ctural Ct�ntro! Nlaintenance
Cl�ec]<lists, attached to tl�is Ag�rcement as Exl�ibit "D'", are to be used to
establish what good �iorl:in� condition is acceptable to the City.
2. The Landoivner, its successc�rs and assigns, sE�all inspect the Facility anc�
subn�it an inspection report to the City annually. T'he purpose of tlye inspectiotl
is to ensure the safe and prope►- fi�nctioning of tf�e Facility. Tkte it75pecti0n
shall cover t11e entire Facility, ber�ns, autlet structure, po»d areas, access roads,
etc, Compo�le�lts of the Facilit}', rr'hick� �1eed maintenance ar replace��lent to
pertorm their desig�l f�Enction, shall be noted in the inspection report along with
tlle corrective actioi�s to b� takeil.
3. The Landowner, its suc�essors and assi�ns, hereby grant permission to the
City, its authorized abents and er��ployees, to enter upon tlle Pra�erty and to
inspect the Faci[ity Propeety ��lienever tk�e City deen�s necessary, Thc �urpuse
of inspection is to follo�v-up on reported de#iciencies and/or to respond to

citizen camplaiilts. The City shafl peovide the La�dor��ier, its successors and
assigns, copies of the inspectioE� findin�s and a direclive to commence witk� the
repairs if necessary.
4. In tE�e event tk}e Landow�ner, its successors and assigns, fail ta maintain tl�e
Facility in good �vorl<ii1� condition as specified herein, the City, its autl�orized
agents and emplayees, may enter upon the Facility Prop�rty and take whatever
steps necessark ta correct deficiencies iclentified i�l the inspection report and to
cl�a��ge the costs of such repairs ta the Lando�v��er, its successors and assi�ns.
It is expressl�� understood and a�recd that the City is under no obligatior�
to routinely maintaika or repair snici F�cility, anc� ii� no event shall this
Agreement be cottstrucd to impase any sucl� obligatiou on the City, such
abli�atian is IJiI[l[�OlVRCC°5.
5. The Landowner, its stiiccessors and assigns, will perfarm the �vork necessary to
keep the Facilit_y in �ood worl<ing order as appropriate. I�� the evei�t the City
pursuant to this Agi-eeme»t, perfonns worlc of any nature, or c:Ypenc�s any i�i��ds
in perforrnance ot� said ���ork far l��bor, use of eq�ii�ament, supplies. i��aterials,
and the lil:e, the Landa�vnea•, its successors a«d assigns, sl�all reimburse th�
City upon de�nand, �vithin thirty (30) days of receipt ti�ereoFfor all act�ial costs
iiic��rred by tl�e City hereunder. ln the event that Landowner or its successors
or assig��s fail ta pay the City t�or the costs incurred undcr this section, �l�e City
shall impress a lien for the costs ot such work upon other lots o��vned by the
Landowner. Such lien shal! be perfected by filing in thL office of ihe County
Clerk of Tarrant County, Teaas an affidavit identifyin� ihe p�•operky to he
charged 4vith sucft liet�, stati�l� the aE��aunt thej�Eof; and tt�al<ina relerence to
this Agreement.

CITY OF FORT WORTH STORMWATER FACILITY OPERATION AND
MAINTENANCE PLAN FOR UNDERGROUND FACILITIES
The only responsibility the City of Fort Worth has in the operation and maintenance of this
Facility is inspection.
General Maintenance Procedures
The structural and functional integrity of the Facility shall be maintained at all times by
removing and preventing drainage interference, obstructions, blockages, or other adverse
effects into, through, or out of the system.
Periodic silt removal shall occur when standing water conditions occur or the facilities
storage volume is reduced by more than 10%. Silt shall be removed and the facility returned
to original working condition of the lines and grades shown on the approved engineering
plans. In addition, corrective measures are required any time a facility does not drain
completely within 72 hours of cessation of inflow. NO STANDING WATER IS
ALLOWED in the underground facility designed for dry detention purposes.
Accumulated litter, sediment, and debris shall be removed every 6 months or as necessary
to maintain proper operation of the facility. Disposal shall be in accordance with federal,
state and local regulations.
To prevent debris from entering and clogging the downstream storm sewer system a wire
mesh screen or similar screening device shall be installed over the outlet until final
acceptance.
4. PREVENTIVE MAINTENANCE/INSPECTION
Visual inspections of all components will be conducted every 6 months.
A log shall be kept of maintenance actions, and inspections. The log should
document the condition of the detention system's primary components, silt, litter
and debris removal dates.
Written maintenance and repair records shall be maintained by the party or
parties signing the attached Agreement and shall be provided to the City upon
request.
