Home My WebLink About058665-R3A2 - Construction-Related - Contract - Wescam, Inc.CSC No. 58665-R3A2 THIRD RENEW AL AND SECOND AMENDMENT TO FORT WORTH CITY SECRET ARY CONTRACT NO. 58665 This Third Renewal and Second Amendment to Fort Worth City Secretary Contract No. 58665 ("Agreement") is entered into by and between Wescam, Inc. ("Vendor") acting by and through its duly authorized representative, and City of Fort Worth ("City"), a Texas home-rule municipal corporation acting by and through its duly authorized Assistant City Manager, each individually referred as a "Party" and collectively as the "Parties." WHEREAS, City and Vendor entered into an Agreement identified as Fort Worth City Secretary Contract No. 58665 beginning December 27, 2022 ("Agreement"). The Agreement provides for three (3) one-year renewal periods; and WHEREAS, on September 6, 2023, the Parties agreed to amend the Agreement by increasing the compensation amount from $41,325.00 to $100,000.00; and WHEREAS, it is the collective desire of the Parties to renew the agreement for the Third renewal option (the "Third Renewal Term"); and WHEREAS, it is the collective desire of the Parties to amend the Agreement to update the pricing (Exhibit B) for the FY26 renewal period and to add four (4) additional one-year renewal periods to the Agreement. NOW, THEREFORE, City and Vendor do hereby agree to the following: I. RENEWAL OF AGREEMENT The Agreement, as previously amended, is hereby renewed for an additional renewal term (the "Third Renewal Term") commencing on December 27, 2025, and ending on December 26, 2026, unless terminated earlier in accordance with the Agreement. II. AMENDMENT TO AGREEMENT A.Service Year 2026 pricing, quoted on L3Harris Offer# 22IMS62162 -1, is attached to this amendment as Exhibit B, and is incorporated herein for all purposes, and is cumulative of prior exhibits. Aside from the updated pricing in Exhibit B, the terms of the addendum executed on December 27, 2022, shall continue to supersede any conflicting terms in Exhibit B. B.Section 1, the Term section of the Agreement, is hereby amended to be and read as follows: 1.Term. The Agreement shall become effective upon the signing of the Third Renewal and Second Amendment to Fort Worth City Secretary Contract No. 58665 Page 1 of4 Agreement by an Assistant City Manager of the City (the " Effective Date") and shall expire one ( 1) year after the Effective Date ( the Expiration Date"), unless terminated earlier in accordance with the provisions of the Agreement or otherwise extended by the parties. The Agreement may be renewed for seven (7) one- year renewals at City's option, each a" Renewal Term." City shall provide Vendor with written notice of its intent to renew at least thirty ( 30) days prior to the end of each term. III. ALL OTHER TERMS SHALL REMAIN THE SAME All other provisions of the Agreement, as previously amended, which are not expressly amended herein shall remain in full force and effect. IV. ELECTRONIC SIGNATURE This Third Renewal and Second Amendment may be executed in multiple counterparts, each of which shall be an original and all of which shall constitute one and the same instrument. A facsimile copy or computer image, such as a PDF or tiff image, or a signature, shall be treated as and shall have the same effect as anoriginal.
