FIRST AMENDMENT TO VENDOR SERVICES AGREEMENT
BETWEEN THE CITY OF FORT WORTH AND WILDERNEX, LLC.
(CSC NO. 63967)
This FIRST AMENDMENT ("First Amendment") is made and entered into by and between the
CITY OF FORT WORTH ("City"), a home-rule municipal corporation of the State of Texas, acting by
and through its duly authorized representative, and Wildernex, LLC. ("Vendor") a Texas Limited Liability
Company, acting by and through its duly authorized representative. The City and Vendor are herein referred
to individually as a ("Party") and collectively as the ("Parties").
WHEREAS, on September 16, 2025, the City and Wildemex, LLC. entered into a Vendor Services
Agreement to provide quarterly Beaver service at various city parks, the same being City Secretary Contract
("CSC") Contract Number 63967 ("Agreement");
WHEREAS, the Parties wish to amend the Agreement to increase the annual contract amount to One
Hundred Thousand Dollars and zero cents ($100,000.00);
NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein,
the City and Wildemex, LLC., agree to amend the Agreement as follows:
I.
Section 3 of the Agreement, titled "Compensation," is hereby amended by deleting it in its entirety and
replacing it with the following:
3.Compensation.
3.1 Total compensation under this Agreement will not exceed One Hundred Thousand Dollars
and Zero Cents ($100,000.00).
3.2 The City will pay Vendor in accordance with the Prompt Payment Act (Chapter
2251 of the Texas Government Code) and provisions of this Agreement.
3 .3 Vendor will not perform any additional services or bill for expenses incurred for
the City not specified by this Agreement unless the City requests and approves in writing
the additional costs for such services. The City will not be liable for any additional expenses
of Vendor not specified by this Agreement unless the City first approves such expenses in
writing.
II.
1.All terms and conditions of the Agreement that are not expressly amended pursuant to this
First Amendment shall remain in full force and effect.
2.All terms in this First Amendment that are capitalized but not defined shall have the meanings
assigned to them in the Agreement.
