("Vendor"), a California Corporation acting by and through its duly authorized representative, and CITY OF FORT WORTH ("City"), a Texas home -rule municipal corporation acting by and through its duly authorized Assistant City Manager, each individually referred as a "Party" and collectively as the "Parties." WHEREAS, the Parties entered into an Agreement identified as Fort Worth City Secretary Contract 60116 ("Agreement"); WHEREAS, it is the collective desire of the Parties to amend the Agreement to add an additional one-year renewal term from January 1, 2026 to December 31, 2026. M&C 24-0148 was originally approved to expire on December 31, 2025, to correspond to the terms of the Omnia Contract; WHEREAS it is the collective desire of the Parties to renew the Agreement for a one-year term (the "Second Renewal Term"). M&C 25-0961 was approved for an additional one-year term ending on December 31, 2026 up to $170,000 NOW, THEREFORE, the Parties, acting herein by and through their duly authorized representatives, enter into the following agreement: I. RENEWAL OF AGREEMENT The Agreement is hereby renewed for a Second Renewal Term commencing on January 1, 2026, and ending on December 31, 2026, unless terminated earlier in accordance with the Agreement. II. AMENDMENT TO THE AGREEMENT The Term and Renewal provision of the Agreement, shall be deleted in its entirety and amended to read as follows: The current renewal term of the agreement began on January 1, 2025 and expires December 31, 2025. The additional one-year renewal term will begin January 1, 2026 to December 31, 2026. To correspond with the terms of the cooperative contract, this agreement may be renewed for up to one additional one-year term for the same annual amount at the City's option up to $170,000.00. ALL OTHER TERMS SHALL REMAIN THE SAME All other provisions of the Agreement which are not expressly amended herein shall remain in full force and effect. IV. ELECTRONIC SIGNATURE This Amendment and Renewal may be executed in multiple counterparts, each of which shall be an original and all of which shall constitute one and the same instrument. A facsimile copy or computer image, such as a PDF or tiff image, or a signature, shall be treated as and shall have the same effect as anoriginal. Using an Identified Omnia Partners Contract for Interpretation and Translation Services and Related Solutions to Add an Additional One -Year Renewal Term in an Annual Amount Up to $170,000.00 for City Departments RECOMMENDATION: It is recommended that City Council authorize the execution of an amendment to a City Secretary contract with Language Line Services Inc. using an identified Omnia Partners contract for interpretation and translation services and related solutions to add an additional one-year renewal term in an annual amount up to $170,000.00 for City Departments DISCUSSION: On September 18, 2023, the City entered into City Secretary Contract No. 60116 with Language Line Services, Inc. utilizing Omnia Partners Contract No. R210605 for interpretation and translation services and related solutions in an annual amount up to $100,000.00 for City departments. On February 27, 2024, City Council approved Mayor and Council Communication (M&C) 24-0148 to increase the annual amount of the agreement by $50,000.00 for the Water Department. On June 5, 2025, the agreement was increased by an additional $20,000.00 for Medstar's transition to the City under the Fire Department's Emergency Management Services (EMS) on July 1, 2025 for a new total annual amount up to $170,000.00. The purpose of this M&C is to amend City Secretary Contract No. 60116 to add an additional one-year renewal term from January 1, 2026 to December 31, 2026. M&C 24-0148 was originally approved to expire on December 31, 2025. Due to this error, staff is now requesting authorization to add an additional one-year renewal in order to the align with the Omnia Partners cooperative contract. The maximum amount allowed under the agreements Citywide will be $170,000.00. However, the actual amount used will be based on the needs of the department and available budget. Funding is budgeted in the various accounts within the participating departments operating budgets, as appropriated. COOPERATIVE PURCHASE: State law provides that a local government purchasing an item under a cooperative purchasing agreement satisfies state laws requiring that the local government seek competitive bids for purchase of the items. Omnia Partners have been competitively bid to increase and simplify the purchasing power of local government entities across the State of Texas. TERM: The current renewal term of the agreement began on January 1, 2025 and expires December 31, 2025. The additional one-year renewal term will begin January 1, 2026 to December 31, 2026. To correspond with the terms of the cooperative contract, this agreement may be renewed for up to one additional one-year term for the same annual amount at the City's option. SMALL BUSINESS ORDINANCE: This cooperative agreement request was submitted before September 1, 2025, preceding the implementation of the Small Business Program.
