HomeMy WebLinkAbout060545-R2A5 - General - Contract - Brown Martin Art RestorationCSC No. 60545-R2AD5 SECOND RENEWAL AND FIFTH ADDENDUM TO CITY SECRETARY CONTRACT NO. 60545 This SECOND RENEWAL AND FIFTH ADDENDUM TO CITY SECRETARY CONTRACT NUMBER 60545 ("Second Renewal and Fifth Addendum") is entered into by and between the City of Fort Worth ("City"), a home -rule municipal corporation of the State of Texas, acting by and through Dana Burghdoff, its duly authorized Assistant City Manager, and Brown Mountain Art Restoration ("Conservator"), a sole proprietorship acting by and through Laura Pate, its owner. City has designated the Arts Council of Fort Worth and Tarrant County, Inc. d/b/a Arts Fort Worth ("Contract Manager") to manage this Agreement on its behalf. The Contract Manager shall act through its designated Public Art collection manager. WHEREAS, on November 27, 2023, the City and Conservator entered into a non- exclusive professional services agreement whereby Conservator will provide general maintenance, conservation, and consultation to the City for the City's art Collection, said contract being City Secretary Contract ("CSC") No. 60545 ("Agreement"); and WHEREAS, pursuant to the Agreement, Conservator performs services for the City on an as -needed basis pursuant to individual addenda; and WHEREAS, the Agreement is in its first renewal period and sets forth that the services to be provided shall be based on the annual Fort Worth Public Art work plan and on an as - needed basis in accordance with fully executed addenda, and as such the Parties have entered into several addenda in accordance with the Agreement (CSC Nos. 60545-AD1, 60545-AD2, 60545-R1AlAD3 and 60545-AD4) and the agreement has been amended once (60545- R1AlAD3); WHEREAS, the First Renewal Term of the Agreement is set to end on September 30, 2025; and WHEREAS, the City and Conservator mutually desire to exercise the second one-year renewal option ("Second Renewal Term") under the Agreement under the original compensation terms of the agreement for an annual not to exceed amount of Fifty Thousand Dollars and No Cents ($50,000.00); and WHEREAS, work included in this Fifth Addendum provides for repairs for an artwork titled Off the Line installed in the Race Street Urban Village located at approximately 2806 Race Street, Fort Worth, 76111; and NOW, THEREFORE, in consideration of the mutual covenants herein expressed, the parties agree as follows: I. The City and Conservator hereby agree to exercise the second one-year renewal option, effective beginning on October 1, 2025, and expiring on September 30, 2026 ("Second Renewal Term"). Conservator shall perform necessary tile repair services for an artwork titled Off the Line pursuant to the terms of the Agreement. Work shall include restoring loose tiles, replacing missing tiles, and infill as necessary, secure end cap, and clean artwork following restoration. Conservator will coordinate services with and through the Contract Manager and with City Contractors as required. Services outlined in this Addendum shall be based on hourly rates in accordance with Exhibit B - Conservator's staff rate schedule, plus reasonable expenses approved in advance by the City and supported with receipt of documentation at invoicing. All terms and conditions of the Agreement not specifically addressed herein remain in full force and effect and are binding upon the parties.
