HomeMy WebLinkAbout061707-A2 - General - Contract - TOR Texas, LLC dba The Organic RecyclerSECOND AMENDMENT TO CITY SECRETARY CONTRACT NO. 61707 A NON-EXCLUSIVE VENDOR SERVICES AGREEMENT BETWEEN THE CITY OF FORT WORTH AND TOR TEXAS, LLC This Second Amendment to City Secretary Contract Number 61707 ("Second Amendment") is entered into by and between the City of Fort Worth (hereafter "City"), a home rule municipality, and TOR Texas, LLC dba The Organic Recycler ("Vendor"), a Texas limited liability company. City and Vendor may be referred to individually as a Party and collectively as the Parties. WHEREAS, on July 16, 2024, the Parties entered into City Secretary Contract 61707 to provide the City with organic waste processing services ; WHEREAS, the Parties wish to amend the Agreement to revise Section 1.1 to clarify the receipt of organic waste from all City facilities; update the scope of services and facility addresses; and update the payment schedules in Exhibits A and B to include additional pricing categories. NOW, THEREFORE, the Parties, acting herein by the through their duly authorized representatives, agree to amend the Agreement as follows: I. AMENDMENTS 1. Section 1.1 of Exhibit A "Scope of Services" is hereby repealed to be and read as follows: 1.1 -off customers, and all other City facilities. 2. Section 3, Composting Facilities, of Exhibit A "Scope of Services" is hereby repealed to be and read as follows: 3. Composting Facilities. Vendor shall receive and process all Acceptable Organic Waste at 5100 Forest Hill Circle, Forest Hill, Texas 76140; 6701 Anglin Drive, Forest Hill, Texas 76140; or 13001 Old Denton Road, Fort Worth, Texas 76177. If the City and Vendor agree on a new composting facility, it must be within twenty (20) miles of the intersection of Interstate Highway 30 and Interstate Highway 35W. 3. Exhibit A is hereby amended to add the following table for Processing of Animal Shavings and Bedding (with "Animal Bedding" hereby defined as a moisture-absorbing material often used in livestock stalls, commonly made of straw, shavings, and pellets): Material Type Tonnage Range (Tons) Unit Price ($/Ton) Animal Shavings / Bedding 0 5,000 $45.00 Animal Shavings / Bedding 5,001 10,000 $45.00 Animal Shavings / Bedding Over 10,000 $45.00 All other provisions of Exhibit A remain unchanged. 4. Exhibit B is amended to include the following new product line: Finished Product Type Unit Price ($ per cubic yard) Compost Animal Shavings / Bedding Blend $20.00 All other pricing and terms in Exhibit B remain in full force and effect. 5. ALL OTHER TERMS SHALL REMAIN THE SAME All other provisions of the Agreement which are not expressly amended herein shall remain in full force and effect. 3. ELECTRONIC SIGNATURE This Amendment may be executed in multiple counterparts, each of which shall be an original and all of which shall constitute one and the same instrument. A facsimile copy or computer image, such as a PDF or tiff image, or a signature, shall be treated as and shall have the same effect as an original.
