RECITALS A. Grantor and Lender previously entered into a contract assigned City Secretary Contract No 62419 ("Contract"). Capitalized terms used but not defined herein shall have the meaning providing in the Contract. B. Grantor previously delivered to Lender that Deed of Trust dated December 27, 2024, and recorded in the Tarrant County, Texas official Public Records on March 11, 2025, as Instrument No. D225040599 (the "Original Deed of Trust"), as security for the loan detailed in the Contract. C. Grantor and Lender amended the Contract pursuant to the Second Amendment to the Contract, in part to increase the loan amount provided by Lender to Grantor. D. Grantor and Lender now desire to amend the Original Deed of Trust as provided herein. AMENDMENT NOW, THEREFORE, in consideration of the above and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows: 1. Recitals. The foregoing recitals are incorporated here by reference as if she same had been restated in their entirety. 2. Obligations. The portion of the Original Deed of Trust defining Obligations is hereby deleted and replaced in its entirety with the following: Obligations Note (including amendments) Date: October 31, 2025 Principal Amount: $6,500,000.00 Borrower: Child Care Associates Lender: City of Fort Worth Terms of Payment: As provided in the Note Maturity Date: As described therein and in the Contract (as defined below) OFFICIAL RECORD FIRST AMENDMENT TO DEED OF TRUST— ARPA FUNDS Page I Child Care Associates CITY SECRETARY Child Development Facility in Stop Six FT. WORTH, TX In addition, Obligations shall include compliance by Grantor with the ARPA Requirements more particularly described in Section F. below. 3. Ratification. Grantor hereby ratifies and confirms the lien and security interest of Lender upon and in any and all property, real, personal or mixed, tangible or intangible, encumbered by the Original Deed of Trust. 4. No Other Modifications. Except as herein amended, the Original Deed of Trust shall continue in full force and effect in accordance with its terms. 5. Miscellaneous. This Amendment represents the complete agreement between Borrower and Lender with respect to the matters set forth herein. This Amendment shall be governed by, and construed in accordance with, the laws of the State of Texas. This Amendment may be executed in any number of counterparts with the same effect as if the signature thereto and hereto were in the same instrument, but all of which together shall constitute one in the same instrument.
