HomeMy WebLinkAbout062419-PN1-A1 - General - Contract - Child Care AssociatesCSC No. 62419-PNlA1 FIRST AMENDMENT TO PROMISSORY NOTE THIS FIRST AMENDMENT TO THE PROMISSORY NOTE ("Amendment") dated as of October 31, 2025, is made by and between the City of Fort Worth (hereafter "Lender"), a Texas municipal corporation, and Child Care Associates, a Texas nonprofit corporation (hereafter "Borrower"). RECITALS A. Borrower executed and delivered the Promissory Note dated December 27, 2024, payable to Lender in the original amount of Five Million and 00/100 Dollars ($5,000,000.00), (the "Note"). B. Lender and Borrower desire to amend the Note as provided herein. AMENDMENT NOW, THEREFORE, in consideration of the Lender's agreement to amend the Note, and for other good and valuable consideration in hand paid, the receipt and sufficiency of which is hereby acknowledged, the Borrower and Lender agree as follows: 1. Defined Terms. All terms not expressly defined herein shall be deemed to have such meanings as stated in the Note. 2. Principal Amount. Any and all references to Principal Amount in the Note shall be amended, restated and modified to reflect a Principal Amount of Six Million Five Hundred Thousand and 00/100 Dollars ($6,500,000.00). 3. No Further Amendments. Except as herein amended, the Note shall continue in full force and effect in accordance with its terms. All references in the Loan Documents to the Note shall be deemed to refer to the Note as amended by this Amendment. 4. Miscellaneous. This Amendment represents the complete agreement between Borrower and Lender with respect to the matters set forth herein. This Amendment shall be governed by, and construed in accordance with, the laws of the State of Texas. This Amendment may be executed in any number of counterparts with the same effect as if the signature thereto and hereto were in the same instrument, but all of which together shall constitute one in the same instrument.
