SEVENTH AMENDMENT
TO
FORT WORTH CITY SECRETARY CONTRACT NO. 46273
This Seventh Amendment to Fort Worth City Secretary Contract No. 46273 ("Seventh
Amendment") is made between the City of Fort Worth ("City,") a Texas home rule municipality,
and Scientel Solutions LLC ("Vendor,") a Delaware Company. City and Vendor are each
individually referred to herein as a "party" and collectively referred to as the "parties."
WHEREAS, on December 17, 2014, the Parties entered into City Secretary Contract No.
46273 to provide support and maintenance of the City's Public Safety Microwave and MPLS
Network (the "Agreement");
WHEREAS, on August 8, 2022, Mayor and Council Communication ("M&C") 22-0549,
authorized the execution of the Fifth Amendment to include an additional five-year term, one
three-year renewal option, and one two-year renewal option;
WHEREAS, the Parties desire to clarify that the Agreement is currently in the five-year
term authorized by M&C 22-0549;
WHEREAS, on December 9, 2025, M&C 25-1105 authorized the execution of an
amendment to the Agreement to include the purchase and installation of two additional microwave
links, including all necessary equipment, configuration, and ongoing maintenance and support
services;
WHEREAS, it is now the collective desire of the parties to include pricing in accordance
with Exhibit A-3, Northwest Tower Site Addition, for a revised total annual contract amount not
to exceed $7,941,132.56;
NOW THEREFORE, known by all these present, City and Vendor, acting herein by and
through their duly authorized representatives, agree to the following terms, which amend the
Agreement as follows:
I. AMENDMENTS
1. The Agreement is hereby amended to clarify that the Parties are currently in the
five-year term as authorized under M&C 22-0549 and the Fifth Amendment, which expires on
December 31, 2027, and that the Agreement includes one three-year renewal option, beginning
January 1, 2028 and expiring December 31, 2030, and one two-year renewal option, beginning
January 1, 2031 and expiring December 31, 2032.
2. The Agreement is hereby amended to include Exhibit A-3, Northwest Tower Site
Addition, attached to this Seventh Amendment, which includes the purchase and installation of
two new microwave links, at a one-time cost of $279,472.86. In addition, ongoing maintenance
and support services for the new links will be provided at an annual cost of $32,500.00, beginning
January 1, 2027 and continuing through December 31, 2032.

3. The total contract amount is hereby amended to a revised contract amount not
exceed $7,941,132.56.
IL MISCELLANEOUS
All other terms, provisions, conditions, covenants and recitals of the Agreement not
expressly amended herein shall remain in full force and effect.

1. Executive Summary

engineering, implementing, and maintaining network -based projects in both the Public and Private

Scientel is proposing an amendment to Fort Worth Contract 46273. This amendment would cover the
addition of two microwave links to the network and would include the support and maintenance of
these two new microwave links to be coterminous with the existing Fort Worth Contract 46273. This
amendment includes the following:

2. Scope of Services
A. Design
Scientel has designed this update to the existing Fort Worth Regional Radio System to include the new
Northwest Tower site. The scope of work for turn -key services to install and support 1 new microwave
link from the New Northwest Tower site to North Beach and relocating the existing North Beach to Eagle
Mountain microwave link to New Northwest Tower to Eagle Mountain.
Path Surveys:
Detailed microwave path surveys will be conducted upon contract award to determine or verify site
coordinates, ground elevation, on -path obstructions (location and height), tower information, and other
parameters required to engineer the final design of the radio links. The present and anticipated future
effect of on -path obstructions, such as tree growth, is evaluated and incorporated into the path design
where applicable. Microwave path surveys include the following responsibilities:

Scientel's geodetic coordinates will be accurate to within 1-second of latitude and 1-second of longitude.
Ground elevations are accurate to within 5-feet and that on -path obstructions at critical points are
identified and present heights are accurate to within 5-feet.
Path Design:
Upon contract award and subsequent completion of detailed path surveys, Scientel will perform final
path design. The Project can move to the implementation stage based on the recommendations within
the final design report. Path design services include the following responsibilities:

with normal atmospheric multi -path fading, up -fading, rain fading and
obstruction fading;
• Submit a final path design report, including system maps, path profiles

and availability calculations.
In addition to warranty exclusions set forth in the Agreement, Scientel is not responsible for excessive
outages or degraded performance due to abnormal fading conditions that include, but are not limited to:
Formation of extreme radio refractivity gradients associated with:
o Exceptionally large temperature inversions,
o Abnormal temperature/humidity layers,
o Fog formation,
o Signal trapping caused by surface or atmospheric ducting;
Reflections from unidentifiable off path terrain features or new physical structures;
Rain fading due to rainfall rates that are in excess of the published rates or charts used to predict rain
induced outages;
If Scientel suspects abnormal propagation conditions are causing degraded system performance, Scientel
will reasonably assist the City of Fort Worth in verifying the conditions leading to the degraded system
performance. After the problem has been identified, Scientel will support the City of Fort Worth in
identifying possible solutions to the problem, and assess the incremental improvement expected from
corrective actions.

o Scientel will perform all necessary cable runs utilizing waveguide and fibers as applicable.
o Scientel will de -install the 6ft diversity antenna and waveguide currently facing North Beach.

o Scientel will realign the 6ft antenna at 130' so it is now facing New Northwest Tower.
o Scientel will verify data connectivity.
o Upon system installation completion, Scientel will conduct a formal Site Acceptance Test
(SAT).

o Scientel will perform all necessary cable runs utilizing waveguides and fibers as applicable.
o Scientel will install new 19" rack.
o Scientel will install Nokia Power Distribution Unit and connect to existing 120Vac power
outlet.
o Scientel will install licensed Nokia Wavence MPT radios in new 19" rack.
o Scientel will install dehydrator and manifold on new dehydrator wall shelf.
o Scientel will terminate waveguide on Nokia Wavence MPT radio and on 6ft antenna at 175'
facing Eagle Mountain.
o Scientel will align the link facing Eagle Mountain.
o Scientel will terminate waveguide on Nokia Wavence MPT radio and on 6ft antenna at 175'
facing North Beach Tower.
o Scientel will align the link facing North Beach Tower.
o Scientel will install a Nokia 7705 and verify data connectivity.
o Upon system installation completion, Scientel will conduct a formal Site Acceptance Test
(SAT).

o Scientel will perform all necessary cable runs utilizing waveguide and fibers as applicable.
o Scientel will connect Nokia Wavence MPT to existing Power Distribution Unit.
o Scientel licensed Nokia Wavence MPT radio in existing 19" rack.
o Scientel will de -install the 6ft main antenna and waveguide currently facing Eagle Mountain.
o Scientel will de -install the 6ft diversity antenna and waveguide currently facing Eagle
Mountain.
o Scientel will terminate waveguide on Nokia Wavence MPT radio and on 6ft antenna at 147'
facing New Northwest Tower.
o Scientel will align the link facing New Northwest Tower.
o Scientel will verify data connectivity.
o Upon system installation completion, Scientel will conduct a formal Site Acceptance Test
(SAT).

B. Proposal Assumptions
• Mounting locations to be approved by City of Fort Worth and Scientel, respectively.
• Scope of work allows for coordinated scheduled deployment and site access, any interruptions to
project schedule may be subject to change order.
• All work is to be performed during non -rush hour traffic timeframes.

• No Building Permits and no special zoning or land development permits will be required.
• All proposed FCC frequencies and required channel bandwidths are available.
• All preliminary path designs are preliminary until detailed physical path surveys are complete
• Scientel will reuse all existing antennas (main and diversity) from the existing North Beach to Eagle
Mountain path.
3. Equipment Supported
Scientel Solutions LLC will continue to support all of the equipment detailed in Fort Worth Contract
46273 as well as the new equipment that being installed for the Eagle Mountain to New Northwest
Tower site and New Northwest Tower site to North Beach microwave links. Additionally, support
coverage will extend to new microwave and MPLS components that are to be installed to replace end -of -
support units. A detailed list of the new equipment will be provided to the City of Fort Worth upon
completion of installation. Please refer to tables below:

A. System Monitoring
Scientel Solutions securely integrates an SNMP monitoring solution to provide visual, audible, email,
and text alerts to the Network Operations Center (NOC) at our headquarters in Aurora, IL to ensure
expedited notification and response to network events. We utilize incident management software for
ticketing and reporting which allows Scientel Solutions to report on key performance metrics (KPIs).
Once the team is made aware of a change in network conditions, the engineer will begin to ticket,
notify appropriate parties, and triage the situation. Once the situation is assessed, the engineer will
determine if the issue can be resolved remotely or if a member of staff is required to be dispatched to
the location. Throughout the lifecycle of the incident, the ticket and documentation are updated,
allowing Scientel to keep accurate statuses for awareness and escalations. Our NOC is here to support
The City of Fort Worth on a 24x7x365 basis. Scientel Solutions also coordinates with other vendors and
the city to implement and track changes and improvements in the network. We offer personalized
services to meet the needs of the City of Ft. Worth.
Scientel's NOC will utilize Fort Worth's NSP Server that will automatically generate tickets as problems
arise on a proactive basis for priorities 1-3. Priority 4, tickets can be generated by calling our 24x7x365
NOC number or by submitting an email to the NOC email address:

4. System Support & Preventative Maintenance
Scientel Solutions will conduct physical maintenance inspections (indoor, infrastructure, and network
hardware & software) on a quarterly basis with fifteen days advance notice to The City of Fort Worth.

The scheduled inspections shall take place at the agreed upon time and locations, upon the conclusion
of these inspections Scientel and The City of Fort Worth will conduct a quarterly business review
meeting.

B. System Upgrades
All major software upgrades will happen in alternating years in order to maintain the manufacturer Gold
Level Support requirements while minimizing how often the network is impacted for the software

Upon receipt of notification of an issue from Scientel's monitoring system, Scientel will utilize, categorize,
and troubleshoot the failure as necessary. Scientel will determine the severity level of the project and
respond based on the timetable noted in section 5A. Scientel will serve as a Level 1 call center while

B. Support Scope of Services
The Scientel Solutions Customer Lifecycle Management Program is designed to support the system
on a 24 hour, 7 days a week basis. As part of the maintenance and support Scientel shall provide
network monitoring services, which will include the monitoring of all devices listed in section 2.
Scientel will provide services to create custom reports, as available, from the NSP that can not only
be generated for quarterly system performance reviews but also ad -hoc generation as well. These
services will also cover implementing additional features available with future firmware upgrades.
NSP will also have a dashboard interface that will be accessible to the City of Fort Worth, and
Scientel will assist Fort Worth Radio Shop personnel with guidance on accessing and utilizing the
interface.
C. Assumptions
• Network performance service levels encompass end to end systems only. No customer supplied
devices (excluding devices purchased for client by Scientel solutions in connection with the
system) are considered in this measurement.
• Scientel will monitor the status of all MPLS equipment connecting the sites above.
• All spares will be warehoused at Scientel facility to minimize any outage time caused due to
equipment failures.
D. Exclusions
• Transmission (waveguide) Lines, antennas, and dehydrator units are exempt from this contract.
• DC Power System equipment used to provide electrical power to specified covered devices are
exempt from this contract.
E. Force Majeure & Non -Warranties
All work authorized by client to be performed by Scientel in a Force Majeure & Non -Warranty related
items that is otherwise not covered by the system or equipment warranty or is not within the base
services provided hereunder shall be billed at an hourly rate of $120.00/hr, 4 hour minimum and
$150.00 trip charge. (Weekdays outside the hours of 8AM-5PM Central Time, M-F) Saturday work
shall be billed at an overtime rate of $180.00/hr, 4 hour minimum and a $150.00 trip charge plus
expenses, Sunday and holiday work shall be billed at an overtime rate of $240.00/hr, 4 hour
minimum and $150.00 trip charge with the addition of out of pocket expenses. Unless necessary to
ensure the effective functionality of the system, Scientel Solutions shall not perform any non -
warranty, emergency, or after-hours work unless it has first provided a written estimate to client and
has received a written authorization (e.g. purchase order) from client to perform the work. For any
emergency work necessary to ensure the effective functionality of the system, Scientel shall provide
prompt notice to client of the need to perform such work. Scientel shall not revise the hourly
technician billing rate during the term of this agreement without the prior written consent of the
client.

Definition of Force Majeure- The "Event of Force Majeure" means an event beyond the control of
Scientel Solutions which prevents Scientel Solutions from complying with any of its obligations under
this contract, including but not limited to:
• Acts of God (such as, but not limited to, fires, explosions, earthquakes, drought, tidal waves,
and floods)
• War, hostilities, invasion, act of foreign enemies, mobilization, requisition, or embargo
• Rebellion, revolution, insurrection, or military or usurped power, or civil war
• Contamination by radioactivity from any nuclear fuel, or from any nuclear waste from the
combustion of nuclear fuel, radio -active toxic explosive, or other hazardous properties of any
explosive nuclear assembly or nuclear component of such assembly
• Riot, commotion, strikes, go slows, lockouts or disorder, unless solely restricted to employees of
the supplier or of his subcontractors
• Act or threats of terrorism.
Definition of Non -Warranty- Warranty that does not apply to: damage caused by accident, abuse,
misuse, water, flood, fire, or other acts of nature or external causes; damage caused by service
performed by anyone who is not an authorized service provider of Scientel; or damage to a product
that has been modified without written permission of Scientel.
Support Records
• Scientel shall maintain the "inspection checklist" for three years after the project is completed.
• At the conclusion of the project, Scientel shall update "inspection checklist" as deemed
warranted by the Scientel individual currently maintaining the checklist
• Scientel shall maintain all documentation necessary to support the system during the term of
this agreement and shall provide such documentation to the client upon reasonable request.

6. Project Responsibilities
Scientel Solutions Responsibilities: Scientel will designate a Project Manager who will
direct Scientel's efforts and serve as the primary point of contact for the client. The Scientel Project
Manager will have significant authority to make certain decisions relative to the project, on behalf
of Scientel, and will have direct access to Scientel's executive management for resolving problems
beyond the Project Manager's immediate authority. The responsibilities of the Scientel Project Manager
include:
• Participate with the client in daily progress review meetings and submit status reports that identify
the activities of the previous review period, as well as activities planned for the upcoming review
period, including an updated Project Schedule. Maintain project communications with the client's
Project Manager(s).
• Participate in weekly conference calls or face-to-face meetings and issue a mutually agreed upon
agenda for each call or meeting.
• Manage the efforts of Scientel staff and coordinate activities with client's project team members.
• Measure, evaluate and report the progress against the Project Schedule.
• Resolve deviations from the Project Schedule.
• Monitor the project to ensure that support resources are available as scheduled and as identified in
the contract.
• Assume accountability for all Scientel contractor and subcontractor supplied tasks within the
Project Schedule, if any.
• Coordinate and oversee the installation of all hardware and software.
• Review and administer change control procedures through the client's Project Manager, commonly
referenced as a "Project Change Request" (PCR), issued by the Scientel Project Manager.
• Work with the client Manager(s) in designing and approving the format of an action item log to be
used in conjunction with the Project Schedule. The purpose of the log is to identify outstanding
issues, provide continual status updates on specific tasks and to identify responsibilities of the
parties.
• Prepare and submit regular status reports that identifies the activities and milestones completed in
the previous month and activities planned for the current month and the next month, including
progress and payment milestones, and an updated Project Schedule.
• In the event that Scientel must replace or substitute a Project Manager, Scientel will immediately
notify the client of such a change and will provide the client with a resume of the
person Scientel intends to substitute or change.
• Provide and coordinate lift trucks and trained/authorized operators as well as licensed electricians
to install devices as required. If tower crews are required per the defined type of installation in the
summary section, it is the responsibility of Scientel.
• Provide wall penetrations, conduit, cable trays and other supporting equipment necessary for the
routing of power, grounding, and networking cables.
• Prepare Method of Procedure (MOP) request for all service affecting work activities.
• Schedule on -site work activities affected by MOP approval(s) based on the work activity and time
of day and day of the week restrictions designated in the approval.

Customer Responsibilities: The client will designate a Project Manager who will direct the client efforts
and serve as the primary point of contact for Scientel. The client's Project Manager(s) will have
significant authority to make certain decisions relative to the project, on behalf of the client, and will
have direct access to the client's executive management for resolving problems beyond the Project
Manager's immediate authority. The responsibilities of the client's Project Manager(s) include:
• Maintain project communications with Scientel's Project Manager.
• Identify the efforts required of the client's staff to meet the client task requirements and
milestones in the Statement of Work and Project Schedule.
• Measure and evaluate progress against the Project Schedule.
• Monitor the project to ensure that support resources are available as scheduled.
• Participate in Progress Reviews meetings.
• Provide timely responses to issues related to project progress raised by Scientel's Project Manager.
• Approve and release payments in a timely manner predicated on project deliverables.
• Ensure that all appropriate client personnel attend and actively participate in Progress Reviews,
conference calls, and other project meetings.
• Assign one or more personnel who will work with Scientel staff as needed for the duration of the
project, including at least one system administrator.
• Ensure acceptable Standard Change Request and Approval Letter(s) are approved by authorized
signature(s).
• Provide building access to Scientel personnel to all facilities where the system is to be installed
during the project. Temporary identification cards should be issued to Scientel personnel if
required for access to client facilities. Access must be available after business hours where required
by Scientel, or as necessary to meet the project schedule.
• Provide any required parking permits to Scientel personnel for restricted access entry and/or
parking.
• Obtain all zoning, site access, and other permits (including, but not limited to, easements, impact
studies, planning commission approval, variances, etc) necessary for this project and any other
agreements required to gain use of sites.
• Provide the appropriate fire inspection and building inspection certificates.
• Provide adequate space, electrical power, communications lines, and environmental appropriations
for the communications equipment to be installed by Scientel.
• Review and approve or revise delivered design documents within ten days of submission.
• The client must inform Scientel of all relevant rules, regulations, and requirements for
installation. Should these conditions impact the project schedule and limit installation, the client
may incur additional cost.

RECOMMENDATION:
It is recommended that the City Council authorize the execution of an amendment to City Secretary
Contract No. 46273 with Scientel Solutions, LLC, utilizing Houston Galveston Area Council Contract
No. CW1019, for the addition of two microwave links, including equipment, installation, and ongoing
maintenance, with a one-time cost of $279,472.86 and an increase to the recurring annual
maintenance cost by $32,500.00, for a revised total contract amount up to $7,941,132.56, for the
Information Technology Solutions Department.
DISCUSSION:
On December 9, 2014, City Council, through Mayor and Council Communication (M&C) C-27128,
authorized a ten-year professional services agreement with Scientel Wireless, LLC (Scientel), utilizing
the Houston -Galveston Area Council (HGAC) Contract No. CW10-14, in an amount not to exceed
$2,097,700.00 for maintenance of the City's Public Safety Microwave System.
On June 26, 2018, City Council, through M&C P-12212, authorized the execution of the Second
Amendment to City Secretary Contract (CSC) No. 46273 for additional maintenance services and
system upgrades to the City's Public Safety Microwave System in the amount of $381,037.60, for a
revised total contract amount of $2,478,737.60.
On April 30, 2020, the City executed the Third Amendment to CSC No. 46273 to upgrade the
microwave system software at a one-time cost of $9,500.00, for a revised total contract amount of
$2,488,237.60.
On October 12, 2021, City Council, through M&C 21-0775, authorized the execution of the Fourth
Amendment to CSC No. 46273 for additional maintenance services and system upgrades to the City's
Public Safety Microwave System, utilizing successor HGAC Contract No. CW10-19, with a one-time
cost of $76,618.55 and an additional annual maintenance cost of $8,000.00, for a revised total
contract amount of $2,572,856.15.
On August 9, 2022, City Council, through M&C 22-0549, authorized the execution of the Fifth
Amendment to CSC No. 46273 for additional maintenance services and system upgrades to the City's
Public Safety Microwave System, increasing the contract amount through 2032 by $4,860,315.73, for
a revised total contract amount of $7,433,171.88.
On June 27, 2023, City Council, through M&C 23-0532, authorized the execution of the Sixth
Amendment to CSC No. 46273 to purchase replacement hardware at a one-time cost of $33,492.55,
for a revised total contract amount of $7,466,659.70 as amended.
This M&C is to request authorization to execute the Seventh Amendment to CSC No. 46273 to
purchase and install two new microwave links, including equipment, configuration, and cutover
services, and for the purchase of annual ongoing maintenance and support for these links. One link
will be established between the future Northwest radio tower site and North Beach radio tower, and the

second link will relocate the existing link between the North Beach and Eagle Mountain radio towers to
run between the Northwest radio tower site and Eagle Mountain radio tower.
The initial purchase and implementation cost for the new microwave links is $279,472.86. Ongoing
maintenance and support services for these new links have been quoted at $32,500.00 annually,
beginning January 1, 2027 through December 31, 2032. This annual cost is in addition to the existing
maintenance services and ensures continuity of service while aligning with the renewal options already
authorized under CSC No. 46273.
Upon City Council approval, the revised total contract amount will be in an amount up to
$7,941,132.56, with expected annual amounts described below.

Funding is budgeted in the Tax Note Series 2023 Fund for the Information Technology Solutions
Department for the purpose of funding the NW Radio Tower project.
COOPERATIVE PURCHASE: State law provides that a local government purchasing an item under a
cooperative purchasing agreement satisfies State laws requiring that the local government seek
competitive bids for purchase of the item. Cooperative contracts have been competitively bid to
increase and simplify the purchasing power of local government entities across the State of Texas.
Except as expressly modified herein, all other terms and conditions of the existing agreement shall
remain unchanged and in full force and effect as stated below.
SUCCESSOR CONTRACTS: The City will initially use the Houston -Galveston Area Council (HGAC)
cooperative agreement to make purchases authorized by this M&C. In the event the cooperative
agreement is not renewed, staff would cease purchasing at the end of the last purchase agreement
coinciding with a valid cooperative contract. If the City Council were to not appropriate funds for a
future year, staff would stop making purchases when the last appropriation expires, regardless of
whether the then -current purchase agreement has expired.
If the cooperative agreements are extended, this M&C authorizes the City to purchase similar products
under the extended contract. In the event a cooperative agreement is not extended, but vendor and
cooperative purchasing agency execute new cooperative agreement(s) with substantially similar
terms, this M&C authorizes the City to purchase the products under the new contract(s). If this occurs,
in no event will the City continue to purchase goods and services under the new agreement beyond
December 2032 without seeking Council approval.

ADMINISTRATIVE CHANGE ORDER: An administrative change order or increase may be made by
the City Manager up to the amount allowed by relevant law and the Fort Worth City Code and does not
require specific City Council approval as long as sufficient funds have been appropriated.
AGREEMENT TERM: Upon City Council approval and execution of the amendment, the current term
of the agreement shall expire December 31, 2027.
RENEWAL OPTIONS: The Agreement may be renewed for one additional three-year term beginning
January 1, 2028 and expiring December 31, 2030 and for one additional two-year term beginning
January 1, 2031 and expiring December 31, 2032, at the amounts listed in the table above, unless
modified by a subsequent amendment adjusting the contract amount.
FISCAL INFORMATION/CERTIFICATION:
The Director of Finance certifies that funds are available in the current capital budget, as previously
appropriated, in the Tax Notes Series 2023 Fund for the NW Radio Tower project to support the
approval of the above recommendation and execution of the amendment. Prior to any expenditure
being incurred, the Information Technology Solutions Department has the responsibility to validate the
availability of funds.
