HomeMy WebLinkAbout059465-A1 - General - Contract - CNC Technologies, LLCCSC No. 59465-A1 FIRST AMENDMENT TO FORT WORTH CITY SECRETARY CONTRACT NO. 59465 This First Amendment to Fort Worth City Secretary Contract No. 59465 is made between the CITY OF FORT WORTH ("City"), a Texas home -rule municipal corporation acting by and through its duly authorized Assistant City Manager, and CNC TECHNOLOGIES, LLC ("Vendor"), a California limited liability company acting by and through its duly authorized representative. City and Vendor are individually referred to as a "Party" and collectively as the "Parties." WHEREAS, the Parties entered into an agreement identified as Fort Worth City Secretary Contract No. 59465 ("Agreement") on May 24, 2023, for 24/7 Service, Support, and Training of Aircraft Mission Suite Equipment; and WHEREAS, Parties mutually desire to formalize and memorialize the specific services provided by the Vendor in connection with the Bell 505 searchlight project; and WHEREAS, this formalize and memoria to the scope of services is a no -cost change and does not affect the total compensation or schedule under the original Agreement; and NOW, THEREFORE, City and Vendor do hereby agree to the following: I. AMENDMENT TO AGREEMENT The following terms are hereby amended to replace any conflicting terms in the Agreement or will be added to the terms and shall be binding and enforceable as if they were originally included therein: 1. Incorporation of Exhibit F.1. The Agreement is hereby amended by adding a new exhibit, attached hereto as Exhibit F.1 ("Scope of Services"), which is incorporated by reference into the Agreement as if fully set forth therein. In the event of any conflict between terms and conditions in Exhibit F.1 and the terms and conditions of the Agreement, the terms and conditions of the Agreement control. II. ALL OTHER TERMS SHALL REMAIN THE SAME All other provisions of the Agreement which are not expressly amended herein shall remain in full force and effect. III. WORTH, TX First Amendment to Fort Worth City Secretary Contract No. 59465-A1 Page 3 of 5 EXHIBIT F.1 SCOPE OF SERVICES - 2020 BELL 505 HELICOPTER, N505FW, SERIAL #65330 Scope of Services CNC Technologies shall perform the following services and provide the following equipment to the Fort Worth Police Department (FWPD) for installation on their 2020 Bell 505 helicopter, N505FW, serial #65330: • Replace one (1) Trakka TLX searchlight with one (1) Trakka TL-360 searchlight. • Remove Trakka TLX external cable assemblies and internal CIU to Controller cable. • Install TL-360 external retrofit cables and internal Interface to Controller 13-pin cable. • Remove TLX PCIU boxes and install TL-360 PCIU/CIU retrofit assembly. • Remove TLX hand controller / coiled cable and install 13-way coiled cable with MKIII grip controller. • Install 3-way toggle switch to incorporate Landing Light Mode. • Perform all modification work according to FAA requirements. • Perform EMI/EMC testing to ensure modifications do not adversely affect other aircraft equipment. • Supply all other necessary hardware for the installation (plates, doublers, cabling, fasteners, etc.). • Accept the FWPD Trakka TLX searchlight in trade for the new Trakka TL-360 searchlight. • Integration services will be performed by Trakka Systems at the FWPD Hangar in Fort Worth, Texas. • Prior to delivery of aircraft to customer, ground and flight functional test of newly installed equipment will be performed. • Provide Project Engineering and Management. • Provide Extended 24/7 Service, Support & Training (initial training will have been provided after the delivery of FWPD Bell 505, N911FW, serial #65491, under a separate contract). • The equipment and services listed will be provided to FWPD at no charge to the agency. CNC shall use the steps described below to manage the FWPD Bell 505 searchlight project: • CNC will provide Project Manager, Larry O'Brien, with experience and expertise deploying similar systems, who will be responsible for managing the contract deliverables and communicating with the FWPD project manager and project team. Fort Worth PD Responsibilities: • Provide the necessary aircraft technical data, logbook records, platform wiring diagrams, and any other supporting documents related to the installation. • Provide workspace (FWPD hangar), work benches, electrical and pneumatics required for Trakka to perform the integration work. First Amendment to Fort Worth City Secretary Contract No. 59465-A 1 Page 4 of 5 Project Kick Off • CNC's Project Manager shall conduct a conference call with FWPD staff and Trakka Systems to initiate the various activities in the project within two weeks of contract execution. Project Status Meetings • Project Status Meetings will not be required, due to the short time required to complete this integration (approximately three [3] days). Deliverables • CNC's Project Manager will work with the FWPD's Project Manager to provide the following: o A schedule of when the integration activities will take place at the FWPD Hangar. Installation is estimated to take approximately three (3) days. o Coordination between CNC, Trakka Systems, and FWPD representatives. o A Delivery Acceptance Form will be signed by CNC and FWPD when deliverables are performed by CNC/Trakka, as required for final delivery. o Completed Aircraft delivery to FWPD in fully operational condition. o Warranty support as required by FWPD.
