("Vendor"), a Texas Corporation acting by and through its duly authorized representative, and CITY OF FORT WORTH ("City"), a Texas home -rule municipal corporation acting by and through its duly authorized Assistant City Manager, each individually referred as a "Party" and collectively as the "Parties." WHEREAS, on March 11, 2024, the Parties entered into an Agreement identified as Fort Worth City Secretary Contract No. 61084 for GrayKey software ("Agreement"); WHEREAS, on January 9, 2025, the Parties amended the Agreement to: (1) clarify the total annual compensation amount allowed under the Agreement and (2) restructure the term dates and renewal options under the Agreement; WHEREAS it is the collective desire of the Parties to renew the Agreement for a one- year term (the "Second Renewal Term"); WHEREAS, it is the collective desire of the Parties to amend the Agreement by replacing Exhibit A with an updated Exhibit A to reflect updated pricing; and NOW, THEREFORE, Vendor and City do hereby agree to the following: I. RENEWAL OF AGREEMENT The Agreement is hereby renewed for a Second Renewal Term commencing on January 1, 2026, and ending on December 31, 2026, unless terminated earlier in accordance with the Agreement. II. AMENDMENT TO AGREEMENT The Agreement is hereby amended to be and read as follows: A. Exhibit A, which is attached hereto and incorporated herein, is made a part of this Agreement for all purposes, replacing the previous Exhibit A. III. ALL OTHER TERMS SHALL REMAIN THE SAME All other provisions of Agreement, as previously amended, which are not expressly amended herein shall remain in full force and effect.
