HomeMy WebLinkAbout058711-R3A3 - General - Contract - Front Line Mobile Health, PLLCCSC No. 58711-R3A3 THIRD RENEWAL AND THIRD AMENDMENT TO FORT WORTH CITY SECRETARY CONTRACT NO. 58711 This Third Renewal and Third Amendment to Fort Worth City Secretary Contract No. 58711 ("Agreement") is entered into by and between FRONT LINE MOBILE HEAL TH, PLLC. ("Vendor"), a professional limited liability company acting by and through its duly authorized representative, and City of Fort Worth ("City"), a Texas home-rule municipal corporation acting by and through its duly authorized Assistant City Manager, each individually referred as a "Party" and collectively as the "Parties." WHEREAS, City and Vendor entered into an Agreement identified as Fort Worth City Secretary Contract No. 58711 ("Agreement") on January 1, 2023, for comprehensive health and wellness services. The Agreement provides for four one-year renewal options; WHEREAS, on June 15, 2023, the Parties amended the Agreement to provide for advanced cardiovascular labs, cancer screenings, and specialty cariology evaluations; WHEREAS, on June 4, 2024, the Parties amended the Agreement to provide for additional services- Esophageal Cancer Screening; WHEREAS, the Parties agree to amend the Agreement by adding the attached updated Exhibit B to reflect updated pricing; WHEREAS, the Parties agree to amend the Agreement by increasing the annual compensation amount by $1,665,000.00 for a new total annual compensation of $3,635,000.00; and WHEREAS, it is the collective desire of the Parties to renew the agreement for the Third renewal option (the "Third Renewal Term"), from January 1, 2026, through December 31, 2026. NOW, THEREFORE, City and Vendor do hereby agree to the following: I. RENEW AL OF AGREEMENT The Agreement, as previously amended, is hereby renewed for an additional renewal term (the "Third Renewal Term") commencing on January 1, 2026, and ending on December 31, 2026, unless terminated earlier in accordance with the Agreement II. AMENDMENT TO AGREEMENT The Agreement is amended as follows: A. The Agreement is hereby amended by adding the attached Payment Schedule to Exhibit B. These added terms do not replace the terms of the Original Agreement, but are cumulative of pricing for services rendered under this Agreement. B. Section Three of the Agreement is amended to be and read as follows: Third Renewal and Third Amendment to Fort Worth City Secretary Contract No. 58711 Page 1 of8 3. Compensation. City will pay Vendor in accordance with the provisions of this Agreement, including Exhibit "B," which is attached hereto and incorporated herein for all purposes. Total compensation under this Agreement will not exceed three million six hundred thirty-five thousand dollars ($3,635,000.00). Vendor will not perform any additional services or bill for expenses incurred for City not specified by this Agreement unless City requests and approves in writing the additional costs for such services. City will not be liable for any additional expenses of Vendor not specified by this Agreement unless City first approves such expenses in writing. III. ALL OTHER TERMS SHALL REMAIN THE SAME All other provisions of Agreement, as previously amended, which are not expressly amended herein shall remain in full force and effect. IV. ELECTRONIC SIGNATURE This Third Renewal and Third Amendment may be executed in multiple counterparts, each of which shall be an original and all of which shall constitute one and the same instrument. A facsimile copy or computer image, such as a PDF or tiff image, or a signature, shall be treated as and shall have the same effect as anoriginal. There are two types of annual physicals for existing Fort Worth Firefighters: Short and Long. They are age-based, so in any given year, a firefighter will get either one or the other. $3,635,000.00 for Comprehensive Health and Wellness Services for the Police and Fire Departments RECOMMENDATION: It is recommended that the City Council authorize execution of an amendment to an agreement with Front Line Mobile Health, PLLC to increase the annual compensation amount to $3,635,000.00 for comprehensive health and wellness services for the Police and Fire Departments. DISCUSSION: On January 10, 2023, the City Council approved Mayor and Council Communication (M&C) 23-0038 which authorized the execution of an agreement with Front Line Mobile Health, PLLC (Front Line) to provide safety, health, wellness, and suitability evaluations for the Police and Fire Departments in the amount of $1,970,000.00. The City's Police and Fire Departments are expanding to serve nearly 1,000,000 Fort Worth residents. Beginning in 2026, the Fire Department (Fire) estimates an additional $1,365,000.00 will be needed for health and wellness services for firefighters and recently added Emergency Medical Services personnel. The Police Department (Police) projects the need for health examinations for recruits, law enforcement lateral transfers, and current police officers will increase by approximately $300,000.00 annually. This M&C requests authorization to execute a contract amendment to City Secretary Contract 58711, increasing the amount of the contract by $1,665,000.00 for a new total contract amount of $3,635,000.00 annually for Front Line to provide comprehensive health and wellness services for the Police and Fire Departments. Funding is budgeted in the General Operating & Maintenance category in the General Fund and the Emergency Medical Services Fund for the Police and Fire Departments. Except as expressly modified herein, all other terms and conditions of the existing agreement shall remain unchanged and in full force and effect as stated below. ADMINISTRATIVE CHANGE ORDER: An administrative change order or increase may be made by the City Manager up to the amount allowed by relevant law and the Fort Worth City Code and does not require specific City Council approval as long as sufficient funds have been appropriated. AGREEMENT TERM: The agreement, as amended, shall remain in effect and expire December 31, 2025. RENEWAL OPTION: Two renewal options will remain after the current term expires on December 31, 2025.
