This FIRST AMENDMENT TO CITY SECRETARY CONTRACT NUMBER 57096 ("First Amendment") is made and entered into by and between the City of Fort Worth ("City"), a home-rule municipal corporation of the state of TeXas, and Legends of Hanna Ranch, Ltd. ("Developer"), a Texas limited partnership. WHEREAS, the City and Developer entered into a Community Facilities Agreement for the construction of public infrastructure improvements for a Proj ect known as Hanna Ranch Three, City Project Number 102693, City Secretary Contract Number 57096 ("CFA"); and WHEREAS, the CFA provides that the Improvements being constructed pursuant to the CFA will be dependent upon the Hanna Ranch M-329 and M-295 sanitary sewer replacement project Developer was constructing pursuant to a separate community facilities agreement ("Necessary Improvements"); and WHEREAS, due to the contractor for the Necessary Improvements abandoning the job, the City agreed to take over the Project and hired a different contractor to complete the construction of the Necessary Improvements; and WHEREAS, City and Developer desire to amend the CFA to reflect the City's and Developer's agreement that the City take over the Necessary Improvements and the City's consent to Developer connecting the Improvements in the CFA to the Necessary Improvements; and WHEREAS, in connection with the City completing construction of the Necessary Improvements, a portion of the sewer lines that were proposed to be constructed as part of Hanna Ranch Three, and were solely serving the Hanna Ranch Three development ("Hanna Ranch Three Lines"), were added to the construction plans for the Necessary Improvements; and WHEREAS, City and Developer desire to amend the CFA to reflect Developer's and City's agreement that based on the City taking over the Project the Developer's obligations with respect to the Hanna Ranch Three Lines is limited to be payment to the City of $293,016.00; City of Fort Worth, Texas Amendment No. 1 to City Secretary Contract No. 57096 Page 1 of 4 OFFICIAL RECORD CITY SECRETARY FT. WORTH, TX 4920-0930-3658, v. 1 NOW THEREFORE, City and Developer, acting herein by and through their duly authorized representatives, adopt and incorporate the foregoing WHEREAS provisions and enter into the following agreement, all of which amends City Secretary Contract No. 57096: 1. The CFA is amended to replace the Cost Summary Sheet in Section 36 with the updated Cost Summary Sheet attached hereto as Exhibit A(the "Updated Cost Summary Sheet"). 2. The CFA is amended to add Section 37 which shall be and read as follows: 37. Sewer Line Extension In accordance with the Updated Cost Summary Sheet, Developer's sole liability going forward with respect to the Hanna Ranch Three Lines shall be to pay the City $293,016.00. 3. The CFA is amended to add Section 38 which shall be and read as follows: 38. Connection to Necessary Improvements Upon payment by Developer to the City of $293,016.00 as described in Section 37, City consents to Developer connecting the sanitary sewer Improvements in the CFA to the Necessary Improvements that the City has hired a new contractor to complete and that have been constructed by the new contractor. City agrees to remove any holds on the final plat related to the Project that are associated with the CFA being a phased CFA with regard to the Necessary Improvements. 4. a. All other provisions of City Secretary Contract Number 57096 which are not expressly amended herein, shall remain in full force and effect. b. All terms in this First Amendment that are capitalized, but not defined, shall have the meanings ascribed to those terms in City Secretary Contract Number 57096.
