Home My WebLink About063977 - General - Contract - Leftfield Media LLCCSC No. 63977 ADDENDUM TO USER AGREEMENT BETWEEN THE CITY OF FORT WORTH AND LEFTFIELD MEDIA LLC This Addendum to the User Agreement ("Addendum") is entered into by and between Leftfield Media LLC ("Vendor") and the City of Fort Worth ("City"), individually referred to as "party" and collectively the "parties". The Contract documents shall include the following: 1. This Addendum; and 2. The Anime Frontier Agreement; and 3. The LeftField Media LLC Terms and Conditions. Notwithstanding any language to the contrary in the attached Anime Frontier Proposal and attached LeftField Media LLC Terms and Conditions (collectively "Agreement"), the parties hereby stipulate by evidence of execution of this Addendum below by a representative of each party duly authorized to bind the parties hereto, that the parties hereby agree that the provisions in this Addendum below shall be applicable to the Agreement as follows: Addendum Controllin�. If any provisions of the attached Agreement, conflict with the terms herein, are prohibited by applicable law, conflict with any applicable rule, regulation or ordinance of City, the terms in this Addendum shall control. For the sake of clarity, in terms of priority for the entirety of the Contract Documents, the parties agree that the terms and conditions included within this Addendum shall control. 2. Term. The Agreement shall become effective on September 1, 2025 and shall expire on August 31, 2026 unless terminated earlier in accordance with the provisions of the Addendum. 3. Termination. Either City or Vendor may terminate the Agreement at any time and for any reason by providing the other party with 30 days written notice of termination. Such termination shall be effective without penalty, fee, charge, or cost of any kind to the terminating Party. 4. Compensation. The Parties acknowledge and agree that: (a) Vendor is providing a unique experience and opportunity for the benefit of the citizens of the City; (b) City is participating in Vendor's convention; and (c) such mutual promises and commitments constitute good and valuable consideration for this Agreement. The Parties further acknowledge and agree that no monetary payment, fee, or other financial obligation shall be owed by City to Vendor under this Agreement, and Vendor expressly waives any claim to such payment. The City is a governmental entity under the laws of the state of Texas and pursuant to Chapter 2259 of the Texas Government Code, entitled "Self-Insurance by Governmental Units," is self-insured and therefore is not required to purchase insurance. To the extent the Agreement requires City to purchase insurance, City objects to any such provision, the parties agree that any such requirement shall be null and void and is hereby deleted from the Agreement and shall have no force or effect. City will provide a letter of self-insured status as requested by Vendor. 6. Law and Venue. The Agreement and the rights and obligations of the parties hereto shall be governed by, and construed in accordance with the laws of the United States and state of Texas, exclusive of conflicts of law provisions. Venue for any suit brought under the Agreement shall be in a court of competent jurisdiction in Tarrant County, Texas. To the extent the Agreement is required to be governed by any state law other than Texas or venue in Tarrant County, City objects to such terms and any such terms are hereby deleted from the Agreement and shall have no force or effect. 7. Soverei�n Immunitv. Nothing herein constitutes a waiver of City's sovereign immunity. To the extent the Agreement requires City to waive its rights or immunities as a government entity; such provisions are hereby deleted and shall have no farce or effect. 8. Limitation of Liability and Indemnity. To the extent the Agreement, in any way, limits the liability of Vendor or requires City to indemnify or hold Vendor or any third party harmless from damages of any kind or character, City objects to these terms and any such terms are hereby deleted from the Agreement and shall have no force or effect. 9. Ri�ht to Audit. If any money is exchanged as part of this Agreement, then the City shall have the right to audit the financial and business records of the Vendor that relate to any monetary exchange under this Agreement (collectively "Records") at any time during the Term of the Agreement and for three (3) years thereafter. It is expressly understood that no money is being exchanged as part of this Agreement. 10. Notwithstanding anything to the contrary in the Agreement, Vendor's right to use the City's name, logo, or other identifying indicia is limited to identifying the City as a participant in the specific Event covered by this Agreement, and may not be used for any commercial purpose, or in a manner that suggests or implies City's sponsorship or endorsement of Vendor or its products or services. Vendor shall not use, reproduce, or distribute photographs, video, audio, or other recordings of City officials, employees, representatives, or attendees without the City's prior written consent. All rights in and to the City's name, logo, and other intellectual property remain the exclusive property of the City, and no license or rights are granted except as expressly provided in this Agreement. Vendor shall not sublicense, assign, or otherwise authorize any third party to use the City's name, logo, or other indicia without the City's prior written consent. 11. Entiretv of A�reement. This Addendum, including the attached Agreement, contains the entire understanding and agreement between City and Vendor, their assigns and successors in interest, as to the matters contained herein.
