HomeMy WebLinkAbout064107 - General - Contract - American Warrior AssociationCSC No. 64107 LEASE AGREEMENT This Lease Agreement (the "Agreement") is entered into by and between the City of Fort Worth, a home- rule municipal corporation of the State of Texas acting by and through its duly authorized Assistant City Manager, Valerie Washington ("Lessor"), and American Warrior Association, a Texas nonprofit corporation acting by and through its duly authorized Executive Director, Anna Heil ("Lessee"). WHEREAS, Lessor owns certain real property located at 2940 & 2944 S. Grove Street, Fort Worth, Texas 76104 (the "Property"); and WHEREAS, Lessee is a nonprofit corporation established to offer mental health and general physical and emotional wellness services to first responders, including 9ll communications (both civil service and non- civil service), EMS and Fire, along with their families and retirees; and and WHEREAS, Lessee wishes to use the Property as an office and meeting center to carry out its mission; WHEREAS, Lessor recognizes the value and importance of the work performed by Lessee for the community and its own first responders; and WHEREAS, Lessor has agreed to lease to Lessee the Property, consisting of approximately four thousand (4,000) square feet, for office use and meeting space under the terms and conditions of this Agreement, one such condition being that a portion of the Property may be used by Lessor's Police and Fire Departments as provided below. NOW THEREFORE, in consideration of the terms contained in this Agreement, Lessor and Lessee hereby agree as follows: 1. Use of Premises. Lessor hereby leases to Lessee the Property, consisting of approximately four thousand (4,000) square feet of office space and meeting space within the building, and the adjacent parking lot, as further described in Exhibit "A," attached hereto and incorporated herein (the "Premises"). Lessee shall use the Premises for the public purpose of offering mental health and general physical and emotional wellness services to first responders, including 911 communications (both civil service and non-civil service), EMS and Fire, along with their families and retirees throughout the City of Fort Worth and the Cities of Blue Mound, Edgecliff Village, Forest Hill, Haltom City, Haslet, Lakeside, Lake Worth, Richland Hi11s, River Oaks, Saginaw, Sansom Park, Westover Hills, Westworth Village, and White Settlement throughout the Term of the Lease. Lessee may independently decide how it utilizes the Premises as long as it aligns with this public purpose and complies with all applicable zoning and legal requirements. Additionally, Lessee is required to allow, throughout the Term of the Lease, Lessor's City of Fort Worth Police and Fire Departments to access the portions of the Premises, at all times, such space preliminarily outlined in Exhibit "B" herein. Under no circumstances will Lessee use, or cause to be used, on the Premises any hazardous or toxic substances or materials, or store or dispose of any such substances or materials on the Premises. Lessee will have access to the Premises twenty-four (24) hours a day, seven (7) days a week. In addition to the access granted above to Lessor's Police and Fire Departments, Lessor reserves the right to access and use the Premises in any way that does not materially interfere with Lessee's use of the Premises in accordance with this Agreement, subject to reasonable prior notice. Lessee's use of the Premises for the public purpose described above will be reviewed by the Lessor on a continual basis and it will be determined by Lessor, in its sole discretion, if such public purpose is being met in accordance with this Agreement throughout the Term. 2. Mineral Estate Reserved. Notwithstanding anything in this Lease to the contrary, Lessor hereby excepts from this Lease and reserves to Lessor, its successors and assigns, all oil, gas or other minerals in, on Lease Agreement between the City of Fort Worth and American Warrior Association 2940 & 2944 S. WORTH, TX and under and that may be taken, saved, extracted or produced from the Premises and all other subsurface rights of the Premises; provided, however, that Lessor does hereby expressly release and waive, on behalf of itself, and its successors or assigns, all rights of ingress and egress and all other rights of every kind and character whatsoever to enter upon, use or in any way disturb the surface of the Premises or any part thereof, including, without limitation, the right to enter upon the surface of the Premises for purposes of exploring for, developing, drilling, producing, transporting product, mining, treating, storing or any other purpose incident to the development or production of the oil, gas and other minerals in, on and under the Premises. Nothing herein contained shall ever be construed to prevent Lessor, or its successors or assigns, from developing or producing the oil, gas and other minerals in and under the Premises by pooling or by directional drilling under the Premises from well sites not located within the boundaries of such Premises and only at a depth of no less than 500 feet below the surface of the Premises. 3. Condition of Premises. LESSEE ACCEPTS THE PREMISES IN ITS "AS IS" CONDITION. LESSOR HAS NOT MADE AND DOES NOT MAKE AND SPECIFICALLY DISCLAIMS ANY REPRESENTATIONS, GUARANTEES, PROMISES, COVENANTS, AGREEMENTS OR WARRANTIES OF ANY KIND OR CHARACTER WHATSOEVER UNLESS OTHERWISE PROVIDED FOR HEREIN, WHETHER EXPRESS OR IMPLIED, ORAL OR WRITTEN, PAST, PRESENT OR FUTURE OF, AS TO, CONCERNING OR WITH RESPECT TO THE NATURE, QUALITY OR CONDITION OF THE PREMISES, THE INCOME TO BE DERIVED, THE SUITABILITY OF THE PREMISES FOR THE PERMITTED USE, OR MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. LESSOR SHALL NOT BE REQUIRED TO REPAIR, MAINTAIN OR RESTORE THE PREMISES, NOR TO MAKE ANY IMPROVEMENTS, REPAIRS OR RESTORATIONS UPON OR TO ANY IMPROVEMENTS LOCATED ON THE PREMISES DURING THE TERM OF THIS LEASE. 4. Agreement Term. The term of this Agreement shall commence on the Effective Date and expire at midnight on the day before the second (2°d) anniversary of the Effective Date ("Initial Term"), unless terminated earlier as provided in this Agreement. Lessee may renew this L,ease for up to two, one-year renewals upon thirty (30) day written notice to Lessor before the existing term expires, each considered a"Renewal Term". The Initial Term and the Renewal Term, if any, are collectively referred to as the "Term". This Agreement will terminate without further notice when the Term expires, and any holding over by Lessee after the Term expires will not constitute a renewal of this Lease or give Lessee any rights under this Agreement in or to the Premises, except as a tenant at will. 5. Rent. Lessee shall commence the payment of rent for the Premises on the Effective Date. Lessee hereby promises and agrees to pay Lessor, as annual rent for the Premises, One Hundred Dollars and 00/100 ($100.00). Lessee and Lessor agree that Lessee's use and occupancy of the Premises will serve a public purpose by allowing Lessee to offer mental health and general physical and emotional wellness services to first responders, including 911 communications (both civil service and non-civil service), EMS and Fire, along with their families and retirees throughout the City of Fort Worth as well as, more specifically, to all first responders working in Lessor and the Cities of Blue Mound, Edgecliff Village, Forest Hill, Haltom City, Haslet, Lakeside, Lake Worth, Richland Hills, River Oaks, Saginaw, Sansom Park, Westover Hills, Westworth Village, and White Settlement throughout the Term of the Lease. Lessor and Licensee expressly agree and stipulate that this Agreement is based on valuable consideration and an exchange of promises that will be independently beneficial to both parties and that, as a condition precedent to executing this Agreement, the consideration is valuable and sufficient and that neither party shall be able to assert otherwise in the event of litigation. 6. Additional Rent. (a) Lessee shall promptly pay any real estate taxes, municipal assessments, water, sewer and utility charges, rent taxes, margin or franchise taxes, all general and special assessments, levies, permits, inspection and license fees Lease Agreement between the City of Fort Worth and American Warrior Association 2940 & 2944 S. Grove Street, Fort Worth, Texas 76104 2 � P a g e and other governmental levies, together with any penalties, fines, or interest thereon (any of the foregoing being referred to herein as "Impositions") against the Premises. Lessor retains the right to contest any assessment or the payment of any Impositions in its sole and absolute discretion. (b) Lessee shall pay directly to the applicable third party all cbarges for utilities and other services necessary in the operation of the Premises, including but not be limited to, gas, fuel oil, electrical, telephone and other utility charges, janitorial and securiry seroices (if Lessee elects to contract for such services) and grounds maintenance. Lessor shall not be responsible for providing any utilities to the Premises and shall not be liable to Lessee in the event of any interruption, forfeiture, delay or diminution of utilities or other service to the Premises; however, the Lessor shall regularly empty the dumpster on the Premises in accordance with Lessor's customary schedule and practices. 7. Alterations, Additions, Improvements, and Signage. Lessee shall make no alterations or additions to the Premises without the prior written consent of Lessor; such consent not to be unreasonably withheld. Lessor's written consent or denial of the proposed alterations or additions by Lessee must be submitted to Lessee within thirty (30) days of Lessor's initial receipt of Lessee's request. In the event that a response is not provided by Lessor within the 30-day period, Lessee's request to make alterations or additions to the Premises will be deemed approved. All alterations, additions, or improvements made to or permanently attached fixtures or other improvements placed in or upon the Premises shall be deemed a part of the Premises and the property of Lessor at the end of the Term. All such alterations, additions, improvements, and permanently attached fixtures shall remain upon and be surrendered with the Premises as a part thereof at the termination of this Agreement unless otherwise agreed upon in writing by the parties. Lessee may, at its sole option and expense, remove any Lessee alterations at any time during the Term with Lessor's written approval. Lessee shall not install signs, advertising media, or lettering on the exterior of the Premises without the prior written approval of Lessor, not to be unreasonably withheld. At the termination of this Agreement, whether by lapse of time or otherwise, Lessee shall deliver the Premises to Lessor in as good a condition as the Premises was as of the date of the Effective Date, subject only to ordinary wear and tear and damage caused by casualty or condemnation. 8. Indemnity. (a) LESSEE SHALL AND DOES AGREE TO INDEMNIFY, PROTECT, DEFEND AND HOLD HARMLESS LESSOR, LESSOR'S OFFICERS, AGENTS, SERVANTS, AND EMPLOYEES (COLLECTIVELY, "INDEMNITEES") FOR, FROM AND AGAINST ANY AND ALL CLAIMS, LIABILITIES, DAMAGES, LOSSES, LIENS, CAUSES OF ACTION, SUITS, JUDGMENTS AND EXPENSES, (INCLUDING REASONABLE COURT COSTS, REASONABLE ATTORNEYS' FEES AND REASONABLE COSTS OF INVESTIGATION), OF ANY NATURE, KIND OR DESCRIPTION TO THE EXTENT ARISING BY REASON OF INJURY TO OR DEATH OF ANY PERSON OR DAMAGE TO OR LOSS OF PROPERTY: (1) RELATING TO THE USE OR OCCUPANCY OF THE PREMISES BY LESSEE, ITS EMPLOYEES, AGENTS, INVITEES AND CONTRACTORS; OR (2) BY REASON OF ANY OTHER CLAIM WHATSOEVER OF ANY PERSON OR PARTY OCCASIONED OR ALLEGED TO BE OCCASIONED BY ANY ACT OR OMISSION ON THE PART OF LESSEE OR ANY LESSEE, EMPLOYEE, DIRECTOR, OFFICER, SERVANT, OR CONTRACTOR OF LESSEE; OR (3) BY ANY BREACH, VIOLATION OR NONPERFORMANCE OF ANY COVENANT OF LESSEE UNDER THIS AGREEMENT (COLLECTIVELY, "LIABILITIES"), EXCEPT, IF IT IS DETERMINED THAT LESSOR'S USE OF THE PREMISES CONTRIBUTED TO ANY CLAIM, LESSOR SHALL BE RESPONSIBLE FOR ITS PROPORTIONATE SHARE OF LIABILITY. IF ANY ACTION OR PROCEEDING SHALL BE BROUGHT BY OR AGAINST ANY INDEMNITEE IN CONNECTION WITH ANY SUCH LIABILITY OR CLAIM, LESSEE, ON WRITTEN NOTICE FROM LESSOR, SHALLDEFEND SUCH ACTION OR PROCEEDING, AT LESSEE'S EXPENSE, BY OR Lease Agreement between the City of Fort Worth and American Warrior Association 2940 & 2944 S. Grove Street, Fort Worth, Texas 76104 3 � P a g e THROUGH ATTORNEYS REASONABLY SATISFACTORY TO LESSOR. THE PROVISIONS OF THIS PARAGRAPH SHALL APPLY TO ALL ACTIVITIES OF LESSEE WITH RESPECT TO THE USE AND OCCUPANCY OF THE PREMISES, WHETHER OCCURRING BEFORE OR AFTER THE EFFECTIVE DATE AND BEFORE OR AFTER THE TERMINATION OF THIS AGREEMENT. THIS INDEMNIFICATION SHALL NOT BE LIMITED TO DAMAGES, COMPENSATION OR BENEFITS PAYABLE UNDER INSURANCE POLICIES, WORKERS' COMPENSATION ACTS, DISABILITY BENEFIT ACTS OR OTHER EMPLOYEES' BENEFIT ACTS. (b) IT IS AGREED WITH RESPECT TO ANY LEGAL LIMITATIONS NOW OR HEREAFTER IN EFFECT AND AFFECTING THE VALIDITY OR ENFORCEABILITY OF THE INDEMNIFICATION OBLIGATION UNDER THIS PARAGRAPH 9, SUCH LEGAL LIMITATIONS ARE MADE A PART OF THE INDEMNIFICATION OBLIGATION AND SHALL OPERATE TO AMEND THE INDEMNIFICATION OBLIGATION TO THE MINIMUM EXTENT NECESSARY TO BRING THE PROVISION INTO CONFORMITY WITH THE REQUIREMENTS OF SUCH LIMITATIONS, AND AS SO MODIFIED, THE INDEMNIFICATION OBLIGATION SHALL CONTINUE IN FULL FORCE AND EFFECT. 9. Waiver of Liability. ALL PERSONAL PROPERTY OF LESSEE, INCLUDING VEHICLES, WHETHER PURSUANT TO THIS AGREEMENT OR OTHERWISE, SHALL BE AT THE RISK OF LESSEE ONLY, AND NO 1NDEMNITEES SHALL BE LIABLE FOR ANY LOSS OR THEFT OF OR DAMAGE TO PROPERTY OF LESSEE, ITS EMPLOYEES, AGENTS, PATRONS, INVITEES, OR TO OTHERS, REGARDLESS OF WHETHER SUCH PROPERTY IS ENTRUSTED TO EMPLOYEES OF LESSOR OR SUCH LOSS OR DAMAGE IS OCCASIONED BY CASUALTY, THEFT, OR ANY OTHER CAUSE OF WHATSOEVER NATURE, UNLESS DUE IN WHOLE OR IN PART TO THE GROSS NEGLIGENCE OR WILLFUL MISCONDUCT OF ANY INDEMNITEE. 10. Insurance. During the Term, Lessee, at its expense, shall procure and maintain in connection with its use of the Premises the following insurance coverages, naming the City of Fort Worth as an additional insured, and in accordance with all other applicable terms and conclitions of this Section ll. (a) Commercial general liability insurance covering bodily injury and property damage on a"claims made" basis with limits of no less than One Million Dollars ($1,000,000.00) per occurrence and Two Million Dollars ($2,000,000.00) in the aggregate, (b) All Risks Property insurance with respect to Lessee's leasehold interest in the Premises and all personal property of Lessee located on or within the Premises, with coverage in such amounts and against such risks as are customarily insured against, including, without limitation, business interruption coverage with respect to Lessee's operations at the Premises, and (c) Automobile liability insurance covering any owned, non-owned and hired automotive vehicle (endorsed to provide contractual liability coverage) covering bodily injury and property damage with a limit of One Million Dollars ($1,000,000.00) combined single limit. (d) Workers Compensation and Employer's Liability Insurance. Lessee represents that Workers Compensation and Employer's Liability insurance coverages are maintainedby Lessee for all personnel working at the Premises with a limit of One Million Dollars ($1,000,000.00) for each accident for bodily injury by accident or One Million Dollars ($1,000,000.00) for each employee for bodily injury by disease. (e) Lessee Insurance Policy Conditions. Each insurance policy required by Section ll sha1L• (i) be issued by an insurer (or insurers) possessing an A-VII A.M. Best Rating or better and of recognized standing and authorized to issue such policy of insurance in the State of Texas; (ii) provide for a waiver of subrogation by Lease Agreement between the City of Fort Worth and American Warrior Association 2940 & 2944 S. Grove Street, Fort Worth, Texas 76104 4 � P a g e each such insurer with respect to any claims against Lessor solely to the extent of the amount of any payment of a loss by such insurer pursuant to the applicable insurance coverages; and (iii) be endorsed to prohibit cancellation or substantial reduction of coverage by the insurer without at least thirry (30) days' prior written notice to Lessor. The liability policies and coverage set forth in Section ll shall each contain an endorsement naming Lessor as an additional insured as its interests may appear. The property insurance policy covering the Premises shall name Lessor as loss payee as its interests may appear. Prior to the Effective Date and upon any modification to or renewal following termination or expiration of any insurance coverage required hereunder, Lessee will provide to Lessor a certificate of the insurer or an authorized broker evidencing the insurance coverages and terms required by Section 11. ll.Assignment and Subletting. Lessee shall not assign this Agreement, or any right of Lessee under this Agreement, or sublet the Premises, for consideration or no consideration, whether voluntarily, by operation of law, or otherwise. Any attempt to do so shall be void and shall cause the immediate termination of this Agreement. 12.Damage to Premises or Property of Lessor. If, at any time during the Term, by the acts or omissions of Lessee, its employees, contractors, or agents, the Premises or any property of Lessor therein is damaged or destroyed, Lessee shall be obligated to pay, on demand, all costs to repair or replace such damaged or destroyed property. 13.Repairs and Maintenance. Lessor has no obligation to make repairs of any sort to the Premises. Lessor's sole obligation hereunder being to make the Premises available to Lessee in accordance with and subject to the covenants, restrictions, and limitations set forth herein. Lessee shall, at its expense, use and maintain the Premises in a neat, clean, careful, safe, and proper manner and comply with all applicable laws, ordinances, orders, rules, and regulations of all governmental bodies. Lessee shall, at its expense, be responsible for any repairs needed to the Property and the Premises, including, but not limited to, the Property's or Premises' building systems (HVAC, plumbing and electrical) and building structure (if damage to building structure is caused by Lessee). For all repairs to the Premises, other than minor repairs costing less than $500.00 , Lessee shall: (a)prior to commencing any repair work, email Lessor's Property Management Facilities Superintendent and Lease Manager (as designated by Lessor to Lessee in writing) identifying the issue, the repairs that Lessee desires to complete, and the contractor Lessee desires to utilize for the repairs; (b)obtain written approval from Lessor's Property Management Facilities Superintendent before commencing any repair work; and (c) once the approved repairs are complete, email a copy of the invoice showing the repair work completed, the date of completion, and costs to Lessor's Property Management Facilities Superintendent. In the event of a major casualty to the Premises not caused by Lessee, Lessee may terminate this Agreement, assign any property insurance proceeds to Lessor, and have no further obligation to repair or restore the Premises. 14. Severability. If any clause or provision of this Agreement is or becomes illegal, invalid or unenforceable because of present or future laws or any rule or regulation of any governmental body or entity, effective during the Term, the intention of the parties hereto is that the remaining parts of this Agreement shall not be affected thereby unless such invalidity is, in the sole determination of the Lessor, essential to the rights of both parties, in which event Lessor has the right, but not the obligation, to terminate the Agreement upon written notice to Lessee. If Lessee shall fail to perform or observe any of its obligations hereunder then Lessor may terminate this Agreement by giving Lessee ten (10) days' prior written notice thereo£ If Lessee fails to cure such default within ten (10) days of receipt of Lessor's default notice then this Agreement and all interest of Lessee hereunder shall automatically terminate, but if Lessee does so cure such default within said ten (10) days, Lessor's termination notice will be deemed withdrawn. Such rights of Lessor in the case of a default by Lessee hereunder are not exclusive but are cumulative of all other rights Lessor may have hereunder at law or in equity; and any one or more of such rights may be exercised separately or concurrently to the extent provided by law. (b) Lessor's Default. Should Lessor commit a default under this Agreement, Lessee may terminate this Agreement by giving Lessor fifteen (15) days' prior written notice thereo£ If Lessor fails to cure such default within fifteen (15) days of receipt of Lessee's default notice, then Lessee may terminate this Agreement. 16.Notice. Any notice hereunder must be in writing. Notice deposited or sent by nationally recognized overnight courier service, such as, but not limited to, Federal Express, by certified mail with return receipt requested, or by express mail properly addressed, postage paid, shall be effective-upon deposit. Notice given in any other manner herein shall be effective upon receipt at the address of the addressee. Audit. Pursuant to Chapter 2, Article IV, Division 3, Section 2-134, Administration, Powers and Duties of the Department oflnternal Audit, of the Code of Ordinances of the City of Fort Worth, Lessor may at Lessor's sole cost and expense, at reasonable times during Lessee's normal business hours and upon reasonable notice, audit Lessee's books and records, but only as it pertains to this Agreement and as necessary to evaluate compliance with this Agreement. 18.Entire Agreement. This Agreement constitutes the entire agreement between Lessor and Lessee relating to the use of the Premises and no prior written or oral covenants or representations relating thereto not set forth herein shall be binding on either party hereto. 19.Amendment. This Agreement may not be amended, modified, extended, or supplemented except by written instrument executed by both Lessor and Lessee. This Agreement may be executed in several counterparts, each of which shall be deemed an original, but all of which shall constitute but one and the same document. Authorize the execution of a lease agreement between the City of Fort Worth and American Warrior Association for approximately 4,000 square feet of building space and the adjacent parking lot located at 2944 and 2940 South Grove Street, Fort Worth, Texas, 76104 for office use; and 2. Find that the lease will serve a public purpose and that adequate controls are in place. DISCUSSION: On June 10, 2025, per Mayor and Council Communication 25-0499, the City Council gave the authorization to accept Metropolitan Area Emergency Medical Services (EMS) Authority d/b/a MedStar Mobile Healthcare assets related to the transition of EMS System Operations to the City of Fort Worth (City), including real property located at 2940 and 2944 South Grove Street, Fort Worth, Texas 76104 (Premises). American Warrior Association (Lessee) is a nonprofit corporation established to address the profound impact of moral and mental injury on veterans, first responders, and their families. Lessee has requested the use of approximately 4,000 square feet of space and the adjacent parking lot within the Premises to provide mental and physical wellness services to first responders, including civil and non-civil service 911 telecommunicators and EMS personnel, along with their families and retirees throughout the City of Fort Worth and the cities of Blue Mound, Edgecliff Village, Forest Hill, Haltom City, Haslet, Lakeside, Lake Worth, Richland Hills, River Oaks, Saginaw, Sansom Park, Westover Hills, Westworth Village, and White Settlement. Per discussions between the City's Property Management Department and Lessee, the parties have agreed to a lease with the following terms and conditions: Lease term of two (2) years; Two (2) lease renewal options of one (1) year each; Lessee must allow City's Police and Fire Departments to access and use portions of the Premises at all times during the lease term; Lessee will pay annual rent of $100.00; Lessee will pay all utilities and operation costs of the Premises; Lessee assumes all repair and maintenance expenses for the Premises; and City will empty the waste dumpster located on the premises in accordance with its standard schedule and practice. Annual rent is below fair market value for the Premises because Lessee will provide a public purpose during the term of the lease by offering mental and physical wellness services to the first responders indicated above.
