Home My WebLink About041204-R7A8 - General - Contract - ProQuest, LLC41204-R7A8 RENEWAL 7 AND AMENDMENT 8 TO CITY SECRETARY CONTRACT NO. 41204 MASTER SERVICE AGREEMENT This Renewal and Amendment is executed by and between the City of Fort Worth ("City"), a home-rule municipal corporation and ProQuest, LLC. City and ProQuest are each individually referred to herein as a"Party" and collectively as the "Parties." WHEREAS, Parties have previously entered into City of Fort Worth City Secretary Contract No. 41204 ("Agreement") on November 16, 2010; WHEREAS, Agreement was executed for Vendor to provide City with access to Ancestry Library; WHEREAS, the Agreement was amended on May 8, 201 8 to update the terms of the Agreement and to continue to provide services more specifically described in the Agreement (CSC 41 204-A1 ); WHEREAS, the Agreement was amended on January 15, 2020 to align the term of the Agreement and the subscription term to run from October 1 of each year to September 30 of the following year and to allow for a first renewal effective until September 3 0, 2020 (CSC 41 204-R1 A2); WHEREAS, the Agreement was amended on September 24, 2020 to update the list of current Library locations and pricing schedule, and to allow for a second renewal effective until September 30, 2021 (CSC 41 204-R2A3 ); WHEREAS, the Agreement was amended on November 16, 2021 to update the list of current Library locations and pricing schedule, and to allow for a third renewal effective until September 30, 2022 (CSC 41 204-R3 A4); WHEREAS, the Agreement was amended on August 16, 2022 to update the list of current Library locations and pricing schedule, and to renew the Agreement for a fourth term effective until September 3 0, 2023 (CSC 41 204-R4A5 ); WHEREAS, the Agreement was amended on November 13, 2023 to update the list of current Library locations and pricing schedule, and to renew the Agreement for a fifth term effective until September 3 0, 2024 (CSC 41 204-RS A6); WHEREAS, the Agreement was amended on October 10, 2024 to update the list of current Library locations and pricing schedule, and to renew the Agreement for a fifth term effective until September 3 0, 2024 (CSC 41 204-RS A6); WHEREAS, the City and Vendor have renewed the Agreement on an annual basis to continue services; OFFICIAL RECORD CITY SECRETARY R7A8 — CSC No. 41204 Fr. woRTH, Tx P a g e � 1 WHEREAS, Agreement was previously renewed with the current term ending on September 30, 2025; WHEREAS, Parties now wish to amend Agreement to increase the spend authority limit of the Agreement. NOW, THEREFORE, City and Vendor acting herein by the through their duly- authorized representatives, enter into the following agreement to renew and amend the Agreement: 1. RENEWAL OF AGREEMENT The term of the Agreement is hereby renewed for an additional year, beginning October 1, 2025 and expiring September 30, 2026 unless terminated earlier in accordance with the Agreement. 2. AMENDMENTS TO AGREEMENT The following term hereby amends Paragraph four of the Agreement and shall be binding and enforceable effective on October 1, 2025: City shall pay Vendor in accordance with the fee schedule in Exhibit A and in accordance with the provisions of this Agreement. Total payment made under this Agreement for the year by City shall not exceed Ten Thousand Six Hundred Eighty- Eight Dollars and Six cents ($10,688.06). Vendor shall not provide any additional items or services or bill forexpenses incurred for City not specified by this Agreement unless City requests and approves in writing the additional costs for such services. City shall not be liable for any additional expenses of Vendor not specified by this Agreement unless City first approves such expenses in writing. 3. ALL OTHER TERMS SHALL REMAIN THE SAME All other provisions of the Contract which are not expressly amended herein shall remain in full force and effect. 4. A facsimile copy or computer image, such as a PDF or tiff image, or a signature, shall be treated as and shall have the same effect as an original.
