AMENDMENT No . 1
TO CITY SECRETARY CONTRACT No. 58943
WHEREAS, the City of Fort Worth (CITY) and Bartlett & West, Inc,
(ENGINEER) made and entered into City Secretary Contract No. 58943,
(the CONTRACT) which was authorized by M&C 22-1016 on the 29th day of
November, 2022 in the amount of $$717,040.00; and
WHEREAS, the CONTRACT involves engineering services for the following
project:
Fort Worth Main Street Downtown-Intersection Improvements , CPN
103314; and
WHEREAS, it has become necessary to execute Amendment No. 1 to the
CONTRACT to include an increased scope of work and revised fee.
NOW THEREFORE, CITY and ENGINEER, acting herein by and through their
duly authorized representatives, enter into the following agreement, which
amends the CONTRACT:
1.
Article I of the CONTRACT is amended to include the additional
engineering services specified in proposal attached hereto and incorporated
herein. The cost to City for the additional design services to be performed
by Engineer totals $164,825.00. (See Attached Funding Breakdown Sheet,
Page -4-)
2.
Article II of the CONTRACT is amended to provide for an increase in
the fee to be paid to Engineer for all work and services performed under
the Contract, as amended, so that the total fee paid by the City for all
work and services shall be an amount of $881,865.00.

Dear Mr. Cooksey:
Thank you for allowing Bartlett & West the opportunity to provide this proposal for additional
professional services relative to the Main Street Intersection improvement project. All services
herein offered are subject to the terms of the agreement between Bartlett & West, Inc. and the
City of Fort Worth dated the 28th day of February, 2023.
Scope
The tasks and associated fees to provide the services needed to complete your project are as
follows:
During the development of 60% plans, it was determined that several buildings were built with
basements that could extend beyond the face of the building wall and into the sidewalk. If this is
the case then the foundations for the traffic signals could have impacted voided space when
being drilled during construction. This would have shut down the construction and cause
damage to surrounding buildings and basement walls.
To reduce the risk of the contractor and construction delays, Bartlett & West set off on
determining if these basement locations could be determined and signal pole foundations be
placed in an area that would avoid basements. The City of Fort Worth did not have any record
drawings of these basements and the only way we could determine locations was to visit with
city staff and building managers. We visited each business, walked the basement, took
measurements and translated those measurements to the outside. This was the best effort that
could be taken in this circumstance. We are still not fully confident in all of the locations but
believe we have provisions to not cause a construction delay.
Additional task was the discussion of placing battery backup systems at the source of power for
each traffic signal. This task required additional site visits, meetings with city staff and
coordination and meetings with Oncor. Once the location of each battery backup is determined,
plans will be revised to include provisions for the contractor to install the battery backup
systems. This change in scope required additional design phase services.

We have developed this amendment to address the changes in scope and existing site
conditions. To facilitate the continued progress of the project and in good faith, the Bartlett &
West team has continued moving forward with the design of the modified scope of work while
this amendment is prepared, submitted and approved for the additional services. Upon approval
of the amendment, the design will continue to completion. If you have any questions, please feel
free to give me a call. We look forward to continuing the work on this project and bringing it to a
successful conclusion for all stakeholders.

Scope for Enqineerinq Desiqn Related Services for Intersection Improvements
The scope set forth herein defines the work to be performed by the ENGINEER in
completing the project. Both the CITY and ENGINEER have attempted to clearly define the
work to be performed and address the needs of the Project.
OBJECTIVE
The objective of the Main Street Downtown Intersection Improvements Project is to replace
the existing traffic signals to match the theme of the Downtown Vision, construction ADA
compliant ramps and make each intersection more pedestrian friendly through addition of
bump outs to add more sidewalk area at the intersections.

TASK 1. DESIGN MANAGEMENT.
ENGINEER will manage the work outlined in this scope to ensure efficient and effective use
of ENGINEER's and CITY's time and resources. ENGINEER will manage change,
communicate effectively, coordinate internally and externally as needed, and proactively
address issues with the CITY's Project Manager and others as necessary to make progress
on the work.
1.1. Managing the Team:
• Lead, manage and direct design team activities
• Ensure Quality Control / Quality Assurance (QC/QA) is practiced in performance
of the work. Refer to Task 10 for further details.
• Communicate internally among team members
• Task and allocate team resources
1.2. Communications and Reporting:
• Attend a pre-design project kickoff/charter meeting with CITY staff to confirm and
clarify scope, understand CITY objectives, and ensure economical and functional
designs that meet CITY requirements
• Attend two (2) field meetings with CITY representatives, including Traffic
Management, prior to the 30% and 90% submittals.
• Conduct and document monthlv project update meetings with CITY Project
Manager
• Conduct review meetings with the CITY at the end of each design phase
• Conduct and document biweeklv design team meetings
• Conduct QC/QA reviews and document those activities. Refer to Task 10 for
further details
• Prepare invoices, in accordance with Attachment B to this Standard Agreement
and submit monthly in the format requested by the CITY.
• Prepare and submit monthly Project Status Reports in the format provided by the
respective Transportation and Public Works Department.
• Prepare and submit baseline Project Schedule initially, and Project Schedule
updates with a schedule narrative monthly, as required in Attachment D to this
Standard Agreement in compliance with the City's Specification 00 31 15 entitled
Engineer Project Schedule. This PROJECT requires a Tier 3 schedule as
defined in the City's Specification 00 31 15 entitled Engineer Project Schedule.
• Prepare and submit a preliminary Project Risk Register, preliminary Stakeholder
Register, and preliminary Project Communications Plan. CITY to modify and
finalize.
• Complete Monthly M/WBE Report Form and Final Summary Payment Report

• Coordinate with other agencies and entities as necessary for the design of the
proposed infrastructure, and provide and obtain information needed to prepare
the design
• With respect to coordination with permitting authorities, ENGINEER shall
communicate with permitting authorities such that their regulatory requirements
are appropriately reflected in the designs. ENGINEER shall work with regulatory
authorities to obtain approval of the designs, and make changes necessary to
meet their requirements, as part of the design scope.
• Personnel and Vehicle Identification: When conducting site visits to the project
location, the ENGINEER or any of its sub-consultants shall carry readily visible
information identifying the name of the company and the company
representative.
ASSUMPTIONS

TASK 4. FINAL DESIGN (90 PERCENT) AND FINAL CONSTRUCTION DOCUMENTS
(100 PERCENT).
Upon approval of the Preliminary plans, ENGINEER will prepare construction plans as
follows:
• Final draft construction plans (90%) and Project Manual shall be submitted to CITY per
the approved Project Schedule.
• The ENGINEER will provide a PDF set of plans with the utility conflicts highlighted and a
Utility Conflicts Table of those conflicts to be included in the Utility Clearance Letter to be
issued by the City PM.
• Following a 90% construction plan review meeting with the CITY, the ENGINEER shall
submit Final Plans (100%) to the CITY per the approved Project Schedule. Each plan
sheet shall be stamped, dated, and signed by the ENGINEER registered in State of
Texas.
• A Quantity Summary page will be included in both the 90% and 100% design plans.
Each design sheet of the plans shall also include a quantity take off table.
• The ENGINEER shall submit an estimate of probable construction cost with both the
90% and 100% design packages. This estimate shall use standard CITY or TxDOT bid
items, as applicable.
• Amendment #1 The ENGINEER shall provide additional field visits, record drawing
research and review, city staff coordination, property owner coordination, field
measurements and any other activity at our disposal to determine location of all
underground basements associated with buildings at each of the intersections slated for
traffic signal improvements.
• Amendment #1 — The ENGINEER shall provide field visits, city staff coordination and
Oncor coordination to determine each location of battery back-up system and equipment
that needs to be installed per city direction. Plans shall include these provisions and
locations.

COMPENSATION
Design Services for
Fort Worth Main Street Downtown
City Project No. 103314
Lump Sum Project
Compensation
A. The ENGINEER shall be compensated a total lump sum fee of
$_881,865.00 as summarized in Exhibit B-1 — Engineer Invoice
and Section IV — Summary of Total Project Fees. The total lump sum fee shall
be considered full compensation for the services described in Attachment A,
including all labor materials, supplies, and equipment necessary to deliver the
services.
B. The ENGINEER shall be paid monthly payments as described in Section II -
Method of Payment.
II. Method of Payment
A. Partial payment shall be made to the ENGINEER monthly upon City's approval of
an invoice prepared and submitted by the ENGINEER in the format and including
content as presented in Exhibit B-1, Progress Reports as required in item I II. of
this Attachment B, and Schedule as required in Attachment D to this Agreement.
B. The estimated current physical percent complete as required on the invoice shall
be calculated from the progress schedule as required in Attachment D to this
Standard Agreement and according to the current version of the City of Fort
Worth's Schedule Guidance Document.
C. The cumulative sum of such monthly partial fee payments shall not exceed the
total current project budget including all approved Amendments.
D. Each invoice shall be verified as to its accuracy and compliance with the terms of
this Agreement by an officer of the ENGINEER.
III. Progress Reports
A. The ENGINEER shall prepare and submit to the designated representative of the
Transportation and Public Works Department, monthly progress reports and
schedules in the format required by the City.

DISCUSSION:
On November 29, 2022, (M&C) 22-1016, the City Council authorized for an agreement with Barlett &
West, Inc. in the amount of $717,040.00 (City Secretary Contract No. 58943) for the design of the
Main Street Downtown Intersection Improvements project (City Project No. 103314).
The scope of this project includes replacing the existing traffic signals to match the theme of the
downtown vision, constructing Americans with Disabilities Act (ADA)-compliant ramps, and making
each intersection more pedestrian-friendly.
The purpose of this amendment is to provide additional design services to account for significant
scope changes, which include additional coordination to locate, identify, and mitigate potential conflicts
with basement structures found underneath several buildings along Main Street and in the vicinity of
intersections where new traffic signal poles and foundations need to be installed.
The effort also includes resources to provide additional utility coordination with ONCOR due to the
backup battery systems at the power sources of the signals.
Both additional efforts require several site visits with city staff, ONCOR, and property owners to reduce
the possible conflicts during construction and time in the underground basements taking
measurements.

This project is included in the 2022 Bond Program. The City's Extendable Commercial Paper (ECP)
(M&C 22-0607; Ordinance 25765-08-2022) provides liquidity to support the appropriation.? Available

resources will be used to make interim progress payments until the debt is issued. Once debt
associated with a project is sold, debt proceeds will reimburse the interim financing source by the
statement expressing official Intent to Reimburse that was adopted as part of the ordinance
canvassing the bond election (Ordinance 25515-05-2022).
Funding is budgeted in the 2022 Bond Program Fund for the Transportation & Public Works
Department for the purpose of funding the Main St- Downtown Intersection Improvements project, as
appropriated.
Bartlett & West agrees to maintain its initial M/WBE commitment of 15.00\% that it made on the
original agreement and extend and maintain that same M/WBE commitment of 15.00\% to this first
amendment. Therefore Bartlett & West remains in compliance with the City's M/WBE Ordinance and
attests to its commitment by its signature on the Acceptance of Previous M/WBE Commitment form
executed by an authorized representative of its company
The project is located in COUNCIL DISTRICT 9.
FISCAL INFORMATION/CERTIFICATION:
The Director of Finance certifies that funds are available in the current capital budget, as previously
appropriated, in the 2022 Bond Program Fund for the Main St- Downtown Signal Corri project to
support the approval of the above recommendation and execution of the amendment. Prior to any
expenditure being incurred, the Transportation and Public Works Department has the responsibility to
validate the availability of funds.

Amendment Purpose Statement:
The purpose of this engineering amendment is to provide for additional design services to
account for significant scope changes that have been incorporated into the project after the
project scope was finalized. This effort includes the additional coordination required to
locate, identify and mitigate potential conflicts with basement structures found underneath
several buildings along Main Street and in the vicinity of intersections that we are installing
new traffic signal poles and foundations.
The effort also includes resources to locate, identify, and coordinate with city staff and
ONCOR the backup battery systems at the power sources and include the requirements in
the final set of documents.
Both additional efforts required several site visits with city staff, ONCOR and property
owners to reduce the possible conflicts during construction. Several days were spent in the
underground basements taking measurements and transposing those measurements on the
surface to the best of our ability to avoid construction delays if a basement is encountered.
