This first Amendment to Fort Worth City Secretary Contract No. 63055 ("Amendment") is made between the City of Fort Worth ("City"), a Texas home-rule municipal corporation, and Automation Nation, Inc. ("Vendor"), individually referred to as "party" and collectively as "parties". WHEREAS, City and Vendor entered into an Agreement identified as Fort Worth City Secretary Contract No. 63055 for biosolids dryer automation support services effective April 4, 2025, in an amount up to $500,000.00; and WH�REAS, it has become necessary to execute Amendment No. 1 to the Agreement to increase compensation. NOW THEREFORE, City and Vendor, acting herein by and through their duly authorized representatives, enter into the following agreement, which amends the Agreement: I. AMENDMENT Article III of the Agreement is amended to provide for increased compensation to be paid to Vendor for services performed under the Agreement, as amended, so that the total compensation under this Agreement will be in an amount up to $575,000.00. II. ALL OTHER TERMS SIIALL REMAIN THE SAME All other provisions of the Agreement shall remain unchanged and in fiill force and effect. III. Water Director Via: Doug Blacic, Senior Assistant City Attorney Haven Wynne, Chief Procurement Officer Subject: Amendment #1 — Emergency Contracts — Village Creek Biosolids Facility Operation On April 2, 2025, the Water Department requested approval of emergency expenditures and contract procurement necessary to protect the public's health and safety during the tc•ansition from Synagro foc� operations and maintenance of the biosolids facility and processing and disposal of biosolids. The emergency authorization was approved on April 3, 2025. Amendment #1 revises the cost estimate for two of the vendors. In the approved memorandum, the cost estimate for Renda Environmental to set up temporary belt presses, perform repairs to existing belt presses, clean existing storage tanks, dredge and clean existing storage lagoons, and haul off and dispose of dried and dewatered biosolids was $IOM. With this amendment, that cost estimate increases to $16M, which necessitates a change order be executed for CSC #63050, the emergency contract with Renda Environmental, Inc, increasing the contract value from $ l OM to $16M. The work to clean the lagoons has not yet been completed, while the petroleutn discharge to the Village Creel< wastewater plant, which occurred in May 2025, had a signi�cant impact on the biosolids facility, resulting in higher biosolids processing and disposal costs due to the inability to operate the dryer for six weelcs from May into June. We anticipate the remaining worlc assigned to Renda Environmental Inc. can be completed within this revised cost estimate. Please note, the City is in the process of procuring and awarding a competitively procured biosol'ids hauling contract, with proposals received on October 15t", and the intent to award to the best value proposer at the Novembee 11 t" City Council meeting. It is anticipated that the hauling and disposal worlc activities will be transitioned to this new contract starting in December 2025. The cost estimate for Automation Nation, Inc. also needs to be increased, from $500,000 to $575,000. The need for this adjustment is due to the additional costs associated with SCADA assistance, opei•ations optimization, and operations assistance. Hiring and retaining permanent staff to operate the dryer facility has been challenging, necessitating the increase in the contract value. Following approval of this memo, the emergency contract with Automation Nation will be modified by change order to increase the contract ceiling by $75,000.
