We are pleased to inform you that the American Heart Association, Inc. ("AHA") hereby awards a
grant to the City of Fort Worth, Police Department, a Texas Home-rule municipality ("GRANTEE"),
subject to the following terms and conditions:
The grant is for the period from November 20, 2025 through December 1, 2026. Upon
submission to AHA of this signed Grant Agreement (the "Agreement"), the AHA agrees to
pay the amounts set out in Attachment A to facilitate GRANTEE'S participation in the AHA
program described therein. The parties agree that the payment of this grant funding does
not indicate and will not result in a special or preferential status for GRANTEE regarding its
potential participation in any other AHA offered or sponsored programs.
GRANTEE represents that it is legally incorporated in or has its principal operations in the
State where it is located, is a legal corporate entity in good standing with the State of
Texas. at the time of this grant Agreement and agrees it will maintain this status
throughout the term of this Agreement. GRANTEE confirms further it is not a Type III
supporting organization within the meaning of IRC Section 4943(f)(5)(A).
GRANTEE will inform the AHA immediately of (i) any change in or challenge to its corporate
status including but not limited to non-profit status, adverse change in its standing with the
State of Texas, or if it becomes a Type III supporting organization, (ii) any change in its
organizational leadership or key personnel or (iii) any material change or adverse
development relative to its financial condition, operations, activities or affairs. No payment
hereunder shall be required to be made at any time after GRANTEE ceases to be a legal
corporate entity, has an adverse change in its standing with the State of Texas, loses its
non-profit status, or if it becomes a Type III Supporting Organization.
4. GRANTEE will have full control of the disposition of the grant and accepts responsibility for
complying with this Agreement's terms and conditions. This grant is earmarked for
GRANTEE and may not be transferred to any other entity or person, except as may be
specified in the grant application or Attachment A. QFFICIAL RECORD

5. GRANTEE will submit an annual report outlining its progress towards the plans outlined in
the Agreement. GRANTEE will also maintain and deliver annually a separate detailed
accounting and supporting documentation of the use of grant funds. Such reports and
supporting documentation must be maintained by GRANTEE at least four years following
the termination of this Agreement.
6. GRANTEE agrees to promptly respond to interim inquiries and requests for information
from the AHA regarding compliance with the terms of the grant and progress made
towards achieving the goals of the grant.
7. GRANTEE acknowledges that the AHA and its representatives have made no actual or
implied promise of funding or renewal of funding in addition to the amounts provided
under this Agreement.
8. It is understood that by signing this Agreement, GRANTEE agrees that it will conduct all
activities to be funded by this grant in compliance with all applicable United States, state
and local laws and regulations, as well as in compliance with the laws and regulations of
any location orjurisdiction in which GRANTEE is operating, including applicable anti-
terrorist financing and asset-control laws, statutes and executive orders.
9. GRANTEE agrees to ensure that all potential recipients and participants of GRANTEE's
programs and services have access to programs and receive equitable services without
regard to race, sex, education, ethnicity, socio-economic status, religion, ability/disability,
sexual orientation, gender self-identification, age, country of origin, first language, marital
status, citizenship or immigration status.
10. GRANTEE agrees to not use any portion of the grant to engage in, support or promote
violence, terrorist activity or related training of any kind.
11. If GRANTEE wishes to publicize this grant, GRANTEE must contact the AHA at least 2 weeks
before the desired date of the publicity for review and approval. GRANTEE shall not issue
any press releases or otherwise make any public statement referring to this grant or using
the AHA's name or logo without the prior written consent of AHA. The text of all press
releases, public announcements, statements, campaign reports or materials that mention
the grant must be approved in advance in writing by the AHA. GRANTEE shall provide the
AHA with copies of any and all final press releases, public announcements and/or
publications related to this grant. The AHA may make information about this grant public at
any time by any means, including but not limited to, on its website, in presentations or as
part of its public reports or other documents.
12. GRANTEE hereby agrees, to the fullest extent permitted by law, to defend, indemnify and
hold harmless the AHA, its officers, directors, employees, agents and affiliates from and
against all claims, liabilities, losses and expenses (including reasonable attorney's fees),
directly or indirectly, wholly or partially arising from or in connection with any act or
omission of GRANTEE, its officers, directors, employees, agents and affiliates in obtaining
or accepting the grant from the AHA, in carrying out the programs funded with grant funds
from the AHA.

13. If the AHA terminates this grant for cause, or if GRANTEE ceases to be a legal corporate
entity, or ceases to be in good standing in the State of Texas, becomes a Type III Supporting
Organization, or ceases to be a non-profit organization, then GRANTEE shall immediately
repay the amount of grant funds provided to GRANTEE for GRANTEE'S participation in the
Nation of Lifesavers program as of the date of the termination. In addition to the
circumstances cited above, the AHA shall have cause to terminate the grant if GRANTEE
becomes unable to carry out the purposes of the grant, or GRANTEE is in breach of any
term of the grant.

AHA Propram Description and Purpose of Fundinp:
The American Heart Association will work closely with the City of Fort Worth, Police Department, a
Texas Home-rule municipality, to facilitate the AHA's Nation of LifesaversT^^ program. The goal is to
turn bystanders into lifesavers, so that in the time of cardiac emergency anyone, anywhere is
prepared and empowered to become a vital link in the chain of survival and provide CPR. Together
we can save lives.
Activities of GRANTEE:
Recipient agrees to the following terms and conditions:
• Purchase AEDs for use in police vehicles
• Provide CPR education in the community
Activities of AHA:
The AHA will:
• Provide a subgrant for AED purchase
• Support CPR Community Education
Fundinp and Pavment Schedule:
The total grant of $108,000.00 will be paid to GRANTEE upon execution of this agreement and
completion of applicable paperwork for payment, such as the AHA Supplier Package and W-9.
Funding is not to be used for salaries; hourly wages; provider services, expenses and/or
reimbursements; or employee services, expenses and/or reimbursements. Funding for the Grant
may only be used for purchases as outlined in this agreement.

SUBJECT: (ALL) Authorize Execution of a Memorandum of Understanding with the American Heart
Association to Receive a Donation in the Amount of $108,000.00, Authorize Acceptance of
a Monetary Donation to Fort Worth Police Department from the American Heart
Association in the Amount of $108,000.00 for the Purpose of Equipping Patrol Cars with
Automated External Defibrillators, and Adopt Appropriation Ordinance Increasing
Estimated Receipts and Appropriations in the Special Donations LTD Fund in the Amount
of $108,000.00, for Funds that will be Received from the American Heart Association
RECOMMENDATION:
It is recommended that the City Council:
1. Authorize execution of a Memorandum of Understanding with the American Heart Association
to receive a donation in the amount of $108,000.00;
2. Authorize acceptance of a monetary donation to the Fort Worth Police Department from the
American Heart Association in the amount of $108,000.00 for the purpose of equipping
patrol cars with automated external defibrillators; and
3. Adopt the attached appropriation ordinance increasing estimated receipts and appropriations
in the Special Donations LTD Fund in the amount of $108,000.00, for funds that will be
received from the American Heart Association
DISCUSSION:
The purpose of this Mayor and Council Communication (M&C) is to authorize the execution of a
Memorandum of Understanding with the American Heart Association and to authorize the acceptance
of a donation in the amount of $108,000.00 for the purpose of equipping patrol cars with automated
external defibrillators.
The American Heart Association (AHA) would like to work with the City of Fort Worth, Police
Department (FWPD), to facilitate the AHA's Nation of Lifesavers program. The goal of the program is
to prepare and empower bystanders to become lifesavers in the event of a cardiac emergency. The
AHA would like to create a culture of preparedness by equipping those who are first on scene in an
emergency. The AHA has secured funding from donors to extend financial support to the FWPD.
Funding in the amount of $108,000.00 will be received from the AHA upon execution of the
Memorandum of Understanding. This donation is designated for use by the FWPD to purchase
automated external defibrillators to be carried in patrol cars. Upon receipt, funds will be deposited to
the police Special Donations LTD fund, project S00176.
FISCAL INFORMATION/CERTIFICATION:
The Director of Finance certifies that upon approval of the above recommendations and execution of
the Memorandum of Understanding, funds will be deposited into the Special Donations LTD Fund for
the Police Donations project. The Police Department (and Financial Management Services) is
responsible for the collection and deposit of funds due to the City. Prior to any expense being
incurred, the Police Department has the responsibility to validate availability of funds.
