LOCATION AGREEMENT
THIS LOCATION LICENSE AGREEMENT (the "Agreement") is entered into as of January
5, 2026, by and between the City of Fort Worth, a Texas home-rule municipality (the "City"
or "Licensor"), and CNE Productions LLC, a Delaware limited liability company, including
its employees, agents, contractors, suppliers, affiliates, representatives, and related parties
("CNE" or "Licensee"). The City hereby grants to Licensee a revocable, non-exclusive license
(the "License") to enter and use the "Property" (as defined on Exhibit "A") far the purpose of
CNE producing the audio/visuaUaudio-visual project detailed on E�ibit "A" (together with
any other content CNE captures while on the Property, the "Project"). CNE may enter onto the
Property and into buildings on the Property, and may bring with it personnel, property,
material, and equipment reasonably necessary to aid its filming of the Project.
CNE may enter the Property only during the dates and times specified as the "Term" in Exhibit
"A". The City understands that production schedules are tentative in nature and subject to
change for a variety of reasons; if CNE must change the Term, the City will collaborate with
CNE to make the Property available at another mutually agreeable date and time. The above
notwithstanding, the Term is firm unless changed by written amendment signed by both
parties. The City may reschedule or terminate the License on 24 hours' written notice (email
sufficient) if required for public safety, City operations, or other public needs, without liability
to Licensee. Additionally, in advance of the Term, CNE may decide not to use my Property at
all, in which case neither CNE nor the City will have any further obligation to each other.
Licensee may rearrange movable parts of the Property only with prior on-site approval of the
City's designated representative, such approval not to be unreasonably withheld or delayed.
Licensee shall restore the Property to the same condition as existed immediately priar to
Licensee's entry, reasonable wear and tear excepted. Licensee shall be responsible for any actual
and verifiable damage to the Property solely to the extent caused in whole or in part by Licensee.
After providing written notice to Licensee itemizing any such damages (email sufficient), the
City may repair any such damage and invoice Licensee, which invoice shall be paid within
fourteen (14) business days. The City shall provide Licensee notice and photographs of damage
promptly after discovery.
Licensee shall own the copyright, photography, sound recordings, and filmed materials in the
Project footage shot on the Property (collectively, "Footage"). Licensee may use such Footage
solely in connection with the Project in perpetuity in any and all media now known or later
invented. Any other use of the Footage outside of the scope of this Agreement shall require the
City's prior written approval (email sufficient), not to be unreasonably withheld.
The City represents that it is the owner (or the autharized agent of the owner) of the Property,
and has the full and clear ability to grant to CNE the rights in this Agreement; (ii) no one else's
permission is required to grant these rights; and (iii) the City will not comment about the
Project and its details until the Project has been publicly released. CNE represents that it has
obtained all necessary releases from persons appearing in the Project.

AGAINST ANY AND ALL THIRD-PARTY CLAIMS OR LAWSUITS OF ANY KIND OR
CHARACTER, WHETHER REAL OR ASSERTED, FOR EITHER PROPERTY DAMAGE
OR LOSS (INCLUDING ALLEGED DAMAGE OR LOSS TO CNE'S BUSINESS AND
ANY RESULTING LOST PROFITS) AND PERSONAL INNRY, INCLUDING, BUT NOT
LIMITED TO, DEATH, TO ANY AND ALL PERSONS, ARISING OUT OF OR IN
CONNECTION WITH THIS AGREEMENT, TO THE EXTENT CAUSED BY THE
GROSSLY NEGLIGENT ACTS OR OMISSIONS OR MALFEASANCE OF CNE, ITS
OFFICERS, AGENTS, REPRSENTATIVES, SERVANTS, EMPLOYEES,
CONTRACTORS, OR SUBCONTRACTORS.; EXCEPT TO THE EXTENT ARISING
FROM THE CITY'S GROSS NEGLIGENCE AND/OR WILLFUL MISCONDUCT AND
EXCEPT WITH RESPECT TO ANY ILLNESS A PERSON CONTRACTS, FOR WHICH
CNE WILL NOT INDEMNIFY THE CITY, AND FROM WHICH THE CITY RELEASES
CNE OF ALL LIABILITY.
The City's sole remedy far any breach of this Agreement or use of the Property by CNE shall
be limited to an action at law for money damages, if any, and the City shall not have the right
to seek to enjoin, restrain or otherwise interfere with the production, distribution, e�ibition,
or other exploitation of the Project and the advertising or publicity of the Project. Except to a
subsidiary or affiliate, ar pursuant to a merger, sale, or other transfer of all or substantially all
of the assets of the business to which this Agreement relates, rights granted hereunder are
personal to CNE and may be assigned only with City's prior written consent. If there are any
disputes between CNE and the City related to this Agreement, the Agreement and the dispute
will be governed by the internal laws of the State of New York. This covers the entire
understanding and agreement on the subject of this Agreement, and no modifications to it are
allowed unless they are signed in writing by CNE and the City.

The "PROPERTY" shall include the land, structures, furniture, fixtures, artwork, signs, business logos,
trademarks and all other items located at the following address: 3401 W. Lancaster Ave., Fort Worth, TX
76107 and as depicted in the attached map.
TERM: From January 16, 2026 to February 7, 2026, for 24 hours per day.
