SECOND RENEWAL & THIRD AMENDMENT TO
FORT WORTH CITY SECRETARY CONTRACT NO. 59510
This Second Renewal and Third Amendment to Fort Worth City Secretary Contract No.
59510 ("Agreement") is made between Cherry Engineering, Inc. ("Seller") and City of Fort
Worth ("Buyer"), a Texas home-rule municipal corporation through its duly authorized Assistant
City Manager acting by and through its duly authorized representative, each individually referred
as a"Party" and collectively as the "Parties".
WHEREAS, Buyer and Seller entered into an Agreement identified as Fort Worth City
Secretary Contract No. 59510 beginning May 25, 2023 ("Agreement");
WHEREAS, the Agreement allows renewals and the Parties have agreed to extend the
term for a one-year renewal term as described below.
WHEREAS, it is the collective desire of both Buyer and Seller to amend the Agreement
to replace exhibit F with updated pricing; and
NOW THEREFORE, the Parties do hereby agree to the following:
I.
AMENDMENT TO AGREEMENT
The following terms are hereby amended to replace any conflicting terms in the Agreement
or will be added to the terms and shall be binding and enforceable as if they were originally
included therein:
1. Exhibit F in the Agreement is deleted and replaced with the attached Exhibit F.
2. Section 3.0 (" Term") of the Agreement is hereby amended by deleting it and
replacing it in its entirety with the following:
This Agreement shall begin on the date signed by the Buyer's signatory Effective
Date") and shall expire on December 31, 2024 (" Expiration Date"), unless
terminated earlier in accordance with this Agreement Initial Term"). Seller shall
have the option to increase the price in January each year. Buyer shall be able to
renew this Agreement under the same terms and conditions, with the exception of
pricing, for up to four (4) renewal options by written agreement of the parties
(each a Renewal Term"). First Renewal Term: January 1, 2025 — December 31,
2025, Second Renewal Term: January 1, 2026 — January 31, 2027, Third
Renewal Term: February 1, 2027 — January 31, 2028, Fourth Renewal Term:
February 1, 2028 — January 31, 2029 OFFICIALRECORDI

II.
RENEWAL
As amended and renewed herein, this Agreement expired on December 31, 2025. Since
the expiration of the Agreement, the parties have continued to operate as if the Agreement was in
full force and effect. The Agreement is hereby renewed for its Second Renewal Term, beginning
January 1, 2026, and ending January 31, 2027.
III.
ALL OTHER TERMS SHALL REMAIN THE SAME
All other provisions of Agreement which are not expressly amended herein shall remain in
full force and effect.
IV.
ELECTRONIC SIGNATURE
This Amendment and Renewal may be executed in multiple counterparts, each of
which shall be an original and all of which shall constitute one and the same instrument.
A facsimile copy or computer image, such as a PDF or tiff image, or a signature, shall be
treated as and shall have the same effect as anoriginal.
