HomeMy WebLinkAbout063075-A1 - General - Contract - Carahsoft Technology CorporationCity Secretary Contract No. 63075-A1 FIRST AMENDMENT CITY OF FORT WORTH CONTRACT NO. 63075 This First Amendment to Fort Worth City Secretary Contract Number 63075 ("First Amendment") is made and entered into by and between the City of Fort Worth, a Texas home- rule municipal corporation, acting by and through its duly authorized Assistant City Manager ("City"), and Carahsoft Technology Corporation ("Vendor"), a Maryland corporation. City and Vendor are each individually referred to herein as a"Party" and collectively as "Parties." WHEREAS, on April 10, 2025, City and Vendor entered into that certain cooperative purchasing agreement known as Fort Worth City Secretary Contract Number 63075 ("Agreement"), utilizing a cooperative agency contract between Vendor and OMNIA Software Solutions (Omnia Software Solutions and Services Contract R240303) ("Underlying Cooperative Contract") for professional services to configure the City's Accela environment; WHEREAS, the Agreement contained an initial term which will end on December 31, 2025 and two additional one-year renewal options beginning January 1 st of the applicable year through December 31st of the applicable year by written agreement of the Parties; WHEREAS, the Parties desire to amend the Agreement to align term and renewal options under the Agreement with the Underlying Cooperative Contract by clarifying the initial term of the Agreement and renewal options; and NOW, THEREFORE, City and Vendor agree to amend the Agreement as follows: I. AMENDMENT City and Vendor hereby agree to repeal and restate the fourth paragraph on the first page of the Agreement to be and read as follows: The initial term of this Agreement ("Initial Term") shall begin on February 22, 2025 and end on December 31, 2027. The City, by mutual written agreement of the parties, may renew this Agreement for two (2) additional one-year renewal options. The Initial Term shall be divided into annual segments. WORTH, TX In the event the Underlying Cooperative Contract is extended, renewed, or replaced by a substantially similar cooperative agreement ("Successor Agreement"), the parties may extend or renew this Agreement by mutual written agreement of the parties. II. ALL OTHER TERMS SHALL REMAIN THE SAME All terms and conditions of the Agreement that are not expressly amended pursuant to this First Amendment shall remain in full force and effect. All terms in this First Amendment that are capitalized but not defined shall have the meanings assigned to them in the Agreement. III. ELECTRONIC SIGNATURE This Amendment may be executed in multiple counterparts, each of which shall be an original and all of which shall constitute one and the same instrument. A facsimile copy ar computer image, such as a PDF or tiff image, or a signature, shall be treated as and shall have the same effect as an original.
