THIS AGREEMEI�T is made and entered into by and between THE C�TY 4F
FURT W�RTH, a home rule muni�i�al carporatian of Tarrant County, Texas ("City"),
acting by and thraugh its d�ly autharized City Manager, Assistant City Mana�;er, or
Directar of khe I7e�eloprnent Service� Departm�nt, and Triniry River Autharity ❑f Texas,
a Gonser�ation and reclama#ian district created by and functianing under Chap#er 51$,
Acts oF the 54t�' Legislature ❑f the State af Texas, Regular Session, 1955 as amended
("Authority"), acting by and through its duly autharized representati�e.
RECiTALS
WHEREAS, Authority is the owner af a sanitary sewer and a temparary
canstructian easem�nt as Instrum�nt number �22519Z882, in the Deed Rec�rds ❑f
Tarrant Caunry, Texas ("T7�A Easement"}; and
WHEREAS, the City owns a permanent 24' water line easement �the "Public
Property") adja�ent t� the property, dedi�ated t� the City in an easement filed in the
Tarrant Caunty Deed Records as Instrument Nurnher D2Q�4�9333, as depicted on the
final piat of the praperty (�'-$9-21), which plat is recorded in the plat records af Tarrant
Caunty as Instrument Number Dl9DU48343; and
WHEREAS, Authority desires ta construct, place, and maintair� �ertain
impro�ements whi�h will en�raacl� in, an, above, Qr below the Public Property; and
WHERFAS, to a��oxnmodate the need� af the Autharity, the City will allow the
encroachment under the terms and canditions as set f�rth in this Agreement.
NDW, THEREFdRE, the City and Authority agree as f�j�aws:
AGREEMElVT
1.
The City, in cansideratian nf the payment by Authority of the fee set out bela��
and cQvenants and agreements herEinafter contained ta be kept and performed by
Authority, hereby grarits permassion ta Authority ta encraa�h in, an, abo�e, ar belaw and
o�cupy a portion of tlie City's Public Property as des�riL,ed in and at the location shown
on Exhil�it "A," bu# aniy �a the extent shawn therean, for the purpase of constructing,
installing, and maintaining a sanitary sewer and a ternporary canstructian easernent (the

"Encroa�hment"}. lipon �ompletion of the EncrQachment, Authority agrees tfl be
responsibie fQr maintaining the Encroa�hment within the Public Property. Autharity
shali not expand or otherwise cause the Encroachment to fiirther infringe in or an #he
Public Property beyond what is specifically described in Exhibit "A."

All cans#ruction, installation, maintenance, and operation af the Encrvachm�nt
and the use or accupancy of the Pubiic Prnperty sha]] comply with and be performec� in
striGt enm�lia�ce with this Agrcement and to the extent there is nat a confliet with the
Authority's canstrictian, ins�allation, maintenarice and operatior�, the Auihority wil]
cr�mply with th� applicable charter prQ�isions„ ordinances, �ades, and p�licies of the
City. Prior to the constructiari ar ir�stallatian of the Encroa�hment, Autharity shail Subrnit
a]] plans and specificatians to the Director of the De�Felo�ment Servi�es D�partment or
duly authari�ed representati�e. Autharit�v shall not comn�enGe canstru�tion or insta��atian
af the Encroachment nor rnake any use of the Pub�ic Property unta) af�er the exe�ution af
this Agreement.
3.
Auth�ri#y, at no expe�se ta the City, sha]] make praper pro�isions far the
relocatian and installa#ion ❑f any existing ar future utiiities affected by such
Encrpachrnent and the use and vccupan�y flf the Public Praperty, ixacluding the securing
the appro�•al and eat�sent af the appropriat� utility campanies and agencies of the State qf
Texas and its politicai suhdi�isions. In the e�ent that any installation, reinstal�ation,
relocativn, ar repair af ar�y existing or future utility or improvements owned by or
canstructed by ar nn behalf of the puhlic ar at puhlic expense is made more costly by
virtue af the canstruction, mair�tenance, or exi�tence of the Fncraachment and use af
Public Pr�perty, the Authurity shal] p�.y those additianal �osts incurred by the City with
such amaunt ta be determined thraugh n�utual agreement hetween th� partie�, whi�h
includes the Directar af Transporiat�on and Put�lic Wvrks, the Directar of the Water
Depart�l��nt, the Director vf De�velopment 5ervices Department, or their duly authorized
representati�e, as well as t�e Authority

Authority agrees that City rnay enter and utilize the Public Araperty at any time
for any public pu�ose, includin� installing, repairing, replacing, ar maintaining
impro�ernents to its puhlic facilities ar utilities necessary for t�e health, safety, and
welfare of the puhlic. The City shall have na responsibility ar liability fflr any damages
related to the Encroa4hrnent resulting fr4m the City's usc of ihe Puhlic Prnperty;
however, the City shall make re�.sanable effarts to minirniz� such damage.

5.
Up�n terminatian of this Agreement, Autharity shall, at the option of and at no
expense to the Gity, rema�e the Encroachment and restflre the Pubii� Property to a
conditian ac�eptable to the Dire�tor af Transpartation and Public Works, the Dire�tar af
!he Water Departrnen#, the Direccor ❑f the Development Ser�ices Departrrzent or their
duly authorized representati�e. Any such remo�a] of the Encroachrnent shall be in
ac�ordance with then-existing Ciry regulations and palicies. It is understaad and a�reed
to by Authority that if this Agreement terminates ar�d the Autharity fails to r�move the
Encraa�hment and restare the Public Property, Authorrry hereby gi�es City permission ta
remo�e the Encroachrnent and any supparting structures frorn the Publi� Property, to
restore the Pu6lic Prflperty, and to assess a lien on the Praperty for th� casts expended by
the City in taking su�h acti�ns.

in order ta defray all costs of inspec#ian and super�ision which the City has
in�urred ar will incur as a result af the construction, maint�nance, inspection or
mana�ernent of the Encraachmen# and t�se ❑f Public Praperty as provided for by this
Agreernent, Auth�rity agrees to pay to City at the time this Agreement is requestcd an
appiicatian fee in the sum of Dne Thousand Twel�e Dollars and Fifty Cents
($1U12.54)-
7.
The term af this Agreement shal] be far #hirty (34} years, commencing an thc
date this Agreement is executed by Ciry. Howe�er, the City rnay terminate this
Agreement upon Authority's nonc�mpliance with any af the terms af this Agreernent.
Ciry shall notify Authority in writing af any su�h noncampliance and if Authvrity does
n�t cure the noncampliance wit�in thirty (3�} days af natice from City, the City may
terminate this A�reemenE. Hawever, the City may, at xts sole option, allow the Agreement
to remain in effect so 1Qn� as Authority has taken reasa�able measures t❑ cure the
noncorttplian�e pr is cpntinuing ta dili�ently attempt ta remedy the nancompliance.

It is further understood and agreed between the parties here#o that the Publi�
Property to be used and encroached upon is l�e[d 6y City �s trustee for the pui�lic; that
City exercises such powers over the Public Property as ha�e been dclegated ta it i�y the
Canstitutio� of fihe State of Te�as or by the Texas Legrslature; and ihat City cannot
contract away its dury and its legislati�e power to cantrol the Public Prflperty for the us�
and �aenefit of the public. It is accordingly agreed that if the governing bady of City may
at any tirne during �he term here�f determine ir� its sale drscretion ta use ar �ause or
permit the Pu61ic Property to be used for any ather publk� purp�se, including but not
being tirnited to underground, surFace, or o�erhead communication, drainage, sanitary
sewerage, transmissian of natural gas or clectri�ity, ar any other pubtic purpose, whether

presently �onternplated ar not, that the parties agree to negotiate in goad faith in order to
a�cvrttmadate both the Encroachment and the public purpase.

While this Agreemcnt is in effe�t, Autharity agrecs to furnish City �vith a
Certificate of Insuranc� namin� Ci#y as certificate holder as proof that is has secured and
paid far a policy of publi� ]iability insurance co�ering all pu�lic ris'ks related to the
proposed use and accupan�y ❑f public property as ]ocated and descri�ed in Exhibit "A."
The amaunts nf such insurance shafl be not less than

with the understanding and agreemeni hy Autllariry that su�h insurarice amounts may be
re�ised upward at �ity's aption and that �lutharity shatl sa re�ise 5L1C�'l amounts
immediately foliawing natice to Autharity of such requirement. Such insurance palicy
shall nat be canceled or amended without at least thirty (30} days priar written notice to
the Buiiding Official of the City. A copy ❑f such Certificate af Insuran�e is attached as
Fxhihit "S" and incarporated herein for all purposes. �uthority agrees, binds, and
abli�;ates itself and its su��essars and assigns to maintain and keep in farce such publi�
liability insurance at all times during the term of this A�-eement and until the r�maval of

the Encraachment and restaratian of the Puhlic Praperty. Ali insurance co�erage
required herein shall include co��rage of al] Autharity's contractars and suhcontractars.

Authority agrees ko depflsit with the City when this Agr�ement is exe�uted a
sufficient sum of money to he used to pay necessary fees ta re�ord this Agreement in the
rea] property re�ards of the �ounty in which the Encroachrncn� is focated. After being
recorded, the origina] sha3] be returned ta the City Secretary of the City �f �'art Worth.

Autharity agrees ta camply Fuliy with all applicable federal, state, and local laws,
statutes, ardinances, codes, and regulations in connection with the �onstn�ction,
operatian, and maintenance af the Encroachment and use of the Public Praperty.
�3.
Authoriry agrees tv pay promptly when due all fees, taxes, ar rentals pro�ided for
by this Agreement ar by any federal, state, or local statute, law, ar regulation.
l 4.
Autho�-ity ca�enan#s and agrees that it shall operate hereunder as an indep�ndent
cantractor as to all rights and pri�ileges granted hereunder and nvt as an officer, agent,
ser�ant, nr ernployee of City, and Authority sha�� have cxclusive contro] of and the
exclusi�e right to control the details of its operatians, and all persans per#'orm�ng same,
and shall he solely responsible far the acts and omissi�ns of its officers, agents, ser�ants,
emplay�cs, contractors, subcantractor�, Authorities, and invitees. The doctrine of
respondeat superiar shall not apply as between City and Authority, its ❑fficers, agents,
servants, err�ployces, contractflrs, and subcontra�tors, and nothing herein shall be
construed as creating a partnership ar jaint enterprise between Ciry and Aulharity.

Authoriry agrees and a�knawled�es that this A�reement is solely for the purpose
af permitting I�uthariry to �anstruct, maintain, ar�d lo�ate the Encroachment a�er or
within the Publi� Property and is not a �anveyance of any right, title, or interesi in or to
the Publi� Property, �or is it meant ta can�ey any right tQ use or oGcupy property in
which a third-party may ha�e an interest. Autharity agrees that it will obtain all
necessary permissians k�efore occupyir�g such property.

In any a�tian brought �y the City for the enfor�em�nt Qf the obligations of the
Authority, City shaIl he entitled to re�over interest and reasonab�e aitorneys' fees.

The parties agree that the duties and �biigatians cantained in Sectian 5 shall
sur�i�e th� termination of thi5 Agreement.
1 S.
Authority covenants and a�;rees that it wi�l not assign all or any of its rights,
privileges, or duties under t11is 1lgreement without the written appra�al af ti�e City, and
any atterripted assignment without such written approval shalf be �oid. In the e�ent
Authority conveys the Praperty, Authority may assign all af its rights and ohligati�ns
under this Agreement to the new awner of' the Property, and Authflrity shall be deemed
released from its duties and obligations hereunder upan C�ty's apprava] in writing orsu�h
assignment, which appro�al shall r�ot be unreasonabrty cpnditioned ar witllheid.
Foreclosure by a se�ured iender ❑f Authority or assignrnent ta a secured lender hy
Authoriry in the event of default or otherwise shall not req�ire City appraval pravided
that said lender n�tifies City in writing wikhin sixty �60] days of such fore�losure ar
assignment ar�d assumes all of Authority's rights and abligations hereunder. Howe�er,
no chan�e af awnership due to foreclosure or assignment ta any se�ured iender ❑f
Authority shall be �ffecti�e as to Gity unless and until written natice af such foreclasure
ar assignr�nent is provided to City.
19.
Prior ta the end of the term of this Agreement, AuthQrity �nay s�bmit a new
en�roa�hment applicatian to the City. The City will not unreasonabiy withhold or delay
appraval of such applicatian pra�ided that the En�roaGhment fallaws the t�en �urrent
City cades and �ompliance.
20.
Any cause �f action far breach of thi s Agreement shall be braught in Tarrant
Caunry, Texas. This Agreement shall be gaverned by the iaws of #he State ❑f Texas.
21.
This A�;reernent shal] be binding upan the parties hereta and their successors and
assigns.

This Agreemer�t may be executed in multiple caunter�aarts, each af which shall be
�onsidered an ❑riginal, bui a�] ❑f which shall constitute one instrument.
