HomeMy WebLinkAbout064643 - Construction-Related - Contract - NP-OV Fort Worth Project 7, LLCDate and Ti►ne Received: O1/29/2026 City Secretary No.: 64643 MANHOLE PRIVATIZATION AGREEMENT This MANHOLE PRIVATIZATION AGR�EMENT ("Ag��eement") is made and entei�ed into by and between the CITY OF FORT WORTH, a Texas home i•ule municipal corporation ("City"), acting by and through its duly authorized Assistant City Manager, and NP-OV Fort Worth Project 7, LLC, a Delaware limited liability company ("Developer"), acting by and through its duly authorized representative. RECITALS WHEREAS, Developer is the owner of certain real property situated in the City of Fort Worth, Denton County, Texas, located at 15050 Blue Mound Rd, Fort Worth, TX ("Property") more pat�ticularly desci•ibed in Exhibit "A" attached hereto and incorporated herein for all purposes; and WHEREAS, the City owns and maintains public sewer facilities known as X-26764 (the "manhole"). The manhole is located within and adjacent to the propei�ties as shown in Exhibit "B" which is attached hereto and incorporated herein for all purposes; and WHEREAS, Developer is required to privatize the public manhole so that private sewer stub-outs from the manhole can be constructed to connect private plumbing to the sewer system; and WHEREAS, to facilitate developer's use of the property, developer has requested that City privatize the manhole; and WAEREAS, the City has reviewed the Developer's request and has determined that the manhole will serve at least one customer and will not serve beyond the boundaries of the property; and WHEREAS, once privatized, Developer shall have exclusive control over the manhole and shall use all reasonable care to maintain and operate the manhole to provide service to the customer per the limits shown in Exhibit "B" and to prevent infiltc�ation into the City's adjacent active sewer system; and WHEREAS, the depreciated value of the manhole is the amount of $ 4,067.78 ("Depreciated Value") as set forth in Exhibit "C" attached hereto and incorporated herein for all pui•poses, collection of which is offset to the amount of $ 0.00 owed to the City, since the same Developer has constructed and paid for the existing manhole; and NOW, THEREFORE, in consideration of the covenants and agreements hereinabove described and hereinafter professed, City and Developer agcee as follows: OFFICIAL RECORD CITY SECRETARY Intermodal Logistics Centei• Page 1 of 8 Manhole Privatization Agceement FT. City shall and by these presents, does hei•eby privatize tlie tnanhole fi�om the points designated for each on Exhibit "B" but only to the limits shown thereon in accordance with this agreement. The Developer shall have exclusive control over tlle manhole per the limits shown in Exhibit "B". 2. Developer hereby accepts the manhole "as-is/where-is" and warrants that developec has performed its due diligence to understand the condition of the manhole without relying on any representation by the City. Developei• shall not expand or otherwise cause any infringement on the City's t•emaining public infi•astructure. 3. Developer agrees that once the manhole is pc�ivatized, the developer shall have exclusive control over the manhole and can construct sewer stub-outs to connect private plumbing to the existing sewer system. 4. Except as otherwise herein provided, all construction and privatization of the manhole shall be perfotmed in strict compliance with this agreement and the City's charter, policies, ordinances, and code. 5. Developer agrees to comply fully with all applicable federal, state and local laws, statutes, ordinances, codes or regulations in connection with any construction required to connect to the privatized manhole and to prevent infiltration into the City's adjacent active sewer system. 6. Developer agrees and acknowledges that this agreement is solely for the purpose of granting to developer ownership and full responsibility for the privatization of the manhole and is not a conveyance of any right, title, or interest in or to the City's public infrastructure not herein identifed as part of the manhole privatization limits nor is it meant to convey any right to use or occupy propec�ty in which a third pai�ty may have an interest. In the event Developer conveys the property, Developer shal( provide a copy of this agreement, which shall i•un with the land, to the new owner of the property along with a report on the status of Developer's actions with c�espect to the manhole. The Developer shall promptly notify City of any transfer in ownership of the property. 8. Any cause of action for breach of this agreement shall be brought in Denton County, Texas. This agc•eement shall be govei•ned by the laws of the State of Texas. 9. This Agceetnent shall be binding upon the pat�ties hereto, their successors and assigns.
