Home My WebLink About064652 - Construction-Related - Contract - NP-OV Fort Worth Project 6, LLCDate and Time Received: O1/29/2026 City Secretary No.: 64652 MANHOL� PRIVATIZATION AGREEMENT This MANHOLE PRIVATIZATION AGREEMENT ("Agreement") is made and entered into by and between the CITY OF FORT WORTH, a Texas home rule municipal corporation ("City"), acting by and through its duly authorized Assistant City Manager, and NP-OV Fort Worth Project 6, LLC, a Delawace limited liability company ("Developer"), acting by and thi•ough its duly authorized representative. RECITALS WHEREAS, Developer is the owner of certain real property situated in the City of Fort Worth, Denton County, Texas, located at 1376 Bold Ruler Rd, Fort Woi•th, TX ("Property") moi•e particularly described in Exhibit "A" attached hereto and incorporated herein for all purposes; and WHEREAS, the City owns and maintains public sewer facilities known as X-26764 (the "manliole"). The manhole is located within and adjacent to the properties as shown in Exhibit "B" which is attached hereto and incorpot•ated herein for all purposes; and WHEREAS, Developer is required to privatize the public manhole so that private sewer stub-outs from the manhole can be constructed to connect private plumbing to the sewer system; and WHEREAS, to facilitate developer's use of the property, developer has i•equested that City privatize the manhole; and WHEREAS, the City has reviewed the Developer's request and has determined that the manhole will serve at least one customer and will not serve beyond the boundaries of the property; and WHEREAS, once privatized, Developer shall have exclusive control over the manhole and shall use all reasonable care to maintain and operate the manhole to provide service to the customer per the limits shown in Exhibit "B" and to prevent infiltration into the City's adjacent active sewer system; and WHEREAS, the depreciated value of the manhole is the amount of $ 4,067.78 ("Depreciated Value") as set fot�th in Exhibit "C" attached hereto and incorporated hec�ein for all purposes, collection of which is offset to the amount of $ 0.00 owed to the City, since the same Developer has constructed and paid for the existing manhole; and NOW, THEREFORE, in consideration of the covenants and agreements hereinabove described and hereinafter� professed, City and Developer agree as follows: OFFICIAL RECORD CITY SECRETARY Intermodal Logistics Centei• Page 1 of 8 Manhole Privatization Agreement FT. City shall and by these presents, does hereby privatize the manhole fc•om the points designated for each on �xhibit "B" but only to the limits shown thereon in acco►�dance with this agreement. The Developer shall have exclusive control over the manhole pec the limits shown in Exhibit "B". 2. Developer hereby accepts the manhole "as-is/where-is" and warrants that developer has performed its due diligence to understand the condition of the manhole without celying on any representation by the City. Developei• shall not expand or otherwise cause any infi•ingement on the City's remaining public infi•astructure. 3. Developer agrees that once the manhole is privatized, the developer shall have exclusive control over the manhole and can const►•uct sewer stub-outs to connect private plumbing to the existing sewer system. 4. Except as otherwise hec•ein provided, all construction and privatization of the manhole shall be performed in strict compliance with this agreement and the City's chat•ter, policies, oc�dinances, and code. 5. Developer agrees to comply fully with all applicable federal, state and local laws, statutes, ordinances, codes or regulations in connection with any construction required to connect to the privatized manhole and to prevent infiltration into the City's adjacent active sewer system. 6. Developer agrees and acknowledges that this agreement is solely for the puipose of granting to developer owner•ship and full responsibility for the privatization of the manhole and is not a conveyance of any right, title, or interest in or to the City's public infrastructure not herein identified as pai�t of the manhole privatization limits nor• is it meant to convey any right to use or occupy property in which a third pai�ty may have an interest. In the event Developer conveys the property, Developer shall provide a copy of this agreement, which shall run with the land, to the new owner of the pcoperty along with a r•eport on the status of Developer's actions with respect to the manhole. The Developer shall promptly notify City of any tcansfei• in ownei•ship of the property. 8. Any cause of action foi• bi•each of tllis agceement shall be brought in Denton County, Texas. This agceement shall be governed by the laws of the State of Texas. 9. This Agreement shall be binding upon the parties hereto, their successors and assigns.
