MAINTENANCE AGREEMENT
THIS AGREEMENT, made and entered into this 29th day of
January , 2026 by and between Northwest Indeuendent School District, a Texas
public school distcict, actinb by and thcoubh Dr. Marl< Foust, its Superintendent, heceinafter
referred to as '`Landowner", and the City of Fort Wocth, heceinafter referced to as '`City".

WHEREAS, the Landowner is the owner of certain real property described as a tract
of land situated in the W. Sample Sucvey, Abstract No. 1207, City of Fort Worth, Denton
County, Texas, beinb a pact of Lot 1 R, Block 1, Northwest 1SD Addition, and addition
to the City of Fort Worth, accordinb to the plat cecorded in Document No. 2023-156,
Plat Records, and in the Deed No. 2018-109099, Denton County, Texas, heceinafter
called the "Pcopecty'".
WHEREAS, the Landowner is proceedinb to build on and develop the Property
accocdinb to the Site Plan/Subdivision Plan known as NISD Transportation Facilitv,
heceinafter called the '`Plan'", which is expressly made a part hereof, as approved or to
be approved by the City and the Landowner provides for the construction and maintenance
of a Retaining Wall Facility on a portion of the Propecty being more particulacly desccibed
by the metes and bounds in Exhibit '`A"; and;
WHEREAS, the City and the Landownec, and theic successocs and assibns, abree
tl�at the Ilealth, safety and welfare of the residents of the City of Fort Worth, Texas cequice
that a Retaininb Wall Facility be constcucted and maintained on a portion of the
Property; and;

WHEREAS, the City requires that a Retainiitg Wall FaciEity ("Faciiity'') as shown
on the Plan bc constructed and adequately maintained by the Landowner, its st�ccessors and
assigns, the location and dimensions of' which is shown on the attacl�ed Ethibit ``�1'"
{"Facility Pro�erty"'); a3�d;
NOW, THEREFORE, in consideration of�ihe faregoing premises, ihe mutual co�enants
contained herein, a��d the follo��inb te�ms and conditions, t11e parties llereta a�ree as follows:
i. Tl�e Landownet-, its successo��s ac�d assigns, shall adequate�y const��uct and
�nai«taiil the on-site Retaiiling Wall Facility {"Facility"') at na ea�ense to the
City of Foi�f WoiKh in accordance with the design specificatians for the Facility,
attached as Exhibit "`S"", and the curE-ent standards tk�en in force and effect in the
City of Fo�-t Worth. Adequate maintenance is herein de�ned as good working
condition so t��at these facifities �re performing their design functions.
2. The Landowner, its successors and assigns, shall inspect the Facility aild submit
an inspection report to the City annually. The purpose of the inspection is to
ensure saFe and proper f�inctio�ling ofthe Facility. The iilspection sl�all cover tkre
cntire Facility, which needs maintenance or replacement ta pe��fot-�n their desi�n
ft�nction, shall be noted i�1 the ir�spection report alonb with the eorrective ae#ions
to be tal<en.
3. The Landowne�•, iis successors and assi�ns, hereby �rant permission to the City,
its authorized agents ai1c� employees, to enter upon the Fea��eety and to inspect
the Faci�ity Property whenever the City dee�ns necessary. �"he pUrpose af
inspection is to follaw-up on reported deficiencies and/or to f�espond to citizen
complaints. `l�he City shall pro�ide the Landowner, its successors and assigns,
copies ol�the inspectiorl �ndings and a dir-ective to comEnence with the ��e�ai►•s if
nccessaiy.
4. Ii� the event the Lando�v�ler, its s�iccessors af�d assig�3s, Fail to mai��tain the
Facility in goad worlci�lg condition acceptable to the C�#y, the City. its

authorized agents and employees, may enter upon the Facility Property and take
reasonable steps necessary to correct deficiencies identified in the
inspection report and to char�e the reasonable costs of such repairs to the
Landowner, its successors and assigns. It is expressly understood and agreed
that the City is under no obligation to routinely maintain or repair said
Facility, and in no event shall this Agreement be construed to impose any
such obligation on the City, such obli�ation is Landowner's.
�. The Landownec, its successors and assi�ns, will perform the work necessary to
keep the Facility in �ood worki►1� ordec as appropciate. In the event the City
pursuant to this Agreement, perf'orms work of any nature, or expends any funds
in perf'ormance of said work for labor, use of equipment, supplies, materials,
and the like, the Landowner, its successors and assi�ns, shall reimburse the
City upon demand, Wlt�ll[1 tllll'iy �30) days of ceceipt thereof for all ceasonable
actual costs inc�u•red by the City hereunder.
6. This A�reement shall be recorded amon� the land records of Denton County,
Texas, and shall constitute a covenant runnin� with the land, and shall be
binding on the La►ldownec, its administratocs, executors, assigns, heirs and any
othec successors in interests, includin� any pcopecty ownecs association.

LEGAL DESCRIPTION
BEING all that certain lot, tract, or parcel of land, situated in the W. Sample Survey,
Abstract Number 1207, City of Fort Worth, Denton County, Texas, being a part of
Lot 1R, Block 1, Northwest ISD Addition, an addition to the City of Fort Worth,
according to the plat thereof, recorded in Document Number 2023-156, Plat
Records, Denton County, Texas, and being more particularly described as follows:
COMMENCING at a 5/8" capped rebar found, stamped "TNP" at the northwest corner
of said Lot 1 R, same being the southwest corner of a certain called 10'
Right—of—way dedication to the City of Fort Worth, according to the plat of
Northwest ISD Addition, an addition to the City of Fort Worth, according to the plat
thereof, recorded in Cabinet U, Page 188, Plat Records, Denton County, Texas, being
in the east line of that certain tract of land, described by deed to McKelvey—Cole,
LP, recorded in Document Number 2014-79019, Deed Records, Denton County,
Texas, and being in the south line of State Highway 114 (variable width
right—of—way), from which a 2" rebar found, at the southwest corner of said Lot 1R
bears S 00`06'09" E, 3,422.03 feet;
THENCE over, across, and through said Lot 1R the following five (5) calls:
S 20°22'55" E, a distance of 3,560.86 feet to the POINT OF BEGINNING of the
herein described tract of land;

S 00`22'35" E, a distance of 11.50 feet;
