HomeMy WebLinkAbout064670 - General - Contract - Botanical Research Institute of Texas (BRIT)CSC No. 64670 MEMORANDUM OF UNDERSTANDING BETWEEN THE CITY OF FORT WORTH AND BOTANICAL RESEARCH INSTITUTE OF TEXAS This Memorandum of Understanding ("Memorandum") is made and entered into by and between BOTANICAL RESEARCH INSTITUTE OF TEXAS (`BRIT) and the CITY OF FORT WORTH ("City"), a home-rule municipal corporation of the State of Texas acting by and through its duly-authorized Assistant City Manager, to document the relationship between the two entities. City and Botanical Research Institute of Texas may be referred to herein individually as a"Party" or collectively as the "Parties." I. BACKGROUND AND PURPOSE 1. City desires to have the Fort Worth Public Library ("Library") engage the residents of Fort Worth by supporting education and outreach opportunities. 2. Library's mission is to build a community of learners, dreamers, and doers. This is achieved through library services in multiple City locations, including programs and partnerships inside and outside the library buildings. 3. Parties desire to work together with the common goal of increasing literacy rates in Fort Worth, Texas. 4. This Memorandum represents the intent of the Parties to memorialize the understanding of the Parties and their desire to ensure positive cultural outcomes for the residents of Fort Worth. II. TERM This Memorandum shall become effective February 1, 2026 and shall expire on July 31, 2027 unless terminated earlier in accordance with this Memorandum. This Memorandum may be renewed annually under the same terms and conditions upon the written mutual agreement of the Parties. OFFICIAL RECORD CITY SECRETARY FT. WORTH, TX Memorandum of Understanding BOTANICAL RESEARCH INSTITUTE OF TEXAS Pagelof6 III. OBLIGATIONS 1. BRIT will provide designated staff to assist in the coordination of the partnership. 2. BRIT will host four seasonal Library Days at FWBG, one per season, in the Winter, Spring, Summer and Fall of 2026. • The Library Days will be scheduled for an agreed-upon date and time. Library Days will include free admission for library cardholders, one card per household, on the designated day. • Library Days will include two educational programs per day at agreed-upon times. FWBG staff will coordinate and lead the Winter programs. 3. BRIT will offer three early learning programs at the Library. Both parties will agree upon locations, dates and times. 4. BRIT will offer one adult learning program at the Library. Both parties will agree upon the location, date and time. 5. BRIT will provide a 13-month membership for the cost of a regular membership offer to library customers. Promotional items will be printed and designed by BRIT, with Library approval, and placed at all library locations for the duration of this agreement. 6. BRIT will promote partnership, Library Days, learning programs, and related opportunities via FWBG marketing channels. 7. BRIT will work with Library staff to create an Amplify817 playlist for promotional use. Memorandum of Understanding BOTANICAL RESEARCH INSTITUTE OF TEXAS Page 2 of 6 8. Library will provide designated staff to assist in the coordination of the partnership. 9. Library will support four seasonal Library Days at BRIT, one per season, in the Winter, Spring, Summer and Fall of 2026. • Provide on-site library card signups at all Library Days. • Library Days will include two educational programs per day at agreed-upon times. Library staff will coordinate and lead the Spring, Summer and Fall programs at BRIT. • A RA tool (booklist) will be created for each Library Day based on the educational program theme. 10. Library will host three BRIT early learning programs. Both parties will agree upon locations, dates and times. 11. Library will host one BRIT adult learning program. Both parties will agree upon the location, date and time. 12. Library will Promote partnership, Library Days, educational programs and related opportunities via Library marketing channels. Including a webpage highlighting the partnership and linking to the BRIT website. 13. Library will distribute BRIT printed, discount code, promotional item at all library locations for the duration of this agreement. 14. Library will work with BRIT staff to create an Amplify817 playlist for promotional use. 15. Library will create and provide one wildflower-themed kit/backpack to be added to circulation. 16. Library will offer a vendor table to BRIT at the annual Summer Reading Kick-Off event. IV. TERMINATION Memorandum may be terminated by either Party without cause with thirty (30) days written notice. CORRESPONDENCE All notices required or permitted under this Memorandum shall be conclusively determined to have been delivered when (i) hand-delivered to the other Party, or its authorized agent, employee, servant, or representative, or (ii) received by the other Party or its autharized agent, employee, servant, or representative by reliable overnight courier or United States Mail, postage prepaid, return receipt requested, at the address stated below or to such other address as one Party may from time to time notify the other in writing. VI. GOVERNING LAW/VENUE If any action, whether real or asserted, at law or in equity, arises on the basis of any provision of this Memorandum, the venue for such action shall lie in state courts located in Tarrant County, Texas, or the United States District Court far the Northern District of Texas — Fort Worth Division. This Memorandum shall be construed in accordance with the laws of the State of Texas. VII. INSURANCE City is a governmental entity under the laws of the state of Texas and pursuant to Chapter 2259 of the Texas Government Code, entitled "Self-Insurance by Governmental Units," is self-insured and therefore is not required to purchase insurance. Memorandum of Understanding BOTANICAL RESEARCH INSTITUTE OF TEXAS Page 4 of 6 VIII. SOVEREIGN IMMUNITY Nothing herein constitutes a waiver of City's sovereign immunity. IX. LIABILITY AND INDEMNITY Nothing herein constitutes a waiver of Parent Shield Fort Worth's liability or requires City to indemnify or hold Parent Shield Fort Worth or any third party harmless from damages of any kind or character. X. RIGHT TO AUDIT If any money is exchanged as part of this Memarandum, then the City shall have the right to audit the iinancial and business records of the Parent Shield Fort Worth that relate to any monetary exchange under this Memarandum ("Records") at any time during the term of the Memorandum and for three (3) years thereafter. It is expressly understood that no money is being exchanged as part of this Memorandum. XI. SIGNATURE AUTHORITY The person signing this Memorandum hereby warrants that he or she has the legal authority to execute this Memorandum on behalf of his or her respective Party, and that such binding authority has been granted by proper order, resolution, ordinance or other authorization of the person or entity. The other Party is fully entitled to rely on this warranty and representation in entering into this Memorandum. Should that person or entity not be authorized, the terms and conditions of this Memorandum shall be binding as against the signatary and he or she shall be subject to the terms and conditions of this Memorandum.
