CSC No. 58391-A1R3 FIRST AMENDMENT AND THIRD RENEWAL OF CITY SECRETARY CONTRACT NO. 58391 This FIRST AMENDMENT AND THIRD RENEWAL ("First Amendment and Third Renewal") is made and entered into by and between the CITY OF FORT WORTH ("City"), a Texas home-rule municipal corporation, acting by and through its authorized Assistant City Manager, and TLD HOLDINGS, LLC D/B/A TEXAS ENTERTAINMENT GROUP ("Vendor"), a Texas limited liability company, acting by and through its duly authorized representative. City and Vendor are herein referred to individually as a("Party") and collectively as the ("Parties"). WHEREAS, on November 4, 2022, the Parties entered into a Vendor Services Agreement to provide entertainment rentals such as games and bounce houses for events, the same being City Secretary Contract ("CSC") Number 58391 ("Agreement"); WHEREAS, the Agreement provides an initial term of one-year and four one-year renewal options (each a "Renewal Term"); WHEREAS, on October 16, 2023, the Parties exercised the First Renewal Term to be effective beginning on November 4, 2023; WHEREAS, the First Renewal Term expired on November 3, 2024, and the Parties continued to perform in accordance with the terms of this Agreement; WHEREAS, on February 2, 2025, the Parties eXercised the Second Renewal Term to be effective on November 4, 2024 and expire on November 3, 2025; WHEREAS, the Second Renewal Term expired on November 3, 2025, and the Parties continued to perform in accordance with the terms of this Agreement; WHEREAS, the City and Vendor wish to amend the Agreement to update the scope of services and pricing schedule; and WHEREAS, it is the collective desire of the Parties to extend the Agreement through the Third Renewal Term. NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the City and the Vendor agree to amend and renew and extend the Agreement as follows: I. 1. The Parties hereby agree to amend subsection 1.2 of Exhibit A of the Agreement in its entirety to be and read as follows: 1.2 Delivery fees will be charged at a rate of $100.00 to $140.00 per vehicle required to transport equipment and/or staff to fulfill each order. The Parties hereby agree to amend the Agreement to provide an updated pricing schedule, as set forth in E�ibit B-1, attached hereto and incorporated herein by reference. II. The City and Vendor hereby agree to renew the Agreement for the Third Renewal Term, effective beginning on November 4, 2025, and ending on November 3, 2026 ("Third Renewal Term"). III. 1. All terms and conditions of the Agreement that are not expressly amended pursuant to this First Amendment and Third Renewal shall remain in full force and effect. 2. All terms in this First Amendment and Third Renewal that are capitalized but not defined shall have the meanings assigned to them in the Agreement.
