PUBLIC PROPERTY EASEMENT ENCRUACHMENT LICENSE AGREEMENT
TIER II
THIS AGREEMENT is made and eniered into by and between THE CITY OF
F4RT WORTH, a home rule municipal corporation o� Tar3rant County, Texas {"City"),
acting by and through its duly authorized City Manager, Assistarit City Manager, or
Director of the Development Services Department, and TCRG OPPORTiJNITY XV,
L.L.C., a Texas Iimited Iiability company {"Lic�nsce"), acting by and through its duly
authorized represeritative.
RECITALS
WHEREAS, Licensee is the owner of the reaI property located at 9900 Mallick
Oaks Drive, Fart Worth, Texas 76140 ("Property"), being more particularly described as
Lot 2, Block 1, of Risinger Sou�h Addition, an addition to the City of Fort Worth, Tarrant
County, Texas, as recorded in Deed Records, by Instrument Namber D21713561 S; and
WHEREAS, the Ci�y owns a drainage easement (the "Public Progerty")
adjacent to �he property, dedicated to the City in an easement filed in the Tanant County
Deed Records as I`nstrtament Nu�nber D208�09283, as depicted on the final plat of the
property { FP-20-042), which piat ,is recorded in the plat records of Tarrant County as
InstrUment Number D20346237.;and

WHEREAS, Licensee desires to construct, place, and maintain certain
improvements wh.ich will encroach in, on, above, or beIaw the PubIic Property; and
WHEREAS, to accommoda�e the needs of the Licensee, the City will a�law the
encroachment under t�a terms and conditions as set forth in this Agreement.

NOW, THEREFORE, the City and Licensee agree as follows:

AGREEMENT
1.
The City, in consideration of the payment by Licensee of the fee set out below
and cavenants and agreements hereinafter contained to be kept and performed by
Licensee, hereby g€rants permissian to Licensee to encroach in, or�, abo�e, or below and
occupy a portion of the City's Pub�ic Properky as described in and at the Iocation shown
an Exhifait ��A," but only �o the extent shown thereon, for �he purpose o�' constructing,

installing, and �naintaining a private drainage headwall {the "Encroachment"). Upon
completion of #he Encroachment, Licensee agrees to be resgonsible for maintaining �he
Encroachmen� within the Public Property. Licensee shall not expand or otherwise cause
the Encroachment to further infringe in or on the Public �roperly beyond what is
specifcally described in Exhibit `�A:'
2.
AlI construction, instaIlation, maintenance, and opera�ion of the Encroachment
and the use or occupancy of the Public Property shall comply with and be perforn�ed in
strict compliance with this Agreement and with the charter, ordinances, cades, and
poIicies of the Gity. Prior to the constr�ction or installation o� the Encroachment,
Licensee shall sulimit atl plans and specifications to the Director of the Development
Services DeparEment or duly authorized representative. Licensee snaIl not commence
construction or installation of the Encraachment nor make any vse of the Public Property
un�'rl after the execution of this Agreerr�ent.
3.
Licensee, a� no expense to the City, sl�all make proper provisions for the
relocation and installation oi any exis�ing or fu�ure utilities affec�ed by snch
Encroachment and' the use and occupancy of the Public ProperEy, includ'rng the securing
the approvai and consent oi the appropriate utility companies and agencies of the State of
Texas and its poIitical subdivisions. In �he event that any installation, reinstallation,
relocation, or repair of any axisting or fu�ure utility or improvements owned by or
constructed by or on behalf af the public or at pubIic expense is made more costly by
virtue of the construction, maintenance, or existen.ce of the Encroachment and Use of
Fublic Property, Licensee shall gay to City an additional amount eyual to such addi�ional
cost as determined by the Director of Transportation and PubIic Works, the Director of
the Water Department, the Director of the Development Services Department, or their
duly authorized representative.
4.
Licensee agrees that City may enter and utilize the Fublic Properly at any time for
any public purpose, including installing, repairing, repIacing, or znaintaining
impravements �o lt5 pL��3�TC facilities or utilities necessary for the health, safety, and
welfare of the pub�ic. The City shall have no responsibility or liability for any datnages
related to the Encraachment resulting from the City's use of the Pi1bIIC Property;
however, the City shall make reasonable effarts to mini�nize such damage.
5.
Upon termination of this AgreemenE, Licensee sha�l, at the option of and at no
expense to the City, remove tI�e Encroachment and restore the FubIic Property ta a
condition accep�able to the Director oiTransportation and Public Works, the Direc�or of

the Water Department, the Director of the Development Services Department or #heir
duly authorized representative. Any such removal of the Encroachment si�all be in
accordance with then-sxisting City reguiations and policies, It is understood and agreed
to by Licensee th'at if this Agreernent terrninates and Licensee fails ta remove the
Encroachment and �restore the Pvblic Property, Licensee hereby gives City permission to
remove the Encroachment and any supporting structures from the Public Properry, to
restore the Pubiic Froperty, and to assess a lien on the Praperty for the costs ex�ended by
the City in taking such actions.
6.
In order to,, defray all costs of inspection and supervision which the City has
incurred or will incur xs a result of the constrcactiot�, maintenance, inspec�ion or
management af the Encroachment and use af Public Property as provided for by this
,;
Agreement, Licensee agrees to pay to City at the time this Agreement is requested an
application fee int the sum of One Thousand Twelve Dollars and Fifty Cents
{��.012.54). fi�
7.
The term of this Agreement shall be for thirty {30} years, commencing on the
date this Agreernent is executed by City. However, the Ciiy may terminate this
Agreement upon Licensee's noncornpliance with any of the terrns of this Agreement.
City shall notify Licensee in writing of any such noncompliance and iiLicensee does not
care the noncompliance within thirty {30) days of notice from City, the Ci�y may
terminate this Agreement. However, the City may, at its sole option, allow the Agreement
to remain in effect so long as Licensee has taken reasonable measures io cvre the
noncompliance or is continuing to diIigently attempt to remedy the noncompliance.
8.
It is fvrther understood and agreed betrveen the parties hereto that the PubIic
�roperty to be used and encroached upon is held by City as trustee for the public; that
City exercises sucf'i powers over the Public Property as have been delegated to it by the
Constitution of �he State of Texas or by the Texas Legislature; and that City cannot
contrac� away its duty and its Iegislative power to control the Public Property for the use
and benefit of the pvblic. It is accordi�gly agreed that if the governing body of City may
at any time during the terrn hereof determine in its sole discretion to use or cause or
permit the Public Property to be used for any other public purpose, incIuding but no�
being limited to underground, surface, or averhead carnmunication, drainage, sanitary
sewerage, transmis'sion oi natural gas or eiectrici4y, or any ather publzc purpose, whether
presently con�empIated or not, tha� the parties agree to negotiate in good faith in order ta
accommodate both `the Encroachment and the public purpose.

9.
LICENSEE COVENANTS AND AGREES TO INDEMNIFY, AND DOES
HEREBY INDEMIVIFY, HOLD HARMLESS, AND DEFEND CITY, YTS
OFFICERS, AGENTS, SERVANTS, EMPLOYEES, AND ELECTED OFFICIALS
FROM AND AGAINST ANY AND ALL CLAIMS OR SUITS FQR PROPERTY
DAMAGE OR LOSS AND/OR PERSONAL INJURY, INCLUDING DEATH, TO
ANY AND ALL PERSONS, OF WHATSOEVER HIND OR CHARACTER,
WHETHER REAL QR ASSERTED, ARISING OUT OF OR IN CONNECTION
WITH, DZRECTLY OR INDIRECTLY, THE CONSTRUCTION,
MAINTENANCE, �CCUPANCY, USE, EXISTENCE, OR LOCATION OF THE
ENCROACHMENT AND USES GRANTED HEREUNDER, WHETHER OR NOT
CAUSED, IN WH�LE OR IN PART, BY THE ALLEGED NEGLiGENCE OF
OFFICERS, AGENTS, SERVANTS, EMPLOYEES, CONTRACTORS,
SUBCONTRACTORS, LiCENSEES, ELECTED OFFICIALS, OR INVITEES OF
THE C�TY; AND LICENSEE HEREBY ASSUMES ALL LIASILITY AND
RESPONSIBILITY FOR SUCH CLAIMS OR SUITS. LICENSEE SHALL
LIKEWISE ASSUME ALL LIABIL�TY AND RESPONSIBILITY AND �HALL
INDEMNIFY CITY FOR ANY AND ALL INJURY OR DAMAGE TO CITY
PROPERTY ARISING OUT OF OR IN CONNECTION WITH THE
ENCROACHMENTS AND ANY AND ALL ACTS OR OMISSXONS OF
LICENSEE, ITS OFFICERS, AGENTS, SERVANTS, EMPLOYEES,
CONTRACTURS, SUBCONTRACTORS, LICENSEES, QR 1NV�TEES.
10.
While this Agreement is in effect, Licensee agrees to furr�ish City with a
Certificate of Insu'rance naming City as certificate holder as proof that is has secured and
paid for a poiicy of pubiic liability insurance co�ering all pubIic risks reIated to the
proposed use and occupancy of pubIic properiy as located and described in Exhihit ��A."
The amounts of such insurance shall be not less than
$1,000,000
with the understanding and agreement by Licensee that svch insurance amounts rnay be
revised upward at City's optior� and that Licensee shall so revise such amounts
irnmediately following notice to Licensee of such requirement. S�ch insurance policy
shall not be canceled or amended without at Ieast thirty {30) days priar written notice to
the Building Official of �he City. A copy of such Certificate of Insvrance is attached as
Exhihit �B" and incarporated herein for all purpases. Licensee agrees, bittds, and
obligates itseIf anc� its successors and assigns to rnaintain and keep in farce such public
Izability insurance �at alI times during the �erm of this Agreement and until the removal of
the Encroachment and restorafion of the Public �roperty. All insurance co�erage
required herein shaII include coeerage of all Licensee's contractors and subcontractors.

Licensee agrees ta deposit witti the City when this Agreement is executed a
sufficient sum of money ta be used to pay necessary fees to record this Agreement in the
real property records of the county in vvhich the EncroacY�nnent is located. After being
recorded, the origiriaI shall be returned to the City Secretary of the City af �ort Worth.
12.
Licensee agrees #o cornply fulty with all applicable federal, state, and lacaI laws,
s�atutes, ordinances, cades, and regulations in connection with the construction,
operation, and maintenance of the Encroachment and use of the PubIic Property.
13.
Licensee agrees to pay promptly wI�en d�ae aIl fees, taxes, or rentaIs pro�ided for
by this Agreement or by any federal, state, ar local statute, law, or regulation.

Licensee covenants and agrees that it shalI operate hereunder as an indapendent
contractor as ia all; rights and privileges granted hereunder and not as an officer, agent,
servant, or empIoyee of City, and Licensee shalI have exclusi�e cantrol af and the
excl�sive right to control the detaits of its operations, and all persons performing same,
and shall be solely responsible for the acts and omissions of its officers, agents, servants,
ernployees, contractors, subcontractors, licensees, and in�itees. The doctrine of
respondeat superior shall not apply as between City and Licensee, its of�cers, agents,
servants, employe'es, contractors, and subcontractors, and nothing herein shall be
construed as creatirig a partnership or joint enterprise between City and Licensee.

Licensee agrees and acknowledges that this Agreement is solely for the purpose
of permitting Licensee to construct, maintain, and Iocate the Encroachment over or within
the Public Properry and is not a con�eyance oi any right, title, or interes# in or to the
Public Property, nor is it meant to convey any right to use or occupy property in which a
ti�ird-party may have an interest. Licensee agrees that i� wilI obtain all necessary
permissions befare occupying such property.

In any action bro�ght by the City for the enforcement af the obligations of the
L'rcensee, City shali be entitled to recover interest and reasonable attorneys' fees.

17.
The parties agree that the duti�s and obligations contained in Section 5 shall
survive the termination of this Agreement.
18.
Licensee covenar�ts and agrees that it will not assign aIl ar any of its rights,
privileges, or duties under this Agreement without the written approval of the City, and
any attempted assignment without such written approvaI shalI bs void.. In the event
Licensee conveys �the Property, Licensee may assign aIl of its rights and obligations under
this Agreement to the new owner of the Property, and Licensee shall be deemed released
from� its dvties and obIigations hereur�der upon City's approval in vcrriting of such
assignment, which appro�al shall not be unreasonably conditioned or withheld.
Forec�osure by a secured lender of Licensee ar assignment to a secured lender by
Licensee in the event of default or otherwise shalI not require City approval provided that
said lender noti�es City in writing within sixty (6U) days of such foreclosure or
assignment and assumes all of Licensee's rigItts and obligations hereunder. Howe�er, no
change of ownership due to foreclosure or assignment to any secured lender of Licensee
shall be effective as to City unless and un�il written notice of such foreclosure or
assignment is prov.ided to City.
19.
Prior to the end of the term of this Agreement, Licensee may submit a new
encroachment application to the City. T'he City wilI not unreasonably withhold or delay
appro�a� of such application pravided �hat the Encroachment follows the c�arrent City
codes and compliance.
20.
Any cause of action for breach af this Agreement shaIl ba brought in Tarran�
Co�znty, Texas. This Agreement shall be gaverned by the laws of the State of Texas.
21.
This Agreement shall be hinding upon the parties hereto and their successors and
assigns.
22.
This Agreement may be executed in multipls counterpar�s, each of which shal� be
considered an original, but all of whic� shalI constitute one instrutnent.
