HomeMy WebLinkAbout055776-A1 - General - Contract - Sand Trap Service Company, Inc.CSC No. 55776-A1 FIRST AMENDMENT OF CITY SECRETARY CONTRACT NO. 55776 This FIRST AMENDMENT TO CITY SECRETARY CONTRACT NO. 55776 ("First Amendment") is made and entered into by and between the CITY OF FORT WORTH ("City"), a home- rule municipal corporation of the State of Texas, acting by and through its duly authorized representative, and SAND TRAP SERVICE COMPANY, INC. ("Vendor"), a Texas Corporation, acting by and through its duly authorized representative. The City and Vendor are herein referred to individually as a("Party") and collectively as the ("Parties"). WHEREAS, on May 26, 2021, the Parties entered into a Vendor Services Agreement for Vendor to provide the City with grease trap services on an as needed basis at the Amon Carter Parking Garage, Will Rogers Memorial Center, and Fort Worth Convention Center, the same being City Secretary Contract ("CSC") Contract Number 55776 ("Agreement"); WHEREAS, the Agreement provides a primary term of one-year and four (4) one-year renewal option(s) (each a "Renewal Term"); WHEREAS, the Fourth Renewal Term expired on December 31, 2025, and the Parties continued to perform in accordance with the terms of the Agreement; WHEREAS, it is the collective desire of the Parties to amend the Agreement to extend the term by six (6) months to allow the City to sustain necessary services until a new agreement is in place and amend the scope to include grease trap services at Rockwood Golf Course Pecan Valley Golf Course and Meadowbrook Golf Course without changing the total contract amount; and NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the City and Vendor agree to amend the Agreement as follows: I. 1. The Parties hereby agree to amend Section 1 of the Agreement "Scope of Services" to include grease trap services at Rockwood Golf Course Pecan Valley Golf Course and Meadowbrook Golf Course far Park & Recreation Department related purposes, as set forth in Exhibit A-1. 2. The Agreement is hereby amended to extend the fourth renewal term to 18 months. This Agreement, under the fourth renewal term, shall expire on June 30, 2026. 3. All actions taken by either party in connection with the Agreement before the execution of this First Amendment are hereby ratified and confirmed. II. 1.
