Home My WebLink About059385-A2R3 - General - Contract - Lexipol, LLCDocusign Envelope ID: 3ACF7210-02BD-45B6-8DF6-CFF41784DC6B CSC No. 59385-A2R3 SECOND AMENDMENT AND THIRD RENEWAL TO FORT WORTH CITY SECRETARY CONTRACT NO. 59385 This Second Amendment and Third Renewal to Fort Worth City Secretary Contract No. 59385 ("Agreement") is entered into by and between Lexipol, LLC ("Vendor"), and City of Fort Worth ("City"), a Texas home-rule municipal corporation acting by and through its duly authorized Assistant City Manager, each individually referred as a"Party" and collectively as the "Parties." WHEREAS, the Parties entered into an Agreement identified as Fort Worth City Secretary Contract No. 59385 ("Agreement"); WHEREAS, it is the collective desire of the Parties to amend the Agreement by replacing Exhibit A with an updated Exhibit A to reflect updated pricing; and WHEREAS, it is the collective desire of the Parties to amend the Agreement to update Paragraph 4, the Term section of the agreement, by adding a one-year renewal option beginning March 24, 2026, under Sourcewell cooperative agreement #011822-LXP; and WHEREAS it is the collective desire of the Parties to renew the Agreement for a one- year term (the "Third Renewal Term"); NOW, THEREFORE, Vendor and City do hereby agree to the following: I. AMENDMENT TO AGREEMENT The Agreement is hereby amended to be and read as follows: A. The Agreement is hereby amended by adding Exhibit A.3, attached to this Amendment to Exhibit A of the Agreement. B. Paragraph 4 of the Agreement, the Term section of the Agreement, is amended as follows: The term of this Agreement is effective beginning on the date it is signed by the Assistant City Manager below ("Effective Date") and expires on March 23, 2024 ("Expiration Date"). Upon expiration, the Agreement shall renew automatically under the same terms and conditions far up to two (2) one-year renewal periods. City will have the option, in its sole discretion, to renew this Agreement under the same terms and conditions, for up to (1) one-year renewal option. City or Vendor must provide the other party with a notice of non-renewal at least 60 days before the expiration of the Initial Term or renewal period. However, if funds are not appropriated, the City may cancel the Agreement 30 calendar days after providing written notification to the Vendor. OFFICIAL RECORD CITY SECRETARY FT. RENEWAL OF AGREEMENT The Agreement is hereby renewed for a Third Renewal Term commencing on March 24, 2026, and ending on March 23, 2027, unless terminated earlier in accordance with the Agreement. III. ALL OTHER TERMS SHALL REMAIN THE SAME All other provisions of Agreement, as previously amended, which are not eXpressly amended herein shall remain in full force and effect. IV. ELECTRONIC SIGNATURE This Second Amendment and Third Renewal may be executed in multiple counterparts, each of which shall be an original and all of which shall constitute one and the same instrument. A facsimile copy or computer image, such as a PDF or tiff image, or a signature, shall be treated as and shall have the same effect as anoriginal.
