HomeMy WebLinkAbout6271-02-2026 - City Council - ResolutionA Resolution NO.6271-02-2026 AUTHORIZING AND ESTABLISHING FORT WORTH PUBLIC IMPROVEMENT DISTRICT NO.23 (PANTHER ISLAND O-PID) AND TAKING CERTAIN OTHER ACTIONS CONCERNING THE DISTRICT WHEREAS, the Public Improvement District Act, Chapter 372, Texas Local Government Code ("Act"), allows for the establishment of public improvement districts ("PID"); WHEREAS, the City of Fort Worth ("City") received a petition ("Petition") requesting the establishment of a public improvement district on land within the City to be known as Fort Worth Public Improvement District No. 23 ("Panther Island O-PID") and it is on file in the office of the City Secretary for public inspection; WHEREAS, pursuant to Section 372.009 of the Act, the City provided notice and publication of a public hearing to be conducted on February 24, 2026, to consider the establishment of the Panther Island O-PID ("Public Hearing"), which notice and publication included the following: (i) time and place of the public hearing; (ii) general nature of the proposed improvements and services; (iii) estimated costs of the improvements and services; (iv) boundaries of the proposed Panther Island O-PID; (v) proposed method of assessment; and (vi) proposed apportionment of costs between the Panther Island O-PID and the City; WHEREAS, notice of the Public Hearing was published on February 6, 2026 in the Fort Worth Star -Telegram, a newspaper of general circulation in the City, and was mailed on February 6, 2026, to all record owners of real property subject to assessment under the proposal set forth in the Petition for the Panther Island O-PID; and WHEREAS, on February 24, 2026, the City Council conducted a Public Hearing on the establishment of the Panther Island O-PID, following receipt of all public comments concerning the above -referenced matters, and adopted this Resolution, making the findings set forth herein and authorizing and establishing the Panther Island O-PID. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF FORT WORTH, TEXAS THAT: 1. Recitals. The findings set forth above in the recitals of this Resolution are found to be true and correct. 2. Findings. The City Council, after duly considering the evidence and testimony presented at the Public Hearing, and based on all information known by the City Council, makes the following findings: 2.1. Petition. The Petition was filed with the City Secretary, complies with both Section 372.005 of the Act and the City's Policy for Operating Public Improvement Districts ("O-PID Policy), and has been signed by record owners of taxable real property liable for assessment under the proposal who constitute: (a) 70.05 % of the appraised value of taxable real property liable for assessment, as determined by the current roll of the Tarrant Appraisal District, and (b) 57.75 % of the area of all taxable real property that is liable for assessment. 2.2 Advisability of the Improvements and Services. It is advisable that the City exercise the powers granted by the Act in connection with the establishment of the Panther Island O-PID, including undertaking the improvements and services set forth herein because they are intended to promote the interests of the City by conferring special benefits on the real property within the Panther Island O-PID related to economic vitality, public safety, community engagement, community enhancement, and certain improvements related thereto, all of which are anticipated to contribute to, and create and maintain a sense of, individual and community pride within the Panther Island O-PID. 2.3. Nature of the Improvements and Services. 2.3.1. The general nature of the proposed improvements and services to be provided in the Panther Island O-PID include, without limitation, the following: 2.3.1.1. Enhancements to improve operations and maintenance for green spaces, public areas, and the canal public realm; ensure clean and safe functions; and address potential ongoing or capital maintenance needs related to infrastructure and water recreation. 2.3.1.2. Improvements to enhance the community including, without limitation, litter abatement, illegal dumping, landscaping, promotional sign and banner programs, lighting, and various other streetscape and capital improvements, including streets, sidewalks, roadways, and rights -of -way. 2.3.1.3. Improvements that promote safety and security, including, without limitation, security lighting, security camera installation, additional security patrols, safety technologies, street calming measures and capital improvements to improve pedestrian, bike, and transit shelter safety. 2.3.1.4. Additional special supplemental services for improvement and promotion, including services relating to advertising, promotion, health and sanitation, water and wastewater, public safety, security, business development, and cultural enhancements. 2.3.1.5. Payment of expenses incurred in the establishment, administration, and operation. 2.3.1.6. Any other improvements and services as allowed pursuant to the Code for a home -rule municipal corporation. 2.3.2. The improvements and services will be a supplement to the standard level of improvements and services provided by the City. The City will furnish or pay for the standard level of improvements and services in the Panther Island O-PID comparable to what would be provided for the taxpayers generally. 2.4. Estimated Cost of the Improvements and Services. 2.4.1. The estimated cost of the Proposed Improvements for the initial five (5) year service and assessment plan is $2,246,000. The initial five (5) year service plan proposed for the Panther Island O-PID is attached hereto as Exhibit A ("Service Plan") and incorporated herein for all purposes. These costs are both reasonable and appropriate for the Improvements and Services. These costs are subject to future annual budget and service and assessment plans adopted by the City Council in accordance with the Act. 2.4.2. The estimated costs of improvements and services to be provided in subsequent fiscal years will be subject to future annual budget and service and assessment plans adopted by the City Council in accordance with the Act. The annual budget, service and assessment plans, and assessment rate are subject to annual review and approval by the City Council. The costs for all improvements and services will be paid in accordance with Section 2.7 of this Resolution. 2.5. Boundaries of the Panther Island O-PID. The boundaries of the Panther Island O-PID include approximately 406.56 acres of real property generally bounded by the Fort Worth and Western Railroad tracks to the west (also variously identified as Burlington Northern or Union Pacific tracks), Northside Drive to the north, the West Fork and Clear Fork of the Trinity River to the east, and Seventh Street to the south. A map depicting the boundaries, along with a specific written boundary description, are attached hereto as Exhibits B and C, respectively, and incorporated herein for all purposes. Such boundaries are appropriate and the proposed improvements and services provided to real property within such boundaries will promote the interests of the City. The Panther Island O-PID's boundaries may be expanded in accordance with the Act. 2.6. Method of Assessment. The method of assessment is proposed to be as follows: 2.6.1. The maximum assessment rate shall at no time exceed $0.165 per $100 valuation. 2.6.2. From the date this Resolution was approved by the City's Council ("O-PID Establishment Date") and continuing until the date that the governing body of the Tarrant Regional Water District ("TRWD") has authorized contract(s) for the construction of Canal C, Phase 1 ("Canal Contract Date") the assessment rate shall not exceed $0.02 per $100 valuation. A diagram illustrating Canal C, Phase 1 is attached as Exhibit D and incorporated herein. 2.6.3. During the period from the Canal Contract Date and continuing until the date that there has been a total of $50,000,000 in new private improvements to real property situated in the Panther Island O-PID ("New Private Improvements Date") the assessment rate shall not exceed $0.05 per $100 valuation. "New Private Improvements" are those improvements made to real property situated in the Panther Island O-PID for which a certificate of occupancy or a limited certificate of occupancy have been issued. Calculating the $50,000,000 in New Private Improvements will be based on the valuation of the improvements as shown on the building permit application(s) received by the City or a development agreement(s) between a developer and the City after the O- PID Establishment Date. 2.6.4. If TRWD has authorized contract(s) for the construction of Canal C, Phase I before the O-PID Establishment Date then the assessment rate shall not exceed $0.05 per $100 until there is $50,000,000 in New Private Improvements as set forth in Section 2.6.3. 2.6.5. From the New Private Improvements Date and continuing through the last year of assessments under the term of the Panther Island O-PID the assessment rate shall at no time exceed $0.165 per valuation. 2.6.6. An annual budget and service and assessment plan will be presented to the City Council for review and approval prior to the beginning of each fiscal year for the term of the Panther Island O-PID in accordance with the Act. 2.6.7. Prior to presenting each annual budget and service and assessment plan to the City Council, the Panther Island O-PID's manager will submit the same to any informal advisory boards for the Panther Island O-PID and will conduct at least one public hearing within the Panther Island O-PID at which time the proposed annual budget and service and assessment plan, including any comments from the informal advisory board's review, will be presented and real property owners within the Panther Island O-PID given an opportunity for public comment. The Panther Island O-PID's manager will give individual written notice to the office of the City Manager and to each real property owner within the Panther Island O-PID not less than fifteen (15) days before the date of each hearing, which notice will be accompanied by an outline of the proposed annual service plan and budget, or revisions thereto. This public hearing is in addition to the public hearing that will be held by the City Council as required by the Act before approving and adopting an annual service plan and budget for the Panther Island O-PID. 2.6.8. Only those properties within the boundaries of the Panther Island O-PID will be subject to assessment in accordance with the Act and applicable state law. 2.6.9. The City will participate in the assessments, and City -owned real property within the Panther Island O-PID will be assessed as set forth herein and City will be obligated to pay any assessments invoiced by the City as provided by City Council authorization and applicable law. Additionally, and as provided by City Council authorization and applicable law, the City will contribute to the Panther Island O-PID each year an amount equal to the costs that the City would have paid or incurred for the maintenance of any City -owned real property within the Panther Island O-PID for which the Panther Island O-PID provides maintenance. Further participation, if any, by the City in the costs of the Panther Island O-PID will be at the discretion of the City Council. 2.6.10. Assessment of real property within the Panther Island O-PID owned by public entities or exempt jurisdictions other than the City is subject to assessments and the payment of assessments provided the same has been established by contract in accordance with the Act. Otherwise, those properties will not be subject to assessments. 2.6.11. Based on the improvements and services to be undertaken in the Panther Island O-PID, as outlined herein and in the service plan, the City Council finds that the proposed method of assessment is reasonable and necessary. 2.6.12. The first assessment for the Panther Island O-PID will be for FY27. 2.7. Apportionment of Costs Between the Panther Island O-PID and the City as a Whole. The apportionment of costs between the Panther Island O-PID and the City is as follows: 2.7.1. Except as set forth in subsection 2.7.2, the entire cost of each improvement and service will be paid from assessments levied in accordance with Chapter 372 of the Act (including any interest accrued thereon) and from other sources of funds, if any, available to the Panther Island O-PID. 2.7.2. Except as set forth in 2.6.9, no City funds will be used to pay any portion of the cost of any improvement or service, unless such funding is approved by the City Council or other appropriate municipal authority on a case - by -case basis. 3. Establishment of Fort Worth Public Improvement District No. 23 (Panther Island O-PID). Term. 3.1. Based on the findings set forth above, the Panther Island O-PID comprising the boundaries set forth in Section 2.5 above is authorized to be established and will be known as Fort Worth Public Improvement District No. 23 (Panther Island O- PID). The Panther Island O-PID will take effect on the date of the City Council's adoption of this Resolution ("PID Effective Date") and will expire on the earlier of (i) the effective date of a resolution dissolving the Panther Island O-PID adopted by the City Council following receipt of a petition requesting dissolution and the holding of a public hearing to consider such dissolution in accordance with Section 372.011 of the Act; or (ii) any other lawful method provided for dissolution of a pursuant to the Act, as it may be amended. 3.2. Notwithstanding anything to the contrary herein, the Panther Island O-PID will continue in effect until all obligations of indebtedness for all previously authorized improvement projects and services in the Panther Island O-PID have been fully satisfied and discharged. The Panther Island O-PID will be subject to all conditions, limitations, and reservations set forth in the findings in Section 2. 4. Advisory Bodv. The City Council declines to appoint an advisory body for the Panther Island O-PID pursuant to Section 372.008 of the Act. The City Council does direct the City Manager, or his designee, to form an informal advisory board in accordance with the O-PID Policy. 5. Restriction on Construction of Improvements. In accordance with Section 372.010(c) of the Act, actual construction of any improvement may not begin until after the twentieth (20th) day following the Panther Island O-PID Effective Date. This petition ("Petition") is submitted to the City of Fort Worth, Texas ("City") by Panther Island Partners, LP, a Texas limited partnership ("Petitioner"), and on behalf of the undersigned property owners ("Owners") as set forth in Exhibit "A," requesting the establishment of a public improvement Panther Island O- PID to be known as Public Improvement District Number 23, Fort Worth, Texas ("Panther Island O-PID") pursuant to the Public Improvement District Assessment Act, Texas Local Government Act, Chapter 372 ("Act"), as amended, and the City's Policy for Operating Public Improvement Districts, adopted by the City Council on December 15, 2020 through Resolution No. 5312-12-2020, as amended ("O-PID Policy"). B. Based on the information provided herein, the Owners request, and concur with, the establishment of the Panther Island O-PID and the levy of assessments against the property within the Panther Island O-PID to pay for the costs associated with Improvements and Services (as defined hereinafter) to the extent that the same complies with the Act and O-PID Policy and subject to the following assessment rate limitations: The maximum assessment rate shall at no time exceed $0.165 per $100 valuation. ii. During the period of time from the date the Panther Island O-PID is established by the City ("O-PID Establishment Date")and continuing until the date that the governing body of the Tarrant Regional Water District ("TRWD") has authorized contract(s) for the construction of Canal C, Phase 1 ("Canal Contract Date") the assessment rate shall not exceed $0.02 per $100 valuation. A diagram illustrating Canal C, Phase 1 is attached as Exhibit "A" and incorporated herein. iii. During the period from the Canal Contract Date and continuing until the date that there has been a total of $50,000,000 in New Private Improvements to property situated in the Panther Island O-PID ("New Private Improvements Date") the assessment rate shall not exceed $0.05 per $100 valuation. "New Private Improvements" are those improvements made to property situated in the Panther Island O-PID for which a certificate of occupancy or a limited certificate of occupancy have been issued. Calculating the $50,000,000 in New Private Improvements will be based on the valuation of the improvements as shown on the building permit application(s) received by the City or a development agreement(s) between a developer and the City after the date the City established the Panther Island O- PID. iv. From the New Private Improvements Date and continuing through the last year of assessments under the term of the Panther Island O-PID the assessment rate shall at no time exceed $0.165 per valuation. C. Petitioner and Owners are the owners of, and hold fee simple title to, taxable real property representing more than 50 percent of the appraised value of taxable real property liable for assessment to be included within the Panther Island O-PID hereunder. D. As more fully set forth below, Petitioner submits this Petition for the establishment and creation of the Panther Island O-PID on 406.56 acres, more or less, of real property located within Tarrant County, Texas, on and within which the proposed improvements and services are to be made. A copy of the current roll of taxable real property located within the Panther Island O-PID from the Tarrant Appraisal District (with original signatures of each property owner shown next to each parcel within the boundaries of the proposed Panther Island O-PID that is liable for assessment) is provided as Exhibit "B". E. The establishment of the Panther Island O-PID pursuant to this Petition will confer a special benefit on all property within the Panther Island O-PID, and promote the interest of the City, Panther Island O- PID, and all property within the Panther Island O-PID. Article II — General Nature of Proposed Panther Island O-PID Improvements and Services A. The general nature of the proposed public improvements and services authorized by the Act to be undertaken and financed from time -to -time for the special benefit of the Panther Island O-PID includes, but is not limited to, those improvements and services set forth in Exhibit "C" ("Improvements and Services"). In addition to the Improvements and Services, the Petitioner requests that the Panther Island O-PID be authorized to engage in any activity permitted under the Act, subject to annual approval by the City Council. The manager of the Panther Island O-PID will recommend each year, to both property owners within the Panther Island O- PID and to the City Council, an annual service plan and budget setting forth in detail the Improvements and Services proposed for the Panther Island O-PID. B. The Improvements and Services will be for the use and benefit of all property owners within the Panther Island O-PID and contribute to, create, and maintain a sense of individual and community pride within the Panther Island O-PID. Taken together, these benefits will help to enhance, preserve, and protect both the Panther Island O-PID, and the various areas within the Panther Island O-PID, that will provide an increased tax base for the City far into the future. C. The Panther Island O-PID will not make any improvements to private properties located within the Panther Island O-PID and there will not be a contingency plan in place to maintain or dispose of improvements to private property. The Petitioner anticipates that the TRWD Board of Directors will authorize a contract for the construction of Canal C, Phase 1 on or before FY2026 and estimates that the Panther Island O-PID's first -year budget, beginning on October 1, 2026, will be approximately $209,833, which will result in an assessment for the first year of $0.05 per $100 of valuation for taxable property within the Panther Island O-PID. Should such a contract not be authorized before the FY2027 assessment is adopted by the City Council, the first -year budget will be approximately $177,949 which would result in an assessment rate for the first year of $0.02 per $100 of valuation. B. An itemized estimate of the Panther Island O-PID's budget for the first five years together with a five-year service plan summary for the Panther Island O-PID (including, without limitation, estimated sources of revenues for the Panther Island O-PID, e.g., monies received from rate assessments and through public entity participation agreements) are set forth in Exhibit "D". The budget for the five-year service plan assumes an assessment rate of $0.0165 for FY2029 as it is anticipated that $50,000,000 or more in New Private Improvements will be in place on or before FY2029. C. Each annual service plan and budget for the Panther Island O-PID, although prepared and recommended by the Panther Island O-PID's manager, will be subject to approval by the City Council in accordance with the Act and O-PID Policy. Each annual service plan and budget will fully fund all costs incurred by the City in connection with the administration of the Panther Island O-PID, including, but not limited to, the costs for personnel, data services, appraisals, notifications, and collection fees. D. All assessment revenue funds will be managed in accordance with accounting methods approved by the City. Article IV — Annual Service Plan and Budget Review Process A. Beginning on October 1, 2026, and by October 1 of each year thereafter during the existence of the Panther Island O-PID, the Panther Island O-PID's manager will prepare and recommend to the City Council an annual service plan and budget that must cover a period of at least five years and define the projected costs for the Improvements and Services. B. Prior to presenting each annual service plan and budget to the City Council, the Panther Island O-PID's manager will submit the service plan and budget to any informal advisory boards for the Panther Island O-PID and will conduct at least one public hearing within the Panther Island O-PID at which time the proposed annual service plan and budget, including any comments from the informal advisory board's review, will be presented and property owners within the Panther Island O-PID given an opportunity for public comment. The Panther Island O-PID's manager will give individual written notice to the office of the City Manager and to each property owner within the Panther Island O-PID not less than 15 days before the date of each hearing, which notice will be accompanied by an outline of the proposed annual service plan and budget, or revisions thereto, as the case may be. C. Petitioner and Owners understand that the annual service plan and budget, assessment plan, and assessment levy for the Panther Island O-PID are subject to review by the Director of the City's The FW Lab (or that person's authorized designee) and with final approval by the City Council in accordance with the Act and O-PID Policy. Article V — Boundaries of the Proposed Panther Island O-PID The Panther Island O-PID contains approximately 406.56 acres (including tax exempt areas) of property shown on the map that is attached as Exhibit "E" and more particularly described by the legal descriptions on the attached Exhibit "F". Article VI — Proposed Method of Assessment A. The City Council is authorized by the Act to apportion the costs of the Improvements and Services to be assessed against property in the Panther Island O-PID based on special benefits accruing to such property because of the Improvements and Services. B. The Petitioner proposes all property within the Panther Island O-PID be assessed annually for the Improvements and Services to be performed within the Panther Island O-PID according to the appraised values of the properties, as determined by the then current tax roll of the Tarrant Appraisal District. The assessment of each property within the Panther Island O-PID may be adjusted following the review of the annual service plan and budget. The Panther Island O-PID's assessment will be in accordance with the Act and O-PID Policy and is not to exceed $0.165 per each $100.00 of appraised valuation. Article VII — Proposed Apportionment of Costs Between the Panther Island O-PID and City; Participation Agreement to Pav Assessments of Citv and Tarrant Regional Water District ("TRWD"1,; Participation by Other Public or Exempt Entities A. Except as provided in this Article VII, Petitioner proposes that all costs of the Panther Island O- PID be apportioned solely to the Panther Island O-PID to the extent allowed by the Act and O-PID Policy. B. City intends to participate in the assessments, and City -owned property within the Panther Island O-PID (as shown in Exhibit "E") will be assessed as set forth in Article VI, and City will be obligated to pay any assessments invoiced by the City as provided by City Council authorization and applicable law. Additionally, and as provided by City Council authorization and applicable law, the City will contribute to the Panther Island O-PID each year an amount equal to the costs that the City would have paid or incurred for the maintenance of any City -owned property within the Panther Island O-PID for which the Panther Island O-PID provides maintenance. Further participation, if any, by the City in the costs of the Panther Island O-PID will be at the discretion of the City Council. TRWD intends to participate in the assessments, and TRWD-owned property within the Panther Island O-PID (as shown in Exhibit "E") will be assessed as set forth in Article VI, and TRWD will be obligated to pay any assessments invoiced by the City as provided by the TRWD's board authorized Participation Agreement to Pay Assessments — Public Improvement District Number 23, City of Fort Worth, Texas (a copy is attached as Exhibit "G"). Additionally, and as provided by TRWD's Board authorization and applicable law, TRWD will contribute to the Panther Island O-PID each year an amount equal to the costs that TRWD would have paid or incurred for the maintenance of any TRWD-owned property within the Panther Island O-PID for which the Panther Island O-PID provides maintenance. Further participation, if any, by TRWD in the costs of the Panther Island O-PID will be at the discretion of TRWD's Board. D. Assessment of property within the Panther Island O-PID owned by public entities or exempt jurisdictions other than the City and TRWD as noted above, is subject to assessments and the payment of assessments provided the same has been established by contract in accordance with the Act. Article VIII — Management of Proposed Panther Island O-PID The Petitioner proposes the Panther Island O-PID be managed by the City with, at the City's option, the assistance of a third -party administrator contracted by the City and paid for as part of the administrative costs of the Panther Island O-PID. Article IX — Informal Advisory Bodv The Petitioner proposes that the Panther Island O-PID be established and managed with the assistance of an "informal advisory body' but understands that pursuant to the Act and the O-PID Policy, the establishment of such a body is within the sole and exclusive discretion of the City Council. Article X — Establishment and Dissolution of the Proposed Panther Island O-PID The Panther Island O-PID will be established and dissolved pursuant to the Act. Establishment of the Panther Island O-PID will occur on the date that the City Council adopts the resolution authorizing the Panther Island O-PID and will continue in full force and effect until it is dissolved pursuant to the Act Article XI — Establishment of Proposed Panther Island O-PID Does Not Obligate Citv Except as provided herein, establishment of the Panther Island O-PID does not obligate the City to fund or perform any Panther Island O-PID Improvements or Services, even if the Panther Island O-PID is dissolved. The Petitioner and Owners understand the construction of improvements in the public right-of-way will be maintained by assessments from the Panther Island O-PID and does not in any way obligate the City to future maintenance or operational costs, unless otherwise stated in a subsequent agreement. "EXHIBIT G" TRWD Participation Agreement FINAL - REVISED (250917) PARTICIPATION AGREEMENT TO PAY ASSESSMENTS - PUBLIC IMPROVEMENT DISTRICT NUMBER 23, CITY OF FORT WORTH, TEXAS (Panther Island O-PID) This PARTICIPATION AGREEMENT TO PAY ASSESSMENTS - PUBLIC IMPROVEMENT DISTRICT NUMBER 23, CITY OF FORT WORTH, TEXAS ("Agreement") is entered into by and between the CITY OF FORT WORTH, TEXAS ("City"), a Texas home - rule municipal corporation, and TARRANT REGIONAL WATER DISTRICT ("TRWD"), a Texas water control and improvement district. The City and TRWD may each be referred to herein individually as a party and collectively as the parties. Recitals A. The City and TRWD, in conjunction with private landowners, are cooperatively pursuing creation of an operating public improvement district ("O-PID") in accordance with the Public Improvement District Assessment Act, Texas Local Government Code Chapter 372 (the "Act"), and with the City's Policy for Operating Public Improvements Districts ("O-PID Policy"), to undertake identified public improvement projects conferring special benefit on the definable part of the City generally known as Panther Island ("Panther Island O-PID" or "O-PID"), with the understanding that creation and operation of such O-PID shall be contingent on, and subject to, City Council approval and the adoption of a governing ordinance ("O-PID Ordinance"). B. Establishment of the Panther Island O-PID will finance and pay for construction and maintenance of public improvements within and specially benefitting the O-PID, at least in part, through special assessments on taxable real property contained in the O-PID, with such improvements anticipated to spur and accelerate development of property in the Panther Island O-PID, increasing values and tax revenues for both the City and the TRWD along with other benefits to the parties and the public. C. Under the Act and authorities construing the same, the properties liable for paying assessment must be specially benefitted by PID-funded improvements. D. Pursuant to the Texas Constitution, personal or real property owned by TRWD is not subject to state or local taxation, but Section 372.014(b) of the Act allows exempt jurisdictions, such as TRWD, to pay special assessments by contract. E. TRWD owns real property located within boundaries of the Panther Island O-PID and desires to have its real property benefit from the O-PID-funded public improvements. It therefore agrees to pay special assessments related to the Panther Island O-PID through a contract with the City as allowed under the Act. TRWD Participation Agreement to Pay Assessments Panther Island O-PID Page 1 of 8 FINAL - REVISED (250917) NOW, THEREFORE, for and in consideration of the mutual agreements and conditions set forth herein, the sufficiency of which is hereby acknowledged, the City and TRWD do contract, covenant and agree as follows: 1. INCORPORATION OF RECITALS. The parties agree that the recitals set forth above are true and correct and form the basis upon which they have entered into this Agreement. 2. MANAGEMENT, OPERATION, ADMINISTRATION OF PANTHER ISLAND O-PID BY CITY. A. Conformance with the Act and O-PID Police. The Panther Island PID will be managed, operated, and administered by the City, directly or through a contracted third party, in accordance with the Act and, except as otherwise set forth herein, with the O-PID Policy. Only. B. Voluntary Contribution Established by this Agreement for FY2026 i. For FY2026 only, TRWD agrees to pay to the O-PID a voluntary contribution of $0.165 per $100 in valuation on all real property that it owns within the boundaries in lieu of assessments provided the City's Council has approved and adopted the O-PID Ordinance before June 1, 2026. ii. The FY2026 contribution shall be determined and invoiced in accordance with Section 2.C. C. TRWD Assessments After the Adoption of the O-PID Ordinance are Established by the Agreement. i. TRWD agrees to pay assessment on all real property that it owns within the boundaries of the O-PID in amounts calculated as though such real property were subject to taxation, with the process for determining and collecting such assessments set forth in this Section 2.C. and not the process specified in the O-PID Policy. ii. Calculation of TRWD's assessment shall be determined annually by multiplying the assessment rate by the value of each parcel of TRWD property as detailed below except for FY2027 and 2028 where the TRWD Participation Agreement to Pay Assessments Panther Island O-PID Page 2 of 8 FINAL - REVISED (250917) assessment rate for TRWD shall be $0.165 per $100 irrespective of the rate established by the City's Council. iii. Thereafter, unless agreed otherwise in writing, the assessment rate for TRWD shall be the same as that applicable to taxable property within the O-PID and reflect the rate established by City Council each year in approval of the then -current service and assessment plan for the Panther Island O-PID ("Assessment Rate"), provided however, that the rate may not be greater than the not -to -exceed assessment rate reflected in the O-PID Ordinance. iv. For purposes of calculating assessments on TRWD, City staff will use the total market value of each TRWD-owned tract as shown on the appraisal records of the Tarrant Appraisal District (the "TAD Market Value"). A list of each TRWD-owned parcel of real property within the O- PID and subject to assessment is attached a "Exhibit A" which is incorporated herein ("TRWD Tracts"). V. It is anticipated that TRWD may sell one of or more of the TRWD Tracts during the term of this Agreement. Only those parcels owned by TRWD as of January 1 of the year in which assessments are being calculated and billed will be subject to assessment under this Agreement. To the extent a former TRWD Tract is owned by a non-exempt party as of January 1, such new owner shall be liable for assessment in accordance with the O-PID Ordinance and the then -current service and assessment plan for the O-PID. Nothing in this Agreement will preclude TRWD and any buyer of a TRWD Tract from allocating the assessment on a pro rata basis for the year of sale. vi. On October 1 of each year (or as soon thereafter as practicable), City staff will send an assessment invoice to TRWD with the invoice designed to show value and assessment information for all TRWD Tracts broken out on a parcel -by -parcel basis. Payment of the invoice shall be due in accordance with the same deadlines and other general terms applicable to invoices issued by and payable to the Tarrant County Assessor Collector, provided, however, that payment shall be made directly to the City. vii. Payments received under this Agreement will be deposited by the City to a fund or account dedicated solely for the benefit of the Panther Island O-PID. TRWD Participation Agreement to Pay Assessments Panther Island O-PID Page 3 of 8 FINAL - REVISED (250917) viii. In the event of non-payment of assessments by TRWD, the City shall give written notice of the non-payment to TRWD. If the non- payment is not cured with sixty (60) days of receipt of written notice, then the City may institute a breach of contract action against TRWD for collection of the unpaid assessments. Further, TRWD agrees to waive both its immunitv to suit and immunitv to liabilitv solely for the limited purpose of the Citv to collect anv unpaid assessments. 3. TERM. This Agreement shall take effect on the date as of which both parties have executed it and shall expire on the expiration or termination of the Panther Island O-PID, unless this Agreement is terminated earlier as provided herein. 4. TERMINATION. A. The parties acknowledge and agree that proper budgeting for the improvements within the O-PID requires advance planning and that limitation of termination rights hereunder is therefore reasonable. B. Because assessments are calculated based on ownership and values as of January 1 each year, but invoices do not issue until October 1 for that same year, either party may terminate this Agreement with respect to the then - current year by providing written notice on or before April 1, in order to afford 180 days' notice prior to the commencement of the O-PID's fiscal year and issuance of invoices. If notice of termination is provided after April 1, such notice shall be considered to take effect as of January 1 of the immediately succeeding year. In the event TRWD terminates this Agreement, TRWD will, at the same time written notice is given to the City, provide copies of the aforementioned written notice of termination to (i) each member of the any advisory board, should one exist, and (ii) the management company of the Panther Island O-PID, should one be in operation. C. Effect of Termination. Termination shall not reduce or absolve TRWD's liability for payment of assessment invoices preceding the date ofTRWD's termination notice, and TRWD's shall be entitled to benefits of the O-PID through the effective date of termination. S. RESPONSIBILITY FOR ACTS. The City and the TRWD shall each be responsible for the sole negligent acts of their officers, agents, employees or separate contractors. VENUE AND JURISDICTION. If any action, whether real or asserted, at law or in equity, arises on the basis of any provision of this Agreement, venue for such action shall lie in state courts located in Tarrant County, Texas or in the United States District Court for the Northern District of Texas — Fort Worth Division. NO THIRD -PARTY RIGHTS. The provisions and conditions of this Agreement are solely for the benefit of the City and the TRWD and are not intended to create any rights, contractual or otherwise, to any other person or entity. 10. FORCE MAJEURE. The parties shall exercise every reasonable effort to meet their respective obligations as set forth in this Agreement, but shall not be held liable for any delay in or omission of performance due to force majeure or other causes beyond their reasonable control, including, but not limited to, compliance with any government law, ordinance or regulation, acts of God, acts of omission, fires, strikes, lockouts, national disasters, wars, riots, material or labor restrictions, transportation problems and/or any other cause beyond the reasonable control of either party. 11. REVIEW OF COUNSEL. The parties acknowledge that each party and its counsel have had the opportunity to review and revise this Agreement and agree that, in the event of any dispute over the meaning or application of any provision of this Agreement, this Agreement shall be interpreted fairly and reasonably, and neither more strongly for or against any party, regardless of the actual drafter of this Agreement. 12. CAPTIONS. Captions and headings used in this Agreement are for reference purposes only and shall not be deemed a part of this Agreement. 13. ELECTRONIC SIGNATURES. This Agreement may be executed by electronic signature, which will be considered as an original signature for all purposes and have the same force and effect as an original signature. For these purposes, "electronic signature" means electronically scanned and transmitted versions (e.g. via email or other electronic transmission) of an original signature, or signatures electronically inserted via software such as Adobe Sign. 14. COUNTERPARTS. This Agreement may be executed in multiple counterparts, each of which shall be considered an original, but all of which shall constitute one instrument. DISCUSSION: The purpose of this Mayor and Council Communication (M&C) is to take actions associated with the proposed establishment of Public Improvement District No. 23 — Panther Island PID (Panther Island PID). City staff has received a petition requesting establishment of the Panther Island PID, which is attached to this M&C. The petition has been examined, verified, and found by City staff to meet the requirements of Section 372 of the Texas Local Government Code (Code), to substantially comply with the City's policy for Operating Public Improvement Districts (Policy), and to be sufficient for consideration by the City Council. Specifically, the petition complies with Section 372.005 of the Code because it has been signed by record owners of taxable real property liable for assessment under this proposal constituting: (a) 70.05% of the appraised value of taxable real property liable for assessment, as determined by the current roll of the Tarrant Appraisal District, and (b) 57.75% of the area of all taxable real property that is liable for assessment. The petition, which contains the signatures necessary to establish the Panther Island PID, is attached hereto and on file with the City Secretary. Proposed Boundaries: The Panther Island PID comprises approximately 407 acres (including tax exempt areas) of property shown on the map that is attached as Exhibit "E" and more particularly described by the legal descriptions on the attached Exhibit "F". A map and specific description of the boundaries are set forth in more detail in the attached resolution. All property within the Panther Island PID will be assessed annually for the Improvements and Services to be performed within the Panther Island PID according to the appraised values of the properties, as determined by the tax roll of the Tarrant Appraisal District. The assessment of each property within the Panther Island PID may be adjusted following the review of the annual service plan and budget. The Panther Island PID's assessment will be in accordance with the Act and O-PID Policy and is not to exceed $0.165 per each $100.00 of appraised valuation. Nature of the Improvements and/or Services: The general nature of the proposed improvements and/or services to be provided within the Panther Island PID include the following: 1. Enhancements to improve District operations and maintenance for green spaces, public areas, and the canal public realm; ensure clean and safe functions across the District; and address potential ongoing or capital maintenance needs related to the District's infrastructure and water recreation. 2. Advisability of the Improvements and Services: It is advisable that the City exercise the powers granted by the Code in connection with the establishment of the Panther Island PID, including the undertaking of the improvements and services set forth above and in the petition because they will promote the interests of the City by conferring special benefits on the property within the Panther Island PID related to public safety, economic vitality, community enhancements, community engagement, and certain improvements related thereto, all of which are anticipated to contribute to, and create and maintain a sense of, individual and community pride within the Panther Island PID. Estimated Costs: The estimated costs of the proposed improvements and services to be provided in the Panther Island PID for the first five-year service and assessment plan Fiscal Year 2027-2031, is $2,246,000.00 as shown on the attached petition. The initial five-year service and assessment plan, budget, and initial assessment Fiscal Year 2027 will be considered by Council at a separate meeting in August or September 2026. The actual cost of improvements and services will be determined in accordance with the approved budget and service and assessment plan to be adopted by the City Council and will be paid from Panther Island PID assessments. The proposed five-year budget and service and assessment plan is attached. Method of Assessment: The costs of the proposed improvements and services to be provided will be assessed against property in the Panther Island PID based on special benefits accruing to such property because of the improvements and services. All property within the Panther Island PID will be assessed annually for the Improvements and Services to be performed within the Panther Island O-PID according to the appraised values of the properties, as determined by the then -current tax roll of the Tarrant Appraisal District. The assessment of each property within the Panther Island PID may be adjusted following the review of the annual service plan and budget. The Panther Island PID's assessment will be in accordance with the Act and O-PID Policy and is not to exceed $0.165 per each $100.00 of appraised valuation. The petition includes a tiered maximum assessment rate structure tied to key milestones in the Tarrant Regional Water District (TRWD) Canal C, Phase 1 project and private development activity. These conditions do not alter the City's annual levy process and will be reflected in the Service and Assessment Plan each year. • Pre -Canal C, Phase 1 period: From the date of Panther Island PID establishment until the date that the TRWD authorizes a construction contract for Canal C, Phase 1, the assessment rate shall not exceed $0.02 per $100.00 valuation. • Post -Canal Contract, pre -development period: From the date TRWD authorizes the Canal C, Phase 1 construction contract until such time as $50,000,000.00 in New Private Improvements have been constructed within the Panther Island PID (based on building permit valuations or development agreement values), the assessment rate shall not exceed $0.05 per $100.00 valuation. • Special timing clarification: If TRWD authorizes the Canal C, Phase 1 contract prior to Panther Island PID establishment, the initial maximum rate shall be $0.05 per $100.00 valuation, and the $0.02 tier will not apply. • Post -development period: From the date $50,000,000.00 in New Private Improvements has been achieved through the end of the Panther Island PID term, the assessment rate may be levied up to the maximum $0.165 per $100.00 valuation, subject to annual Council approval of the Service and Assessment Plan. Apportionment of Costs: As outlined in the petition, TRWD is proposing to participate in PID 23 by (i) paying assessments on TRWD-owned property within the district and (ii) contributing an annual amount equal to the maintenance costs that TRWD would otherwise incur for assets TRWD would typically maintain. The City intends to participate in the assessments for Public Improvement District No. 23 — Panther Island. City -owned property located within the boundaries of the Panther Island O-PID, will be assessed in accordance with Article VI of the petition and as authorized by applicable law. The City will be obligated to pay any assessments invoiced to City -owned property, subject to City Council authorization. Additionally, consistent with City Council authorization and applicable law, the City will contribute to the Panther Island O-PID each year an amount equal to the costs the City would have otherwise paid or incurred for the maintenance of City -owned property for which the Panther Island PID provides maintenance. Any further participation by the City in the costs of the Panther Island O-PID beyond these contributions will be at the discretion of the City Council. Application Fee: In accordance with the City's Policy for Operating Public Improvement Districts, a $5,000.00 application fee is typically required at the time a petition for PID creation is submitted. For Public Improvement District No. 23 — Panther Island, staff recommends waiving the application fee due to the unique nature of the project, the public partner structure with the TRWD, and the collaborative public investment objectives associated with the Panther Island program.
