FIRST AMENDMENT AND FIRST RENEWAL TO
FORT WORTH CITY SECRETARY CONTRACT NO. 63099
This First Amendment and First Renewal to Fort Worth City Secretary Contract No. 63099
("Agreement") is entered into by and between 18 SYSTEMS CONSULTING, LLC ("Vendor"),
a Domestic Limited Liability Company (LLC), and CITY OF FORT WORTH ("City"), a Texas
home-rule municipal corporation acting by and through its duly authorized Assistant City
Manager, each individually referred as a"Party" and collectively as the "Parties."
WHEREAS, the Parties entered into an Agreement identified as Fort Worth City Secretary
Contract No. 63099 ("Agreement");
WHEREAS, the Parties wish to amend the Agreement by replacing Exhibit A, Scope of
Services with the attached Exhibit A to reflect the 2026 training; and
WHEREAS, the Parties wish to amend the Agreement by replacing Exhibit B, Price
Schedule with the attached EXhibit B to reflect updated pricing; and
WHEREAS, the Parties wish to amend the Agreement to update Section 2, the Term
section of the agreement, by adding four (4) one-year renewal options beginning April 14, 2026;
and
WHEREAS, the Parties wish to amend the Agreement to increase the annual authorization
amount by $19,200.00 for a new total compensation of $25,000.00; and
WHEREAS it is the collective desire of the Parties to renew the Agreement for a one-
year term (the "First Renewal Term");
NOW, THEREFORE, Vendor and City do hereby agree to the following:
I.
AMENDMENT TO AGREEMENT
The Agreement is hereby amended to be and read as follows:

A. E�ibit A in the Agreement is deleted and replaced with the attached E�ibit A.
B. Exhibit B in the Agreement is deleted and replaced with the attached Exhibit B.
C. Section 2 of the Agreement, the Term section of the Agreement, is amended as follows:
2. Term. The Agreement shall begin on the date signed by the Assistant City
Manager (`Bffective Date") and will expire one (1) year from that date ("Expiration Date")
unless terminated earlier in accordance with this Agreement. City will have the option, in its
sole discretion, to renew this Agreement under the same terms and conditions, for up to (4)

four one-year renewal option(s) (each a"Renewal Term")
D. Section 3 of the Agreement, the Compensation section of the Agreement, is amended
as follows:
3. Comnensation. The city will pay the Vendor in accordance with the provisions
of this Agreement and Exhibit "B," Price Schedule, which is attached hereto and
incorporated herein for all purposes. Total compensation under this Agreement shall not
exceed twenty-five thousand dollars and no cents ($25,000.00). The Vendor shall not
perform any additional services or bill for eXpenses incurred by the City that are not
specified in this Agreement, unless the City requests and approves in writing the additional
costs for such services. The City shall not be liable for any additional eXpenses of the
Vendor not specified by this Agreement unless the City first approves such expenses in
writing.
II.
RENEWAL OF AGREEMENT
The Agreement is hereby renewed for a First Renewal Term commencing on April 14,
2026, and ending on April 13, 2027, unless terminated earlier in accordance with the Agreement.
III.
ALL OTHER TERMS SHALL REMAIN THE SAME
All other provisions of Agreement, as previously amended, which are not expressly
amended herein shall remain in full force and effect.
IV.
ELECTRONIC SIGNATURE
This First Amendment and First Renewal may be executed in multiple counterparts,
each of which shall be an original and all of which shall constitute one and the same
instrument. A facsimile copy or computer image, such as a PDF or tiff image, ar a signature,
shall be treated as and shall have the same effect as anoriginal.
