Home My WebLink About056123-A3 - General - Contract - Leeds Precision Instruments, Inc.CSC No. 56123-A3 AMENDMENT NO. 3 TO CITY SECRETARY CONTRACT NO. 56123 SOLE SOURCE PURCHASE AGREEMENT This First Amendment to Fort Worth City Secretary Contract No. 56123 is made between the CITY OF FORT WORTH ("City"), a Texas home-rule municipal corporation acting by and through its duly authorized Assistant City Manager, and Leeds Precision Instruments, Inc. ("Vendor"), a Foreign, For-Profit Corporation acting by and through its duly authorized representative. City and Vendor are individually referred to as a"Party" and collectively as the "Parties." WHEREAS, the parties have previously entered into City of Fort Worth City Secretary Contract No. 56123 ("Contract"), which was executed on August 4, 2021, to provide Leeds Preventative Maintenance, calibrations and recertifications on Leeds LCF Comparison Microscopes and Stereo Microscopes. To complete the calibrations and recertifications a flat rate travel fee is allowed; WHEREAS, the parties renewed the Contract for the 4th renewal period that is set to eXpire on July 31, 2026; and WHEREAS, the parties amended the agreement on 12/28/2023, to amend and updated Exhibit B. WHEREAS, the Parties wish to amend the Agreement by replacing current Exhibit B approved by Amendment CSC 56123A2 with a new Exhibit B(quote 24328); and NOW, THEREFORE, City and Vendor do hereby agree to the following: I. AMENDMENT TO AGREEMENT The following terms are hereby amended to replace any conflicting terms in the Agreement or will be added to the terms and shall be binding and enforceable as if they were originally included therein: A. Incorporation of Exhibit B. The Agreement is hereby amended by adding a new exhibit, attached hereto as Exhibit B(" Seller's Quote"), which is incorporated by reference into the Agreement as if fully set forth therein. In the event of any conflict between terms and conditions in Exhibit B and the terms and conditions of the Agreement, the terms and conditions of the Agreement control.
