THE PARTIES HERETO AGREE AS FOLLOWS: 1. GRANT OF EASEMENT. For valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Grantor hereby grants to Operator, its successors and assigns, an non-exclusive easement to the Property (as defined in Section 2) or portion thereof as may be described in Section 2 (the "Easement"), for the underground installation, maintenance, operation, improvement, removal and repair of Operator's communications system consisting of lines, cables and related equipment(collectively, the "Facilities"). In no circumstances can any of the Facilities exist above the surface of the Easement. Grantor hereby agrees that the Facilities shall remain the property of Operator, and are removable at Operator's option. The Easement shall include the right of ingress and egress to the Property for the purpose of installation, maintenance, operation, improvement, removal and repair of the Facilities during normal working hours or any other time, day or night, in the event of an emergency situation which, in Operator's reasonable determination, affects the normal operation of the Facilities. Grantor warrants that it has title to the Property and that Operator shall have peaceable enjoyment of such Easement. 2. PROPERTY. Grantor's property is situated in the City of Fort Worth, County of Tarrant, State of Texas (the "Community"), a description of which is set forth in Exhibit A (the "Property"). A description of the easement area within the Property, for which the Easement is granted, is also set forth on Exhibit A and a map depicting the Easement Area is set forth on Exhibit B, both of which are attached hereto and by reference made a part hereof. 3. REPAIR. Operator shall repair to the reasonable satisfaction of Grantor any structure, fence, paving, landscaping or other part of the Property which is materially altered or damaged during the installation, maintenance, repair or removal of the Facilities in the Easement. 4. ASSIGNMENT. Operator may assign this Easement Agreement to (a) any parent, affiliate, or subsidiary of Operator, (b) any partnership in which Operator has a controlling interest, or (c) any entity which succeeds to all or substantially all of Operator's assets or ownership interests, or the cable system operated by Operator (or its affiliate or subsidiary) which serves the municipality in which the Property is located, whether by merger, sale or otherwise, provided that such successor also succeeds to the cable television franchise agreement held by Operator (or its affiliate or subsidiary) for the municipality in which the Property is located. No consent to such assignment is required from Grantor. 5. TERM. This Easement Agreement shall remain in full force and effect for so long as Operator (or its successors -in -interest) holds a cable communications franchise or other right to provide 11 P a g e OFFICIAL RECORD CITY SECRETARY FT. In the event of a dispute as to the termination date of a franchise, this Easement Agreement shall remain in force until such dispute is finally resolved. The grant of this Easement is not conditioned upon the provision of any service to the Property. If following Operator's installation of Facilities in the Easement, Operator subsequently removes all of its Facilities from the Easement and thereafter makes no use of the Easement for a period of six (6) months, it shall be deemed that the Easement has been abandoned and the Easement Agreement will terminate. This Easement Agreement may be terminated by Operator upon the giving of sixty (60) days prior written notice to Grantor and after a reasonable opportunity is provided to remove the Facilities from the Property. Notwithstanding anything herein to the contrary, upon termination or release of this Easement, Operator may, in its sole discretion, abandon any buried or underground Facilities. Upon abandonment of buried or underground Facilities, such Facilities shall be deemed the property of Grantor with lien free title passing immediately, and at no cost, to Grantor. Upon termination of this Easement Agreement, Operator shall record such documents as are necessary to terminate the Easement. 6. NON-INTERFERENCE. Grantor, for itself, its heirs, successors and assigns, covenants that the Property shall not be used in any manner which might interfere with or damage the Facilities, or which might interfere with the maintenance, operation or removal of the Facilities. As a matter of clarity, Grantor is not prohibited from utilizing the surface of the property in any form. Operator also agrees that paving of a sidewalk, street, or parking lot will not be considered an interference under this Easement Agreement. 7. BINDING. The provisions and covenants contained in this Easement Agreement shall run with the land and shall bind and inure to the benefit of the respective successors -in -interest of the parties hereto. 8. RECORDATION. Upon completion of the installation of the Facilities on the Property, Operator may record this Easement Agreement in the real property records of the county or other local government where the Property is located. 9. NOTICE. All notices to be given by one party to this Easement Agreement to the other party hereto shall be in writing, by certified mail to the below addresses. Such notice shall be deemed effectively given in all respects when actually received (or if delivery is rejected) by certified mail at such address. Each party may change its respective address(es) for legal notice by providing notice to the other party in accordance with the foregoing. FURTHER DOCUMENTS. Each party hereto shall execute any and all further documents which the other party reasonably requests to assure that Operator has the rights granted in this Easement Agreement. 11. ENTIRE AGREEMENT: AMENDMENTS. This Easement Agreement constitutes the entire agreement between the parties with respect to, and supersedes all prior agreements, promises and understandings, whether oral or written, with respect to, the subject matter contained herein. This Easement Agreement shall not be modified, amended, supplemented or revised, except by a written document signed by both parties. 12. SEVERABILITY. If any term or provision of this Easement Agreement is determined to be invalid, illegal or unenforceable in whole or in part, such invalidity, illegality or unenforceability shall not affect any other provision of this Easement Agreement, and this Easement Agreement shall be construed as if such invalid, illegal or unenforceable term or provision had not been contained herein. 13. NO WAIVER. Neither the failure of either party to exercise any power given such party hereunder or to insist upon strict compliance by the other party with its obligations hereunder, nor any custom or practice of the parties at variance with the terms hereof shall constitute a waiver of either party's right to demand exact compliance with the terms hereof. To be effective, any waiver under this Easement Agreement must be in writing signed by the party granting such waiver. 14. LIMITATION OF LIABILITY. IN NO EVENT SHALL GRANTOR OR OPERATOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, RELIANCE OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY THEREOF. 15. GOVERNING LAW AND JURY TRIAL WAIVER. This Easement Agreement shall be construed to be in accordance with the laws of the state where the Property is located. 16. COUNTERPARTS. This Easement Agreement may be executed in two or more counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. DISCUSSION: The purpose of this Mayor and Council Communication (M&C) is to authorize the use of parkland within Forest Park for a utility easement as part of a City drainage improvement project. The City of Fort Worth Park & Recreation Department (PARD) is requesting the use of a portion of Forest Park in order to relocate existing Charter Communications, Inc. lines. On November 15, 2016, City Council approved Mayor and Council Communication (M&C C-27993) to authorize the award and execution of an Engineering Agreement with Dunaway Associates, L.P. (Dunaway), to develop construction documents necessary for drainage improvements in and around the southern portion of Zoo Creek within Forest Park at approximately Park Hill Drive. Drainage improvements will create a detention area within Forest Park that will provide immediate flood mitigation benefits in the zoo and facilitate future upstream storm drainage improvements. On October 16, 2018, City Council approved M&C L-16157 to authorize the proposed use of parkland at Forest Park for the installation of public water main, water service line, and the granting of an electrical service line easement for the drainage improvement project. Upon Oncor's inspection of the poles, it was identified that Charter Communications, Inc. (Charter) installed communication service lines on the utility poles designated for relocation. Oncor will not permit Charter's communication lines within Oncor's electrical easement approved on October 16, 2018. Therefore, Charter is seeking a separate utility easement for their communication lines within Forest Park. The proposed utility easement for Charter totals 4,438 square feet or 0.102 acres. Additionally, installation of the utility line will require an adjacent temporary construction workspace that is approximately 675 square feet or 0.015 acres. The park will remain open during construction, and will be restored to previous condition or better upon completion of the work. The City Forester has determined that there are no tree impacts associated with the proposed new easement. In accordance with the Texas Parks and Wildlife Code, Chapter 26, the City of Fort Worth seeks to use a portion of Forest Park for the purpose of granting a utility easement to Charter as part of a City drainage improvement project. On April 24, 2024, the Park & Recreation Advisory Board endorsed staffs recommendation to the City Council to authorize the use of a portion of Forest Park for a utility easement as part of a City drainage improvement project. In accordance with state law, the proposed conversion of parkland was advertised in the Fort Worth Star -Telegram on June 4, June 11, and June 18, 2024. An email announcing the proposed change of use was sent to registered Neighborhood Associations within 1.5 miles of the park and posted on the City website. Signage was posted at the park noting the proposed parkland use and providing instructions for directing comments to the Park & Recreation Department. The signage will remain posted through the public hearing process. Forest Park is located in COUNCIL DISTRICTS 3 and 9, south of Rosedale Street, west of Forest Park Boulevard, north of Berry Street, and east of Rogers Road. A Form 1295 is not required because: This M&C does not request approval of a contract with a business entity.
