HomeMy WebLinkAbout064973-A1 - General - Contract - Multipurpose Arena Fort Worth dba Trail Drive Management Corp.FIRST AMENDMENT TO CITY OF FORT WORTH CONTRACT NO. 64973 This FIRST AMENDMENT is made and entered into by and between the CITY OF FORT WORTH, a home -rule municipal corporation of the State of Texas, acting by and through its duly authorized representative ("City"), and MULTIPURPOSE ARENA FORT WORTH DB/A TRAIL DRIVE MANAGEMENT CORP ("TDMC"). WHEREAS, City and TDMC entered into an agreement to provide food and beverage services at the Will Rogers Memorial Center ("WRMC") the same being City Secretary Contract Number 64973 ("Agreement"); WHEREAS, the initial term of the Agreement expires on September 30, 2026; and WHEREAS, the parties desire to amend the Agreement to add an automatic one-year renewal term to the Agreement; NOW, THEREFORE, City and TDMC agree to amend the Agreement as follows: I. AMENDMENT City and TDMC hereby agree to amend the Agreement as follows: Section 2.1, entitled "Term.", of the Agreement is hereby amended to read as follows: 2.1 Term. This Agreement will be effective on April 14, 2026 and will expire on September 30, 2026 unless earlier terminated in accordance with the terms and conditions of this Agreement ("Term"). After the expiration of the Term, as defined herein, the Agreement shall automatically renew for an additional one-year term beginning October 1, 2026 and expiring September 30, 2027, unless earlier terminated in accordance with the terms and conditions of this Agreement or by mutual agreement of the parties. Section 2.2, entitled "Termination.", of the Agreement is hereby amended to read as follows: 2.2 Termination. In the event that this Agreement is terminated prior to the end of the Term, or any renewal term, City will pay TDMC for services actually rendered up to the effective date of termination and TDMC will continue to provide City with services requested by City and in accordance with this Agreement up to the effective date of termination. Upon termination of this Agreement for any reason, TDMC will provide City with copies of all books and records relating to the Services under this Agreement. After the initial Term, the Agreement may be terminated by either Party for any reason, or no reason, with 30 days' written notice. Section 5.1, entitled "Prepaid Funding Amount.", of the Agreement is hereby amended to read as follows: OFFICIAL RECORD CITY SECRETARY First Amendment to CSC No. 64973 Page 1 of 3 FT. WORTH, TX 5.1 Prepaid Funding Amount. As compensation for the Services rendered under this Agreement, the City will pay TDMC a one-time lump -sum amount of $100,000.00 within ten (10) business days after the Effective Date of this Agreement by ACH wire or check (the "Prepaid Funding Amount"). The Prepaid Funding Amount shall constitute the City's entire and maximum financial obligation under the Term. Any renewal of the Agreement, as provided in section 2.1, will include an additional one-time lump -sum payment amount of $100,000.00, within 30 days of the effective date of the renewal term, and will constitute the City's entire and maximum financial obligation under the Agreement for that particular renewal term. In no event will the City contribute additional funding beyond the Prepaid Funding Amount for any single term of the Agreement. II. (1) All terms and conditions of the Agreement that are not expressly amended pursuant to this First Amendment shall remain in full force and effect. (2) All terms in this First Amendment that are capitalized but not defined shall have the meanings assigned to them in the Agreement.
