Home My WebLink About063572-A1 - General - Contract - Golden Engineering, Inc.CSC No. 63572-Al FIRST AMENDMENT TO FORT WORTH CITY SECRETARY CONTRACT NO. 63572 This First Amendment to Fort Worth City Secretary Contract No. 63572 ("First Amendment") is made by and between the City of Fort Worth ("Buyer"), a Texas home -rule municipal corporation acting by and through its duly authorized Assistant City Manager, and Golden Engineering, Inc. ("Seller"), an Indiana corporation acting by and through its duly authorized representative. City and Vendor are individually referred to as a "Party" and collectively referred to as the "Parties." WHEREAS, on July 1, 2025, the Parties entered into an Agreement identified as Fort Worth City Secretary Contract No. 63572 ("Agreement"); WHEREAS, the Agreement allows for up to four (4) one-year renewal options at the Buyer's sole discretion; WHEREAS, it is the collective desire of the Parties to amend the Agreement to increase the total annual compensation from $25,000.00 to a new total not -to -exceed amount of $50,000.00; and WHEREAS, the Parties further desire to amend the Agreement to incorporate the attached Exhibit F-1 and its terms into the Agreement. NOW, THEREFORE, Buyer and Seller do hereby agree to the following: I. AMENDMENTS TO AGREEMENT The following terms are hereby amended to replace the corresponding terms in the Agreement or shall be added to the terms and shall be binding and enforceable as if it was originally included therein, and the amended agreement shall be referred to as the Contract/Agreement in all future documents: Buyer shall pay Seller in accordance with the fee Schedule in Exhibit F and in accordance with the provisions of this Agreement. Total annual payment made under this Agreement by Buyer shall not exceed fifty thousand dollars and zero cents ($50,000). Seller shall not provide any additional items or services or bill for expenses incurred for Buyer not specified by this Agreement unless Buyer requests and approves in writing the additional costs for such services. Buyer shall not be liable for any additional expenses of Seller not specified by this Agreement unless Buyer first approves such expenses in writing. The Exhibit F-1, attached to this Agreement, is hereby added to the Agreement and incorporated herein as if originally attached thereto. OFFICIAL RECORD CITY SECRETARY FT. ALL OTHER TERMS SHALL REMAIN THE SAME All terms, provisions, conditions, covenants, and recitals of the Agreement that are not expressly amended herein shall remain in full force and effect. III. ELECTRONIC SIGNATURE This Amendment may be executed in multiple counterparts, each of which shall be an original and all of which shall constitute one and the same instrument. A facsimile copy or computer image, such as a PDF or tiff image, of a signature, shall be treated as and shall have the same effect as an original.
