AGREEMENT TO EXTEND CITY'S CONSENT TO
CREATION OF A MUNICIPAL UTILITY DISRICT
This Agreement to Extend City's Consent to Creation of a Municipal Utility
District ("Agreement") is entered into by and between the City of Fort Worth, a home -rule
municipal corporation of the State of Texas ("City") and Hines Acquisitions, LLC, a Delaware
limited liability company ("Hines").
WHEREAS, the City received a request from Hines for its consent to the creation of a
special district pursuant to Article XVI, Section 59 of the Texas Constitution encompassing
approximately 1476.889 acres ("District"); and
WHEREAS, on December 9, 2025, the City Council of the City adopted Resolution
No. 6221-12-2025 consenting to the creation of the District ("Consent Resolution"); and
WHEREAS, the Consent Resolution provides that the City's consent to creation of the
District is revoked without further action by the City if a Development Agreement is not
approved and executed by the City on or before one hundred twenty days after the date of
adoption of the Consent Resolution, or as mutually agreed by the City and Hines; and
WHEREAS, the City and Hines are continuing to negotiate the Development
Agreement and desire to extend the date that the City's consent will expire;
NOW THEREFORE, City and Hines, acting herein by and through their duly
authorized representatives, enter into the following agreement:
1.
The City's consent to creation of the District is revoked without further action by the
City if a Development Agreement is not approved and executed by the City on or before July
31, 2026.

IN TESTIMONY WHEREOF, the City and Hines have executed this Agreement by their
duly authorized representatives to be effective on the date executed by the City and Hines.
