Home My WebLink About059245-A1R3 - General - Contract - International Business Machines Corporation (IBM)CSC No. 59245-Al R3 FIRST AMENDMENT AND THIRD RENEWAL OF FORT WORTH CITY SECRETARY CONTRACT NO. 59245 This First Amendment and Third Renewal of Fort Worth City Secretary Contract No. 59245 ("First Amendment and Third Renewal") is made between the City of Fort Worth ("City"), a home rule municipal corporation, and International Business Machines Corporation (IBM) ("Vendor"). WHEREAS, City and Vendor entered into a certain agreement identified as Fort Worth City Secretary Contract (CSC) No. 59245 (the "Agreement") beginning April 1, 2023 for the Vendor to provide the Blueworks Live software subscription; WHEREAS, on May 7, 2024, Vendor and the Texas Department of Information Resources ("DIR") entered into that certain agreement known as DIR Contract No. DIR-CPO-5527, which contains an initial term for up to two years, beginning on May 7, 2024 and ending on May 7, 2026, with one optional two-year renewal term, and one optional one-year renewal terms; and WHEREAS, City and Vendor desire to amend the Agreement to incorporate the terms of DIR-CPO-5227 into the Agreement; and WHEREAS, it is the collective desire of both City and Vendor to amend the Agreement to add IBM Quotation #21651409 for the Blueworks Live subscription licensing under DIR-CPO- 5227 for the third annual renewal term. NOW THEREFORE, the Parties, acting herein by and through their duly authorized representatives, agree to the following terms, which amend the Agreement as follows: I. AMENDMENT A. The Agreement is hereby amended to incorporate by reference DIR contract DIR-CPO- 5227 and its exhibits and attachments to this First Amendment and Third Renewal. B. Section 1 of the "Addendum to IBM Terms for Cloud Offerings & IBM Terms for Blueworks Live Between the City of Fort Worth and International Business Machines Corporation" is hereby repealed and restated to be as follows: 1. Term and Spending Authority. The Agreement shall begin on April 1, 2023 ("Effective Date") and shall expire no later than March 1, 2024 ("Expiration Date"), unless terminated earlier in accordance with the provisions of this OFFICIAL RECORD Agreement or otherwise extended by the parties. This Agreement shall CITY SECRETARY automatically renew annually at the City's option, each a "Renewal Term." Each renewal term shall begin on March 1 of the renewal year. IBM shall provide the FT. WORTH, TX Blueworks Live software subscription quoted at a unit price not to exceed the First Amendment and Third Renewal Pagel of 3 to City Secretary Contract 59245 Between the City of Fort Worth and IBM Business Machines Corporation licensing costs as defined by any applicable DIR contract. The contract spending authorization amount shall not exceed $15,000.00. C. The Agreement is hereby amended to include IBM Quotation #21651409, attached as Exhibit "A" to this First Amendment and Third Renewal. D. This Agreement is hereby amended to authorize the City, in its sole discretion, to issue payment to Vendor for up to thirty (30) days before the start date of any renewal term. II. RENEWAL Pursuant to the terms of the Agreement, the Agreement will automatically renew for another year on March 1, 2026. This is the first of two annual renewals during the optional two- year renewal period authorized under DIR-CPO-5527. III. ALL OTHER TERMS SHALL REMAIN THE SAME All other provisions of the Agreement which are not expressly amended herein shall remain in full force and effect. IV. ELECTRONIC SIGNATURE This Amendment and Renewal may be executed in multiple counterparts, each of which shall be an original and all of which shall constitute one and the same instrument. A facsimile copy or computer image, such as a PDF or tiff image, or a signature, shall be treated as and shall have the same effect as an original.
