HomeMy WebLinkAbout059615-A2R3 - General - Contract - Texas Towing Wrecker Service, Inc.CSC No. 59615-A2R3 AMENDMENT NO.2 AND RENEWAL NO.3 TO CITY OF FORT WORTH CONTRACT 59615 This Amendment and Renewal is entered into by and between the City of Fort Worth ("City"), and Texas Towing Wrecker Service, Inc. ("Vendor"). City and Vendor may be referred to individually as a "Party" and collectively as the "Parties". WHEREAS on June 16, 2023, the City entered into an agreement with Vendor to provide towing services for the City's vehicles and equipment in the City's fleet, on an as -needed basis as described in City Secretary Contract No. 59615 ("Agreement"); WHEREAS on June 16, 2024, the City and Vendor renewed the agreement through June 15, 2025 (City Secretary Contract No. 59615-R1); WHEREAS on May 8, 2025, the City and Vendor amended the compensation provision of the Agreement and renewed the agreement through June 15, 2026 (City Secretary Contract No. 59615-A1R2); WHEREAS it is the collective desire of both the City and Vendor to amend Exhibit A — Scope of Services, Section 2.0 Vendor Specifications, and to revise Exhibit B — Price Schedule, with the understanding that such additions were contemplated in the original solicitation and do not increase the total compensation under the Agreement; WHEREAS it is the desire of the City, in its sole discretion, to renew this Agreement under the same terms and conditions for a third renewal term through June 15, 2027. NOW THEREFORE, the City and Vendor, acting herein through their duly authorized representatives, agree to the following terms: 1. RENEWAL OF AGREEMENT The Agreement, as amended, is hereby renewed for a third one-year renewal term (the "Third Renewal Term") commencing on June 16, 2026, and ending on June 15, 2027, unless terminated earlier in accordance with the Agreement. 2. AMENDMENTS A. The Agreement is hereby amended by adding the following to Exhibit A — Scope of Services, Section 2.1 Definitions. 2.1.4 Type 1 and Type 3 ambulances, hereinafter called "Type 1 & 3 ambulance(s)" are defined as medium duty towing vehicles consisting of ambulances with either a truck chassis with a separate "box" patient module (Type 1) or a cutaway van chassis featuring a pass -through from the cab to the passenger compartment (Type 3). WORTH, TX 2.1.5 Type 2 ambulances, hereinafter called "Type 2 ambulance(s)" are defined as light duty towing vehicles consisting of an ambulance with a commercial van chassis and towed as a Class A vehicle under the definition of Section 2.1.1. The Agreement is hereby amended by adding the following to Exhibit A — Scope of Services, Section 2.4 Response Times: 2.4.1.2 Type 2 ambulance. Vendor will respond to site of disablement within a maximum of 30 minutes from time request and will deliver to delivery location within 30 minutes of transit time, as required for Class A vehicles. 2.4.2.2 Type 1 & 3 ambulance. Vendor will respond to site of disablement within a maximum of 45 minutes from time request and will deliver to delivery location within 45 minutes of transit time, as required for Class B vehicles. C. The Agreement is hereby amended by deleting Exhibit B — Price Schedule of the Agreement and replaced with the attached Exhibit B. 3. ALL OTHER TERMS SHALL REMAIN THE SAME All other provisions of the Agreement which are not expressly amended herein shall remain in full force and effect. DISCUSSION: The Property Management Department approached the Purchasing Division for assistance with securing an agreement for towing services on an as -needed basis. The proposed agreement is for City equipment and vehicle towing services. Purchasing issued an Invitation to Bid (ITB) that consisted of detailed specifications regarding the class of equipment and vehicles that may need to be towed and towing equipment required to tow City equipment and vehicles. The ITB was advertised in the Fort Worth Star -Telegram on April 19, 2023, April 26, 2023, and May 3, 2023. The City received one response. An evaluation panel consisting of representatives from the Property Management and Park and Recreation Departments reviewed and scored the submittal using Best Value criteria. The individual scores were averaged for each of the criteria and the final scores are listed in the table below. Therefore, the panel recommends that Council authorize an agreement with Texas Towing Wrecker Service, Inc. No guarantee was made that a specific amount of services would be purchased. Staff certifies that the recommended vendor's bid met specifications. Approval of this M&C authorizes the City to spend up to $765,663.00 per year with Texas Towing Wrecker Service, Inc. for City equipment and vehicle towing services. FUNDING: The maximum amount allowed under this agreement for the initial term will be $765,663.00, however, the actual usage in any term can be up to the authorized amount and will be apps.cfwnet.org/council_packet/mc_review.asp? Funding is budgeted in the Fleet Service Outside Repair & Maintenance account of the Property Management Department's Fleet & Equipment Service Fund, as appropriated. DVIN-BE: A waiver of the goal for Business Equity subcontracting requirement is approved by the DVIN-BE, in accordance with the Business Equity Ordinance, because the purchase of goods or services is from sources where subcontracting or supplier opportunities are negligible. AGREEMENT TERMS: Upon City Council approval, this agreement shall begin upon execution and expire one year from that date. RENEWAL TERMS: This agreement may be renewed for four additional, one-year terms. This action does not require specific City Council approval provided that the City Council has appropriated sufficient funds to satisfy the City's obligations during the renewal term. ADMINISTRATIVE CHANGE ORDER: An administrative change order or increase may be made by the City Manager up to the amount allowed by relevant law and the Fort Worth City Code and does not require specific City Council approval as long as sufficient funds have been appropriated. FISCAL INFORMATION/CERTIFICATION: The Director of Finance certifies that upon approval of the recommendation, funds are available in the current operating budget, as previously appropriated, in the Fleet & Equipment Sery Fund.
