HomeMy WebLinkAbout049654-A1 - General - Contract - City of CrowleyCSC No. 49654-Al FHRST AMENDMENT TO FORT WORTH CITY SECRETARY CONTRACT NO. 49654 AN INTERLOCAL AGREEMENT BETWEEN CITY OF FORT WORTH AND CITY OF CROWLEY FOR PARTICIPATION I N THE CITY OF FORT WORTH'S ENVIRONMENTAL COLLECTION CENTER HOUSEHOLD HAZARDOUS WASTE PROGRAM This First Amendment to Fort Worth City Secretary Contract No. 49654 ("First Amendment") is made between the City of Fort Worth ("Fort Worth"), a municipal corporation, and City of Crowley, ("Participating City") located in Tarrant County, Texas, acting herein by and through Lori Watson, its duly authorized City Manager. WHEREAS, on September 12, 2013, Fort Worth and Participating City entered into an Interlocal Agreement identified as Fort Worth City Secretary Contract No. 44802 (the "2013 Agreement") for participation in the Fort Worth Environmental Collection Center's (`BCC") Household Hazardous Waste Program; and WHEREAS, on July 24, 2014, Fort Worth and Participating City entered into the First Amendment to the 2013 Agreement, which extended the term of the 2013 Agreement for another year, with a new expiration date of September 30, 2015; and WHEREAS, on September 10, 2015, Fort Worth and Participating City entered into the Second Amendment to the 2013 Agreement, which extended the term of the 2013 Agreement for a term beginning on October 1, 2015 and which ended on September 30, 2016; and WHEREAS, on September 8, 2016, Fort Worth and Participating City entered into the Third Amendment to the 2013 Agreement for one one-year term, wluch expired on September 30, 2017, and one additional one-year term extension, which expired on September 30, 2018; and WHEREAS, on June 13, 2017, Fort Worth and Participating City entered into that certain agreement known as Fort Worth City Secretary Contract Number 49654 (the "FY 2018 Agreement"), beginning on October 1, 2017, which increased the per household per visit compensation from $48.00 to $50.00, and changed the term to be infinitely self -renewing; and WHEREAS, on August 22, 2023, Fort Worth and Participating City entered into the First Amendment to the FY 2018 Agreement (see "Exhibit B") to increase the per household per visit compensation from $50.00 to $95.00 and to allow the cost per household to be adjusted if Fort Worth and Participating City agree; and WHEREAS, due to a scrivener's error, the City mistakenly named the First Amendment to the FY 2018 Agreement as Fort Worth City Secretary Contract Number 49802-A1 instead of Fort Worth City Secretary Contract Number 49652-A 1; and WHEREAS, Fort Worth and Participating City desire to repeal and restate the First Amendment to the FY 2018 Agreement to correct the scrivener's error. WORTH, TX NOW THEREFORE, known by all these present, Fort Worth and Participating City, acting herein by the through their duly authorized representatives, agree to the following terms, which amend the Agreement as follows. ulA �11 ul� The parties agree to repeal and replace the First Amendment to the FY 2018 Agreement, as identified in Exhibit "B," to be and read as set forth in Exhibit "A" to this First Amendment. II. ALL OTHER TERMS SHALL REMAIN THE SAME All other provisions of the Agreement which are not expressly amended herein shall remain in full force and effect. III. ELECTRONIC SIGNATURE This Amendment may be executed in multiple counterparts, each of which shall be an original and all of which shall constitute one and the same instrument. A facsimile copy or computer image, such as a PDF or tiff image, or a signature, shall be treated as and shall have the same effect as an original. NOW, THEREFORE, known by all these present, Fort Worth and Participating City, acting herein by and through their duly authorized representatives, agree to the following terms, which amend the Agreement as follows. I. AMENDMENT 1. Section 10 "Compensation," Paragraph A of the Agreement is hereby deleted in its entirety and restated as follows: Participating City agrees to pay Fort Worth the sum of $95.00 per household per visit to the ECC (or per participating household in a Mobile Collection Event) to dispose of household hazardous waste. If a Participating City resident presents waste that was collected from multiple households, Fort Worth reserves the right to charge the Participating City based on the total number of households from which the waste originated. Fort Worth may adjust the cost per household visit to the ECC (or per participating household in a Mobile Collection Event) by providing Participating City at least ninety (90) days written notice and by mutual consent.
