Home My WebLink About059932-CA1 - General - Contract - Cushman & Wakefield Regional, LLCCSC No. 59932-CAl CITY OF FORT WORTH ASSIGNMENT Cushman & Wakefield of Texas, Inc. and the City of Fort Worth are parties to that certain Non -Exclusive Real Property Appraisal Service Agreement dated on or about August 15, 2023, CSC 59932 (the "Contract"). For value received Cushman & Wakefield of Texas, Inc. ("Assignor"), hereby assigns to Cushman & Wakefield Regional, LLC ("Assignee"), all of its right, title and interest in and to the Contract, including any and all sums of money now due or to become due from the City of Fort Worth to Assignor the Contracts and Assignee agrees to assume and perform all duties and obligations required by Assignor under the terms of the Contract. This Assignment constitutes the entire agreement between Assignor and Assignee with respect to the subject matter hereof. No modification of any provision of this Assignment shall be effective unless in writing and signed by Assignor and Assignee. This Assignment shall inure to the benefit of and be binding upon Assignor and Assignee and their respective successors and assigns. This Assignment shall be governed by the terms of the original Contract and individual appraisal assignments between Assignor and various other entities and the City of Fort Worth and the laws of the State of Texas, without application of principles of conflicts of law. This Assignment may be executed in one or more counterparts each of which shall be deemed an original but all of which together shall constitute one and the same instrument. Assignor hereby assigns, transfers and conveys to Assignee all of Assignor's right, title and interest in, to and under the Agreement, and Assignee hereby accepts such assignment, and assumes and agrees to pay and perform all of the terms, covenants and obligations of the Assignor under the Agreement to the extent the same first arise from and after the Effective Date (and do not arise as a result of any act, error, omission, breach or default by Assignor or any of its affiliates occurring prior to the Effective Date) (collectively, the "Assignment"). Client hereby consents to the Assignment. 3. Continued Effectiveness of Agreement. The Agreement, as hereby assigned, remains in full force and effect. All covenants, obligations, conditions and terms of the Agreement not specifically altered by this Consent are hereby ratified and confirmed. From and after the date hereof, whenever the term "Agreement" is used in the Agreement or this Consent, it shall be deemed to mean the Agreement, as assigned by this Consent. 4. Miscellaneous.
