AGREEMENT AND AUTHORIZATION
By signing this Government Account Form and Letter of Agency ("LOA"), Customer (a) engages Granite Telecommunications, LLC and/or its affiliates
("Granite") to provide Services as set forth in Appendix A and Appendix A-1, attached hereto and incorporated herein, and such other Services as Customer
may order from time to time and (b) authorizes and appoints Granite to act as its agent solely for the purposes of handling all arrangements for establishing,
converting, ordering, changing and/or maintaining such Services, and to take such other actions as are reasonably necessary to provide such Services and as
Customer may request from time to time. Customer directs its current service provider(s), if any, to work with Granite to affect these changes.
Services under this LOA shall be Month to Month.
The Terms of Service set forth at www.granitenct.com/Legal (as such may be modified from time to time, the "Terms of Service"), hereby incorporated by
reference, sets forth the rights and responsibilities of Customer and Granite with regard to Services to be provided and other important topics. If Customer
does not agree to the Terms of Service, the authorized representative of Customer should not sign this LOA. The Customer Disclosures attached hereto are
an integral part of this LOA. This LOA is confidential and may not be disclosed to third parties.

istomer acknowledges and agrees that certain Internet Based Services (which for purposes of this Customer Disclosure, includes, but is not limited to, Hosted PBX, SIP
unking, SIP PRI, Hosted Voice, Virtual Auto Attendant and Virtual Voicemail Services), ordered through Granite may not operate in the same manner as traditional
reline phone service and that the following terms and conditions apply with respect to such Internet -Based Services: (a) such services are designed only for use with a
mpatible PBX or similar advanced telephone system; (b) such services only support Granite's local, intralata toll, interstate long distance and International voice services; (c)
;h services DO NOT support auto dialers, predictive dialers, telemarketing applications, and elevator lines (only POTS lines, or POTS replacement services with these

c functionalities, such as EPIK, should be used for these purposes); (d) a qualified vendor must install the equipment and service at Customer's sole expense and Granite

be ported, any numbers omitted from the list may result in those numbers not being ported at the time of circuit turn -up. Granite will attempt to retrieve CSRs from the

SUBJECT: (ALL) Authorize Second Amendment to City Secretary Contract No. 60405 with Granite
Telecommunications, LLC. to Increase the Contract Amount by $178,413.00 for
Additional Unified Communications as a Service Using OMNIA Partners Cooperative
Contract No. R200901, at Multiple City of Fort Worth Sites for a Revised Annual Amount
Not to Exceed $577,726.00 for the Information Technology Solutions Department
RECOMMENDATION:
It is recommended that the City Council authorize the Second Amendment to City Secretary Contract
No. 60405 for additional Unified Communications as a Service with Granite Telecommunications,
LLC., at multiple City of Fort Worth sites using OMNIA Partners Cooperative Contract No. R200901, to
increase the contract amount by $178,413.00 for a revised annual amount not to exceed $577,726.00
for the Information Technology Solutions Department.
DISCUSSION:
On October 31, 2023, Mayor and Council Communication (M&C) 23-0907 authorized a Cooperative
Purchase Agreement with Granite Government Solutions in an initial annual amount of $299,313.00
using OMNIA Partners contract R200901 for provision of Plain Old Telephone Services (POTS) lines
previously provided through AT&T. Granite Government Solutions also provides a monthly service for
40 locations in which their device provides the phone line connection for the fire alarm, intrusion
detection systems, and emergency elevator phones. Afterward, the City executed City Secretary
Contract (CSC) No. 60405 (Agreement) with Granite Government Solutions.
On September 18, 2024, the City executed First Amendment to CSC No. 60405 to apply an
administrative increase in an amount not to exceed $100,000.00 for a revised annual amount not to
exceed $399,313.00. Effective October 1, 2024, the City entered into the first renewal period of CSC
60405 through execution of CSC 60405-Rl which will expire September 30, 2025.
This M&C will authorize the City to continue purchasing Unified Communication services for Plain Old
Telephone Services (POTS) lines; expand the number of facilities subscribing to POTS service;
provide monthly service for various locations in which Granite Communications devices provides the
phone line connection for the fire alarm, intrusion detection systems, and emergency elevator phones;
and provide Session Initiation Protocol (SIP) trunks for connecting the City's telephone system to the
public phone system with an increase of spend authority by $178,413.00 for a revised annual amount
not to exceed $577,726.00
Funding is budgeted in the Data/Voice Network & Internet account within the Info Technology
Systems Fund for the ITS Department.
COOPERATIVE PURCHASE — State law provides that a local government purchasing an item under
a cooperative purchasing agreement satisfies State laws requiring that the local government seek
competitive bids for purchase of the item. Cooperative contracts have been competitively bid to
increase and simplify the purchasing power of local government entities across the State of Texas.
RENEWAL OPTIONS — Pursuant to Omnia Partners Contract No. R200901 (City Secretary Contract
No. 60405) provided three one-year renewal options. City Secretary Contract No. 60405-Rl

renewed this agreement, which will expire on September 30, 2025. This agreement has two (2)
renewal options remaining. This action does not require specific City Council approval provided that
the City Council has appropriated sufficient funds to satisfy the City's obligations during the renewal
terms.
SUCCESSOR CONTRACTS — In the event the OMNIA agreement is not renewed, staff would cease
purchasing at the end of the last purchase agreement coinciding with a valid cooperative agreement. If
the City Council were to not appropriate funds for a future year, staff would stop making purchases
when the last appropriation expires, regardless of whether the then -current purchase agreement has
expired.
The City will initially use the OMNIA contract to make purchases authorized by this M&C. The
Cooperative Contract will expire on September 30, 2025. If OMNIA contract R200901 is renewed ,
this M&C authorizes the City to purchase similar equipment and supplies under the renewed contract.
If R200901 is not renewed, but OMNIA executes a new cooperative contract with Granite
Telecommunications, LLC, and with substantially similar terms, this M&C authorizes the City to
purchase the services under the new cooperative contract. If this occurs, in no event will the City
continue to purchase services under the new agreement for more than three (3) years without seeking
Council approval.
ADMINISTRATIVE CHANGE ORDER — An administrative change order or increase may be made by
the City Manager up to the amount allowed by relevant law and the Fort Worth City Code and does
not require specific City Council approval as long as sufficient funds have been appropriated.
BUSINESS EQUITY — A Business Equity goal is not assigned when purchasing from an approved
purchasing cooperative or public entity.
FISCAL INFORMATION/CERTIFICATION:
The Director of Finance certifies that funds are available in the current operating budget, as
previously appropriated, in the Info Technology Systems Fund to support the approval of the above
recommendation and execution of the amendment. Prior to any expenditure being incurred, the
Information Technology Solutions Department has the responsibility to validate the availability of
funds.
