Page 3 of 3 0 ci FoPTWoPTH ADDENDUM #3 DTO THE SPECIFICATIONS FOR Building Access Control and CCTV System Request for Proposals (RFP) Date: January 19, 1999 RFP Number 98-0394 Due Date: January 28, 1999 DTHIS ADDENDUM IS AN INTEGRAL PART OF THE RFP AND MUST BE SIGNED AND RETURNED WITH THE PROPOSAL. [1 The purpose of this addendum is to incorporate the following changes to the RFP: A. SPECIFICATIONS 1. Contractor may use smaller CCTV monitors or modify cabinets to fit 14 -inch Umonitors. System shall show several points on one monitor. 2. The City desires 96 hour taping capacity. 11 3. There are now two card readers on northwest comer door of City Hall. The outside one is for entrance to building. The inside one is used for time clocking employees but also opens the outside door. The existing system must remain, but could be modified to take the inside reader off the mag locks. There arc also two readers on west door to Public Safety Building for same purpose. Answer applies to this point also. 4. Door open/closed status monitors for all controlled doors exist and shall remain operational with the new system. ci 5. The Pre -Council Chamber now has a reader on the door to the sub -hall. The main hall way into the Pre-Council/Council area also has one. We want the present configuration to remain. a6. The current access system does not de -energize mag locks when a fire alarm goes off. The City desires a system that will de -energize mag locks on the system when a fire alarm goes off. IJ 7. City will abate asbestos as required to install new system. a 8. Only wire running in a return air plenum needs to be fire -rated. City will replace any wire running exposed in plenuins to meet code requirements. The Garagc is tied in by telephone through modem to the central system. This arrangement is satisfactory but contactor may change to fiber optic, if desired. [] 10. I 0 Q 1.0 0 I 0 0 C Section I General Provisions Submission of Proposal 1.1 One (1) original and five (5) copies of all proposal documents shall be submitted in a sealed package or container. Project Name and Proposer's name and address should be marked on the outside of the envelope. To ensure acceptance of the proposal, the Request for Proposals (RFP) number and the published opening time and date should also be clearly shown on the lower left corner of the return envelope. Facsimile transmittals or offers communicated by telephone will not be accepted or considered. Proposals that are not submitted in a sealed package or container will not be considered. 1.2 Mailed proposals shall be sent to: Purchasing Division City of Fort Worth PO Box 17027 Fort Worth, Texas 76102 El1.3 Proposals may also be delivered in person to: City of Fort Worth LI Municipal Office Building/City Hall Purchasing Division (Southwest Corner of Lower- Level) 1000 Throckmorton Street Fort Worth, Texas 76102 a2.0 Delivery of Proposals 2.1 Proposals must be received in the Purchasing Division no later than the time Ejindicated on the Cover Sheet of this solicitation or subsequent addendum. The Proposer is responsible for the means of delivering the proposal documents to the location listed in 1.2 or 1.3 on time. Delays due to any instrumentality used to transmit the proposal including delay occasioned by the Proposer's or the City of Fort Worth's internal mailing system will be the responsibility of the Proposer. The proposal must be completed and delivered in sufficient time to avoid u disqualification for lateness due to difficulties in delivery. The time stamp clock in the Purchasing Division is the official clock for determining whether proposals are submitted timely. Late proposals will not be accepted under any circum- stances. RFP 98-0394, Building Access Control and CCTV System, Page 3 of 29 El Public Opening 3.1 Proposals will be opened and publicly acknowledged at the following location, date and time: Location: City of Fort Worth Municipal Office Building/City Hall City Council Chambers, 2nd Floor 1000 Throckmorton Street Fort Worth, Texas 76102 Date: Wednesday, December 30, 1998 Time: 2:00 P.M. Proposers, their representatives and interested persons may be present. Only the proposer's name shall be acknowledged so as to avoid disclosure of the contents to competing offerors and keep offers confidential. Submission of information relative to this RFP will not be released by the City during the Proposal evaluation process or prior to contract award. After the contract is awarded, all proposals will be open for public inspection, to the extent permitted by law. Proprietary Information 4.1 If a Proposer does not desire . proprietary information in the proposal to be disclosed, they are required to identify all proprietary information in the proposal. This identification will be done by individually marking each page with the words "Proprietary Information" on which such proprietary information is found. If the Proposer fails to identify proprietary information, they agree that by submission of their proposal that those sections shall be deemed non-proprietary and made available upon public request. 4.2 Proposers are advised that the confidentiality of their proposals will be protected by the City to the extent permitted by law. Proposers are advised to consider the implications of the Texas Open Records Act, particularly after the proposal process has ceased and the contract has been awarded. While there is provision in the Texas Open Records Act to protect proprietary information, particularly under Section 3(9) and Section 3(10) of this act where the Proposer can meet certain evidentiary standards, please be advised that a determination on whether those standards have been met will not be decided by the Purchasing Division of the RFP 98-0394, Building Access Control and CCTV System, Page 4 of 29 0 City of Fort Worth, but by the Office of the Attorney General of the State of Texas. Completion of Proposal Statements made by a Proposer shall be without ambiguity, and with adequate elaboration, where necessary, for clear understanding. Explanations Any explanation, clarification, or interpretation desired by a Proposer regarding any part of this Request for Proposals (RFP) must be requested in writing from the Purchasing Division at least seven (7) days prior to published submission deadline, as referenced on the cover of the RFP or addenda. Interpretations, corrections or changes to the RFP made in any other manner are not binding upon the City, and Proposers shall not rely upon such interpretations, corrections or changes. Oral explanations or instructions given before the award of the Contract are not binding. Requests for explanations or clarifications may be faxed to the City at (817) 871-8440. The fax must clearly identify the RFP Title, Number and the Buyer's name. Addendum Any interpretations, corrections or changes to this RFP will be made by addendum. Sole issuing authority of addendum shall be vested in the City of Fort Worth Purchasing Division. Addenda will be mailed to all Proposers who are known to have received a copy of this RFP. Withdrawal of Proposal A Proposer's proposal may be withdrawn by a duly authorized representative of the Proposer at any time prior to the proposal submission deadline, upon presentation of acceptable identification as such a representative of such Proposer. Award of Contract The City of Fort Worth reserves the right to accept or reject any and all proposals and to re -solicit for proposals as it shall deem to be in the best interests of the City of Fort Worth. Receipt of any proposal shall under no circumstances obligate the City of Fort Worth to accept the lowest cost proposal. The award of this contract shall be made to the responsible Proposer whose proposal is determined to be the best evaluated offer, taking into consideration demonstrated competence and qualifications to perform the service solicited in the RFP. Any reference to the word "bid" contained in this RFP shall mean "proposal". RFP 98-0394, Building Access Control and CCTV System, Page 5 of 29 0 0 10.0 Period of Acceptance 0 0 0 0 Proposer acknowledges that by submitting the proposal contained herein, Proposer makes an offer, which, if accepted in whole or part by the City of Fort Worth, constitutes a valid and binding contract as to any and all items accepted in writing by the City of Fort Worth. The period of acceptance of this proposal is ninety (90) calendar days from the date of opening, unless the Proposer notes a different period. 11.0 Tax Exemption The City of Fort Worth is exempt from Federal Excise and State Sales Tax for equipment or material incorporated into the Project; therefore, tax must not be included in this proposal for these items. rj 12.0 Cost Incurred in Responding All costs directly or indirectly related to preparation of a response to the RFP or any oral [I presentation required to supplement and/or clarify a proposal which may be required by the City shall be the sole responsibility of and shall be borne by Proposer(s). n13.0 Negotiations The City reserves the right to negotiate all elements that comprise the respondent's aproposal to ensure that the best possible consideration be afforded to all concerned. 14.0 Contract Incorporation Proposers should be aware that the contents of the successful proposal will become a part fl of the subsequent contractual documents. Failure of a proposer to accept this obligation may result in the cancellation of any award. RFP 98-0394, Building Access Control and CCTV System, Page 6 of 29 El 0 0 0 0 0 0 0 ri U 0 0 11 Section II Standard Terms and Conditions These standard terms and conditions and any other special terms and conditions listed in the Scope of Work and Special Contract Provisions (Section III) shall become part of any contract entered into if any or all parts of the Proposal are accepted by the City of Fort Worth.' 1.0 Indemnity Contractor shall defend, indemnify and hold harmless the City of Fort Worth and all its officers, agents and employees from all suits, actions, or other claims of any character, name and description brought for or on account of any injuries or damages received or sustained by any person, persons or property due to any negligent act or fault of the Contractor, or of any agency, employee, subcontractor or supplier in the execution of, or performance under, any contract which may result from bid award. Contractor indemnifies and will indemnify and hold harmless the City of Fort Worth from liability, claim or demand on their part, agents, servants, customers and/or employees whether such liability, claim or demand arise from event or casualty happening or within the occupied premises themselves or happening upon or in the halls, elevators, entrances, stairways or approaches of or the facilities within- which the occupied premises are located. Successful Contractor shall pay any judgment with costs that may be obtained against the City of Fort Worth growing out of such injury or damages. 2.0 Period of Performance If this RFP results in a contract, it shall remain in effect until contract expires, delivery and acceptance of products and/or performance of services ordered. Further, the City of Fort Worth may cancel this contract without expense to the City in the event that funds have not been appropriated for expenditures under this contract. a3.0 Right to Assurance 0 I N X II Whenever the City has reason to question the Contractor's intent to perform, the City may demand that the Contractor give written assurance of Contractor's intent to perform. In the event a demand is made, and no assurance is given within ten calendar days, the City may treat this failure as an anticipatory repudiation of the contract. 4.0 Cancellation The City shall have the right to cancel this contract immediately for default on all or any part of the undelivered portion of this order if Contractor breaches any of the terms hereof, including warranties of seller, or if seller files for bankruptcy. Such right of termination is in addition to and not in lieu of rights of the City as set forth in clause 4.0, herein. 6.0 Assignment — Delegation No right, interest or obligation of Contractor under this contract shall be assigned or delegated without the written agreement of the City. No Notice to Proceed will be issued until the Contractor has complied with this section. (b) Contractor agrees to require each and every subcontractor who will perform work on the project to provide to it a certificate from such subcontractor stating that the subcontractor has a policy of workers compensation insurance covering each employee employed on the project. RECOMMENDATION: It is recommended that the City Council: 1. Approve the award of a contract to ADT Security Services, Inc. (ADT) for the installation of an access monitoring system and closed circuit TV monitoring system in City Hall, the City Hall Annex and the Public Safety Building for a total contract cost of $94,739, with a 90 -day installation period; and 2. Authorize the execution of a one-year maintenance support contract and a two-year trouble assistance contract with ADT, following the one-year warranty period included in the contract using available budgeted maintenance funds. DISCUSSION: The present access control system is unreliable and out-of-date. The present TV monitoring system does not have the reliability and imaging ability to adequately monitor the traffic through the main access doors in the municipal complex. Staff researched the requirements and general attributes of the desired system and prepared a system description and general requirements matrix. The project was advertised for proposals that would allow contractors flexibility in providing their own system to meet the City's needs. On January 28, 1999, proposals were received from ADT and Pinkerton Systems Integration. Staff determined that ADT best met the intent of the specifications, and met with ADT to review the particulars. After a thorough review of the proposed installation, staff recommended that ADT be retained to install the card reader access system and closed circuit television monitoring system in City Hall, the City Hall Annex and the Public Safety Building. The recommended system is Y2K compliant, ensuring secure access to each of the three buildings in the municipal complex on January 1, 2000 and beyond. M/WBE - A waiver of the M/WBE requirement was requested by the Transportation and Public Works Department and was approved by the MIWBE Office because subcontracting and supplier opportunities were negligible.
