AUTHORIZING EXECUTION OF THE FIRST AMENDMENT TO THE DESIGN AND
PRECONSTRUCTION AGREEMENT WITH AFWP LLC
WHEREAS, the Research and Innovation Local Government Corporation ("RILGC") and
City of Fort Worth ("City") selected AFWP LLC ("Developer") for the design and pre -
construction of the Research and Innovation Building associated with the Texas A&M Fort Worth
Campus that is separate and apart from the Law and Education Building ("Project");
WHEREAS, the RILGC and Developer entered into a Design and Pre -construction
Agreement for the Project on December 14, 2024 ("Agreement"); and
WHEREAS, the work under the Agreement is now complete and a final project invoice in
the amount of Six Hundred Forty -Six Thousand Two Hundred Seventy -Three and 21/100 Dollars
($646,273.21) has been paid to the Developer;
WHEREAS, the parties, based on the final project invoice amount, would now like to
reduce the total compensation amount under the Agreement from Nineteen Million Six Hundred
Twenty Three Thousand Seven Hundred Twenty -Seven and 00/100 Dollars ($19,623,727.00) to
an amount not to exceed of Twelve Million Seven Hundred One Thousand Two Hundred Fifty -
Four and 27/100 Dollars ($12,701,254.27), and formally terminate the Agreement.
NOW THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF
THE RESEARCH AND INNOVATION LOCAL GOVERNMENT CORPORATION:
1. The RILGC is hereby authorized to enter into an amendment to reduce the total
compensation amount under the Agreement from Nineteen Million Six Hundred Twenty Three
Thousand Seven Hundred Twenty -Seven and 00/100 Dollars ($19,623,727.00) to an amount not
to exceed Twelve Million Seven Hundred One Thousand Two Hundred Fifty -Four and 27/100
Dollars ($12,701,254.27), and formally terminate the Agreement.
2. This Resolution takes effect from the date of its adoption.
