The above referenced Contract with the City of Fort Worth expires on April 30, 2026 (the
"Expiration Date"). Pursuant to the Contract, contract renewals are at the sole option of the City.
This letter is to inform you that the City is exercising its right to renew the Contract for an
additional one (1) year period, which will begin immediately after the Expiration Date. All other
terms and conditions of the Contract remain unchanged. Please return this signed
acknowledgement letter, along with your quote for charges for the new renewal term, and
current insurance certificate, to the address set forth below, acknowledging receipt of the
Contract Renewal Notice.

Hosted PBX Installation -1 Router and 4 IP Phones Installed Utilizing existing Cat5e or better station cabling clearly labeled. $350 Standard installation includes (2) hours of labor and patch cords. Additional phones can be
added @ $30 each.
Granite pre-emptively blocks international outbound dialing on all on -net voice. On -net voice includes SIP, ePRI, HPBX, ePOTS, DR Trunking, and MS Teams Operator Connect services. Customers wanting this block removed
need to sign Granite's International Call Authorization Form.
In the event that an underlying carrier or supplier substantially alters the amounts charged to Gronite for any Services being provided to the Customer, Granite reserves the right to propose different rates to the Customer.

By signing this Government Account Form and Letter of Agency ("LOA"), Customer hereby (a) engages Granite Telecommunications, LLC and/or its affiliates ("Granite") to provide Services as set forth in
Appendix A, attached hereto and incorporated herein, and such other Services as Customer may order from time to time after the date hereof and (b) authorizes and appoints Granite to act as its agent solely
for the purposes of handling all arrangements for establishing, converting, ordering, changing and/or maintaining such Services, and to take such other actions as are reasonably necessary to provide such
Services and as Customer may request from time to time. Customer directs its current service provider(s), if any, to work with Granite to affect these changes.
Customer agrees to all of the Terms and Conditions of Service asset forth at www.granitenet.com/legal (as such maybe modified from time to time, the "Terms of Service"), including, without limitation, the
additional terms and conditions of service specifically applicable to a specific service.
Services under this Agreement shall be for 3 years.
The Terms of Service set forth rights and responsibilities of Customer and Granite concerning Services to be provided and in regards to other important topics. If Customer does not agree to the Terms of
Service, the authorized representative of Customer should not sign this LOA. All terms and conditions of the Terms of Service are incorporated herein by reference. The Customer Disclosures attached
hereto are an integral part of this LOA. This LOA is confidential and may not be disclosed to third parties except as required by applicable law.

stomer acknowledges and agrees that certain Internet Based Services (which for purposes of this Customer Disclosure, includes, but is not limited to, Hosted PBX, SIP Trunking, SIP PRI, Hosted Voice, Virtual
to Attendant and Virtual Voicemail Services), ordered through Granite may not operate in the same manner as traditional wireline phone service and that the following terms and conditions apply with
spect to such Internet -Based Services: (a) such services are designed only for use with a compatible PBX or similar advanced telephone system; (b) such services only support Granite's local, intralata toll,
:erstate long distance and international voice services;
such services DO NOT support auto dialers, predictive dialers, telemarketing applications, modems, credit card process, heavy faxing lines and elevator lines (only POTS lines should be used for these
rposes); (d) a qualified vendor must install the equipment and service at Customer's sole expense and Granite will not process any order without a qualified vendor involved in the installation process; and
i Granite requires that Customer provide a complete list of all phone numbers to be ported, any numbers omitted from the list may result in those numbers not being ported at the time of circuit turn -up.
anite will attempt to retrieve CSRs from the existing carrier(s), but cannot guarantee its ability to obtain such CSRs. Customer agrees to provide Granite with complete CSRs, if requested.
SSTOMER ACKNOWLEDGES AND AGREES THAT SOME OF THE SERVICES PROVIDED BY GRANITE ARE INTERNET-BASED SERVICES AND THAT 911 SERVICES ON INTERNET-BASED SERVICES ARE DIFFERENT THAN
AT OF TRADITIONAL WIRELINE SERVICE. FOR BASIC 911 OR E911 TO BE ACCURATELY ROUTED TO THE APPROPRIATE EMERGENCY RESPONDER, CUSTOMER MUST PROVIDE GRANITE WITH THE
LEPHONE NUMBER(S) ASSOCIATED WITH SUCH INTERNET-BASED SERVICES FOR THE REGISTERED ADDRESS.
SSTOMER ACKNOWLEDGES THAT INTERNET-BASED SERVICES PROVIDED BY GRANITE MAY NOT SUPPORT BASIC 911 OR E911 DIALING IN THE SAME MANNER AS TRADITIONAL WIRELINE PHONE SERVICE.
SSTOMER AGREES TO INFORM THIRD PARTIES OF THE POTENTIAL COMPLICATIONS ARISING FROM BASIC 911 OR E911 DIALING. SPECIFICALLY, CUSTOMER ACKNOWLEDGES AND AGREES TO
FORM ALL EMPLOYEES, GUESTS, AND OTHER THIRD PERSONS WHO MAY USE SUCH INTERNET-BASED SERVICES THAT BASIC 911 AND E911 SERVICES WILL NOT FUNCTION IN THE CASE OF A SERVICE FAILURE
IR ANY OF THE FOLLOWING REASONS: (A) POWER FAILURES; (B) SUSPENDED OR TERMINATED INTERNET ACCESS SERVICE; (C) SUSPENSION OF SERVICES DUE TO BILLING ISSUES; AND/OR (D) ANY OTHER
RVICE OUTAGES NOT DESCRIBED HEREIN. CUSTOMER FURTHER ACKNOWLEDGES AND AGREES THAT FAILURE TO PROVIDE A CORRECT PHYSICAL ADDRESS IN THE REQUISITE FORMAT MAY CAUSE ALL BASIC
1 OR E911 CALLS TO BE ROUTED TO THE INCORRECT LOCAL EMERGENCY SERVICE PROVIDER, FURTHERMORE, CUSTOMER RECOGNIZES THAT USE OF SUCH INTERNET-BASED SERVICES FROM A LOCATION
"HER THAN THE LOCATION TO WHICH SUCH SERVICE WAS ORDERED, I.E., THE "REGISTERED ADDRESS;' MAY RESULT IN BASIC 911 OR E911 CALLS BEING ROUTED TO THE INCORRECT LOCAL EMERGENCY
RVICE PROVIDER.
SSTOMER IS REQUIRED TO REGISTER THE PHYSICAL LOCATION OF THEIR EQUIPMENT (I.E., IP PHONE, SOFTPHONE, DIGITAL TELEPHONE ADAPTER OR VIDEOPHONE, ETC.) WITH GRANITE AND AGREES
I UPDATE, AND PROVIDE PRIOR WRITTEN NOTICE TO, GRANITE OF THE LOCATION OF SUCH EQUIPMENT WHENEVER THE PHYSICAL LOCATION OF SERVICE FOR A PARTICULAR TELEPHONE NUMBER
THE EXTENT THAT GRANITE PROVIDES INTERNET-BASED SERVICES WHICH CUSTOMER UTILIZES FOR TRANSMISSION OF ALARM SYSTEM SIGNALS, CUSTOMER ACKNOWLEDGES THAT GRANITE IS NOT
;PONSIBLE FOR THE FUNCTIONALITY OF SUCH ALARM SYSTEMS AND SIGNALS. CUSTOMER UNDERSTANDS THAT INTERNET-BASED SERVICES ARE NOT INFALLIBLE. CUSTOMER SPECIFICALLY
<NOWLEDGESTHAT GRANITE DOES NOT REPRESENT OR WARRANT THAT THE TRANSMISSION OF ALARM SIGNALS WILL NOT BE INTERRUPTED, CIRCUMVENTED OR COMPROMISED. IF INTERNET

By signing this Government Account Form and Letter of Agency ("LOA"), Customer hereby (a) engages Granite Telecommunications, LLC and/or its affiliates ("Granite") to provide Services as set forth in
Appendix A, attached hereto and incorporated herein, and such other Services as Customer may order from time to time after the date hereof and (b) authorizes and appoints Granite to act as its agent solely
for the purposes of handling all arrangements for establishing, converting, ordering, changing and/or maintaining such Services, and to take such other actions as are reasonably necessary to provide such
Services and as Customer may request from time to time. Customer directs its current service provider(s), if any, to work with Granite to affect these changes.
Customer agrees to all of the Terms and Conditions of Service asset forth at www.granitenet.com/legal (as such maybe modified from time to time, the "Terms of Service"), including, without limitation, the
additional terms and conditions of service specifically applicable to a specific service.
Services under this Agreement shall be on a month to month basis.
The Terms of Service set forth rights and responsibilities of Customer and Granite concerning Services to be provided and in regards to other important topics. If Customer does not agree to the Terms of
Service, the authorized representative of Customer should not sign this LOA. All terms and conditions of the Terms of Service are incorporated herein by reference. The Customer Disclosures attached
hereto are an integral part of this LOA. This LOA is confidential and may not be disclosed to third parties except as required by applicable law.

stomer acknowledges and agrees that certain Internet Based Services (which for purposes of this Customer Disclosure, includes, but is not limited to, Hosted PBX, SIP Trunking, SIP PRI, Hosted Voice, Virtual
to Attendant and Virtual Voicemail Services), ordered through Granite may not operate in the same manner as traditional wireline phone service and that the following terms and conditions apply with
spect to such Internet -Based Services: (a) such services are designed only for use with a compatible PBX or similar advanced telephone system; (b) such services only support Granite's local, intralata toll,
:erstate long distance and international voice services;
such services DO NOT support auto dialers, predictive dialers, telemarketing applications, modems, credit card process, heavy faxing lines and elevator lines (only POTS lines should be used for these
rposes); (d) a qualified vendor must install the equipment and service at Customer's sole expense and Granite will not process any order without a qualified vendor involved in the installation process; and
i Granite requires that Customer provide a complete list of all phone numbers to be ported, any numbers omitted from the list may result in those numbers not being ported at the time of circuit turn -up.

SSTOMER ACKNOWLEDGES THAT INTERNET-BASED SERVICES PROVIDED BY GRANITE MAY NOT SUPPORT BASIC 911 OR E911 DIALING IN THE SAME MANNER AS TRADITIONAL WIRELINE PHONE SERVICE.
SSTOMER AGREES TO INFORM THIRD PARTIES OF THE POTENTIAL COMPLICATIONS ARISING FROM BASIC 911 OR E911 DIALING. SPECIFICALLY, CUSTOMER ACKNOWLEDGES AND AGREES TO

Unified Communications as a Service Using OMNIA Partners Cooperative Contract No.
R200901, at Multiple City of Fort Worth Sites for a Revised Annual Amount Not to Exceed
$577,726.00 for the Information Technology Solutions Department
RECOMMENDATION:
It is recommended that the City Council authorize the Second Amendment to City Secretary Contract
No. 60405 for additional Unified Communications as a Service with Granite Telecommunications,
LLC., at multiple City of Fort Worth sites using OMNIA Partners Cooperative Contract No. R200901, to
increase the contract amount by $178,413.00 for a revised annual amount not to exceed $577,726.00
for the Information Technology Solutions Department.
DISCUSSION:
On October 31, 2023, Mayor and Council Communication (M&C) 23-0907 authorized a Cooperative
Purchase Agreement with Granite Government Solutions in an initial annual amount of $299,313.00
using OMNIA Partners contract R200901 for provision of Plain Old Telephone Services (POTS) lines
previously provided through AT&T. Granite Government Solutions also provides a monthly service for
40 locations in which their device provides the phone line connection for the fire alarm, intrusion
detection systems, and emergency elevator phones. Afterward, the City executed City Secretary
Contract (CSC) No. 60405 (Agreement) with Granite Government Solutions.
On September 18, 2024, the City executed First Amendment to CSC No. 60405 to apply an
administrative increase in an amount not to exceed $100,000.00 for a revised annual amount not to
exceed $399,313.00. Effective October 1, 2024, the City entered into the first renewal period of CSC
60405 through execution of CSC 60405-R1 which will expire September 30, 2025.
This M&C will authorize the City to continue purchasing Unified Communication services for Plain Old
Telephone Services (POTS) lines; expand the number of facilities subscribing to POTS service;
provide monthly service for various locations in which Granite Communications devices provides the
phone line connection for the fire alarm, intrusion detection systems, and emergency elevator phones;
and provide Session Initiation Protocol (SIP) trunks for connecting the City's telephone system to the
public phone system with an increase of spend authority by $178,413.00 for a revised annual amount
not to exceed $577,726.00
Funding is budgeted in the Data/Voice Network & Internet account within the Info Technology
Systems Fund for the ITS Department.
COOPERATIVE PURCHASE — State law provides that a local government purchasing an item under a
cooperative purchasing agreement satisfies State laws requiring that the local government seek
competitive bids for purchase of the item. Cooperative contracts have been competitively bid to
increase and simplify the purchasing power of local government entities across the State of Texas.
RENEWAL OPTIONS — Pursuant to Omnia Partners Contract No. R200901 (City Secretary Contract
No. 60405) provided three one-year renewal options. City Secretary Contract No. 60405-R1

the City Council has appropriated sufficient funds to satisfy the City's obligations during the renewal
terms.
SUCCESSOR CONTRACTS — In the event the OMNIA agreement is not renewed, staff would cease
purchasing at the end of the last purchase agreement coinciding with a valid cooperative agreement. If
the City Council were to not appropriate funds for a future year, staff would stop making purchases
when the last appropriation expires, regardless of whether the then -current purchase agreement has
expired.
The City will initially use the OMNIA contract to make purchases authorized by this M&C. The
Cooperative Contract will expire on September 30, 2025. If OMNIA contract R200901 is renewed ,
this M&C authorizes the City to purchase similar equipment and supplies under the renewed contract.
If R200901 is not renewed, but OMNIA executes a new cooperative contract with Granite
Telecommunications, LLC, and with substantially similar terms, this M&C authorizes the City to
purchase the services under the new cooperative contract. If this occurs, in no event will the City
continue to purchase services under the new agreement for more than three (3) years without seeking
Council approval.
ADMINISTRATIVE CHANGE ORDER — An administrative change order or increase may be made by
the City Manager up to the amount allowed by relevant law and the Fort Worth City Code and does not
require specific City Council approval as long as sufficient funds have been appropriated.
BUSINESS EQUITY — A Business Equity goal is not assigned when purchasing from an approved
purchasing cooperative or public entity.
FISCAL INFORMATION/CERTIFICATION:
The Director of Finance certifies that funds are available in the current operating budget, as
previously appropriated, in the Info Technology Systems Fund to support the approval of the above
recommendation and execution of the amendment. Prior to any expenditure being incurred, the
Information Technology Solutions Department has the responsibility to validate the availability of
funds.
