UNDERGROUND SANITARY SEWER LINE AND STORM DRAINAGE EASEMENT AGREEMENT This Underground Sanitary Sewer Line and Storm Drainage Easement Agreement (this "Agreement") is entered into as of the 12th day of April, 1999, between AIL Investment, L.P., a Texas limited partnership ("Grantor"), and the City of Fort Worth, Texas, a municipal corporation of Tarrant County, Texas ("Grantee"). For and in consideration of $1.00 and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, and in consideration of the covenants contained herein, Grantor and Grantee agree as follows: 1. Subject to the terms of this Agreement, Grantor hereby grants and conveys to Grantee underground easement and right-of-way (the "Underground Easement") under and across the property described in Exhibit "A" hereto (the "Easement Tract"). This grant and conveyance is made subject to all matters 2. The Underground Easement shall only be used for the purpose of constructing, installing, reconstructing, using, operating, maintaining and removing underground sanitary sewer facilities, and placing, constructing, operating and repairing a drainage culvert, headwall and channel and maintaining underground drainage facilities, together with the right of ingress and egress along and upon the Easement Tract. The underground sanitary sewer storm. drainage facilities must be buried beneath the surface of the Easement Tract at a depth of at least four feet underground. 3. The Underground Easement is not assignable by Grantee without the prior written consent of Grantor. 4. Grantor reserves and retains the right to use and to grant other rights and easements across or under the Easement Tract to such other persons as Grantor deems proper, provided such uses and other grants do not unreasonably interfere with the use of the Underground Easement by Grantee for the purpose set forth herein. 5. Grantee shall indemnify and hold Grantor harmless for any damage or liability resulting from Grantee's use of the Underground Easement. For the indemnity in the preceding sentence to be effective, Grantor must promptly give Grantee written notice of any claim that may be subject to this indemnity, and Grantor must reasonably cooperate with Grantee in the defense of any such matter, but at no expense to Grantor. 6. Grantee shall promptly repair any damage to improvements on the Easement Tract or surrounding property and restore the surface of the Easement Tract and surrounding property from damage resulting from Grantee's use of the Easement Tract, including the restoration of existing top soil or removal of spoils created during construction by the Grantee. During construction, Grantee shall install such fences, barricades or safety barriers as may be reasonably required to protect the public, livestock or adjacent property. 7. Grantee shall not use the Easement Tract in a manner which violates any law or regulation, or which may be dangerous or constitute a public or private nuisance. Grantee shall not locate or dispose on or about the Easement Tract any substance that is subject to any law or regulation pertaining to public health, safety, protection or conservation of the environment. If Grantor in good faith believes that substances have been located or disposed on or about the Easement Tract in contravention of the covenant set forth in the preceding sentence, Grantor may conduct such environmental tests of the affected property as it deems appropriate and Grantee shall be responsible for the cost thereof. 9. Grantee shall notify Grantor by telephone at least 48 hours before each constrUttion project commences on the Easement Tract. 10. Grantee shall keep the Easement Tract free of trash and debris. Grantee shall not bury any trash or waste material of any kind on the Easement Tract. 11. This grant of the Underground Easement shall automatically terminate and revert to Grantor upon abandonment by Grantee or when the Easement Tract ceases to be used exclusively for the purposes permitted herein. 12. All notices required or permitted hereby shall be in writing and become effective after being deposited in the U.S. mail, certified or registered with appropriate postage prepaid or, if delivered by some other manner, when actually received. TO HAVE AND TO HOLD the above -described premises, together with all and singular, the rights and appurtenances thereto in anywise belonging, unto Grantee, its successors and permitted assigns, forever. Grantor does hereby bind itself, its successors and assigns, to warrant and forever defend, all and singular, the said premises, subject to all matters now of record affecting said premises, unto Grantee, its successors and permitted assigns, against every person whomsoever lawfully claiming or to claim the same or any part thereof, by, through or under Grantor, but not otherwise.
