City and Vendor are herein referred to individually as a ("Party") and collectively as the ("Parties"). WHEREAS, on February 15, 2022, City and Vendor entered into a Vendor Services Agreement for water well and pump system repair services to irrigate the golf course grounds at Meadowbrook Golf Course, the same being Fort Worth City Secretary Contract ("CSC") Contract Number 58705 ("Agreement"); WHEREAS, the Agreement provides for an initial term of one year and four (4) one-year renewal periods (each a "Renewal Term"); WHEREAS, on May 27, 2022, the Parties agreed to the First Amendment to increase the total compensation amount and to revise the scope of services to include water well and pump system repair services at the Fort Worth Nature Center and Refuge; WHEREAS, on March 30, 2023, the Parties exercised the First Renewal, to be effective February 15, 2023, and to expire on February 14, 2024; WHEREAS, on May 1, 2024, the Parties exercised the Second Renewal, to be effective February 15, 2024, and expire on February 14, 2025; WHEREAS, on July 22, 2024, the Parties agreed to the Second Amendment to expand the scope of services to include the labor and materials needed to drill a new water well at the Fort Worth Nature Center and Refuge; WHEREAS, on August 5, 2025, the Parties exercised the Third Renewal, to be effective February 15, 2025, and to expire on February 14, 2026; and WHEREAS, it is the collective desire of the Parties to formally document their continued operation under the Fourth Renewal Term and to amend the Agreement to revise the scope of services to include Exhibit A-2. NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the City and Vendor agree to amend the Agreement as follows: OFFICIAL RECORD CITY SECRETARY Fourth Renewal and Third Amendment of CSC 57131 FT. The City and Vendor hereby agree to renew the Agreement for the Fourth Renewal Term of one (1) year, effective February 15, 2026, and ending February 14, 2027 ("Fourth Renewal Term"). 1. All terms and conditions of the Agreement that are not expressly amended pursuant to this Third Amendment and Fourth Renewal shall remain in full force and effect. 2. All terms in this Third Amendment and Fourth Renewal that are capitalized but not defined shall have the meanings assigned to them in the Agreement.
